On August 18, 2020, Spectrotel, Inc. (“Spectrotel”) requested the Commission transfer
its Certificate of Public Convenience and Necessity (“CPCN”) to its newly created affiliate,
Spectrotel of the West LLC (“Spectrotel of the West”). With this Order, we grant the Company’s
request.
THE APPLICATION
In 2012, the Commission issued CPCN No. 508 to Spectrotel. See Case No. SPE-T-
11-01, Order No. 32602. Spectrotel explained in its Application that it has since undergone a
corporate reorganization, creating Spectrotel of the West to serve Spectrotel’s Idaho customers.
Spectrotel asserted the corporate reorganization “will not impact customers, and service will
continue under the current rates, terms and conditions.” Application at 2. Spectrotel also asserted
that “[n]o new parent corporation or other entity will acquire [Spectrotel] and no change of control
will occur” because of the corporate reorganization. Id. Spectrotel requested the Commission
transfer its CPCN to Spectrotel of the West and, “to the extent required by law and/or Commission
rules,” approve the corporate reorganization. Id.
COMMISSION FINDINGS AND DECISION
The Commission has broad authority to determine noneconomic regulatory
requirements for Title 62 telephone corporations that provide basic local exchange service. Idaho
Code § 62-605(5)(b). In particular, the Commission has authority over “service quality standards,
provision of access to carriers providing message telecommunication service, filing of price lists,
customer notice and customer relations rules, and billing practices and procedures…” Id.
Having reviewed the Application and Staff’s decision memorandum recommending
approval, we find Spectrotel’s corporate reorganization will not impact Idaho customers. As noted
by Spectrotel, the reorganization is “pro forma in nature,” and the “ultimate ownership and control
of the Company will not change.” As such, we approve Spectrotel’s requested relief without

further process. See Order No. 33423. CPCN No. 508 shall be re-issued under the name “Spectrotel
of the West LLC”.
O R D E R
IT IS HEREBY ORDERED that Spectrotel’s Application is approved. CPCN No. 508
shall be re-issued under the name “Spectrotel of the West LLC”.
THIS IS A FINAL ORDER. Any person interested in this Order may petition for
reconsideration within twenty-one (21) days of the service date of this Order. Within seven (7)
days after any person has petitioned for reconsideration, any other person may cross-petition for
reconsideration. See Idaho Code § 61-626.
