STAFF OF the Idaho Public Utilities Commission, by and through its attorney ol'record,
Matt Hunter, Deputy Attorney General, submits the fbllowing comments.
BACKGROUND
On November 25,2019, Simwood, Inc. ("Simwood'i or "Company") applied to the
Commission for a Certificate of Public Convenience and Necessity (CPCN) authorizing it to
provide facilities-based and resold local exchange and long-distance telecommunications
services in Idaho pursuant to IDAPA 31.01.01.1 l4 and Order No. 26665.
STAFF'ANALYSIS
Simwood is a Wyoming corporation, authorized to do business in Idaho and is located at
5016 Spedale Court, Suite 306, Spring Hill, Tennessee 37174. It is registered with the Idaho
Secretary of State and its Foreign Certificate of Registration is attached to its Application as
Exhibit l.

Simwood proposes and requests authority "to offer Idaho citizens lacilities-based and
resold competitive local exchange telecommunications and interexchange telecommunications
services throughout the entire state of Idaho". Application at 1 . Simwood intends to offer
service in the geographic areas currently served by Qwest Corporation dba CenturyLink,
Frontier, or other incumbent local exchange carriers.
Simwood provided the names and addresses ofofficers and directors, as well as financial
infbrmation. which it asserts is exempt from public disclosure pursuant to Procedural Rule 67.

Simwood agrees to comply with all Commission rules.
STAFF RECOMMENDATION
Staff has reviewed Simwood's Application for a CPCN and believes thc Company
understands and agrees to comply r.r'ith the Commission's rules and requirements. Based on thc
review, Staff believes Simwood's Application f ulf r lls thc rcquirements of the Procedural Rule
114 and OrderNo.26665. Staff also believes Simwood possesses thc requisite financial,
managerial, and technical qualifications necessary to operate as a provider ol'
tclecommunications services.
Staff, therefore, recommends approval ol'the Application for a Cenificate ofPublic
Convenience and Necessity subject to the following conditions:
1. Simwood complies with number pooling and reporting requirements of the North
American Numbering Plan Administrator, as set {brth in Commission Order No. 30425;
2. Simwood provides necessary reports, and contributions as appropriate to the Idaho
Universal Service Fund. Idaho Telecommunications Relay System, Idaho Telecommunications
Service Assistance Program, and complies with all luture reporting requirements deemed
appropriate by the Commission for competitive telecommunications providers:
3. Prior to issuance of the Certificate, Simwood files a final price list outlining all its
rates, terms and conditions with the Commission; and
4. Simwood shall provide three reports to the Commission indicating the number of
basic local exchange customers it has and the services being offered. Those reports will be due
as follows:

Ifthe Company fails to provide the three reports, the Company shall relinquish its CPCN and all
telephone numbers it has been assigned.
