Authorized User - A person, firm or corporation, or any other entity authorized by the Customer to utilize the Company s services via the Customer s account. Commission - The Idaho Public Utilities Commission unless clearly indicated by the context. Company - Infone LLC or Infone unless otherwise clearly indicated by the context. Customer - The person, firm or corporation or other entity which registers, sets up an account, cancels amends, or uses service and is responsible for the payment of charges and/or compliance with price list regulations. Local Exchange Carrier ("LEC") - denotes any telephone company that provides local telephone service to Customers within a defined area, Operator - Live operators utilized by Company in providing services to Customers, Other Common Carrier - denotes a common carrier, other than the Company, providing domestic and/or international communications service to the public. Service(s) - Intrastate telecommunications offerings as set forth in this price list. User (or End User) - The person, firm or corporation or other entity that utilizes the Company s service whether or not authorized by a Customer or Authorized User. Service is offered to Customers to provide directory assistance and can completion originating and terminating within the State of Idaho, using the Company s network configuration. The Company provides switched long distance network Services for voice grade services. All Services are provided subject to the terms and conditions set forth in this price list. The Company s Services are provided on a casual caning basis unless otherwise provided, and are available twenty-four (24) hours per day, seven (7) days per week. Use Service provided under this price list may be used for any lawful purpose for which the Service is technicany suited. Company may discontinue or limit Service when necessitated by conditions beyond its control, or when the Customer is using Service in violation of provisions of this price list, or in violation ofthe law. The Company may limit Service, or to impose requirements on Customers as required to meet changing regulatory rules and standards of the commission. Assignment or Transfer 2.4. An Services and facilities provided under this price list are directly or indirectly controlled by Company and the Customer may not transfer or assign the use of Service or facilities without the express written consent of the Company. Such transfer or assignment shall only apply where there is no interruption of the use or location of the Service or facilities. Prior written permission from the Company is required before any assignment or transfer. All regulations and conditions contained in this price list shan apply to all such permitted assignees or transferees, as wen as an conditions of Service. This price list does not limit the liability of the Company for willful misconduct. The liability of the Company, if any, for damages resulting in whole or in part ftom or arising in connection with the furnishing of Service under this price list, including but not limited to mistakes, omissions, interruptions, delays, errors, or other defects in transmission, or failures or defects in facilities furnished by the Company in the course of furnishing Service or arising out of any failure to furnish Service shan in no event exceed an amount of money equivalent to the proportionate charge to the Customer for the period of Service during which such mistakes, omissions, interruptions, delays or errors or defects in transmission occur and continue. However, any such mistakes, omissions, interruptions, delays, errors, or defects in transmission or service that are caused by or contributed to by the negligence or willful act of Customer, or which arise ftom the use of customer-provided facilities or equipment shan not result in the imposition of any liability whatsoever upon the Company. The Company shan not be liable for any failure of performance hereunder due to causes beyond its control, including but not limited to Acts of God, fires, flood or other catastrophes; atmospheric conditions or other phenomena of nature, such as radiation; any law, order regulation, directive, action or request of the United States Government, or any other government, including state and local governments having jurisdiction over the Company or the Services provided hereunder; national emergencies; civil disorder, insurrections, riots wars, acts of terrorism, strikes, lockouts, work stoppages, or other labor problems or regulations established or actions taken by any court or government agency having jurisdiction over the Company or the acts of any party not directly under the control of the Company. The Company is not liable for any act, omission or negligence of any Local Exchange Carrier Other Common Carrier, or other provider whose facilities are used concurrently in furnishing any portion of the Services received by Customer, or for the unavailability of or any delays in the furnishing of any Services or facilities that are provided by any Local Exchange Carrier Other Common Carrier or provider, Idaho Public Utilities Commission Office of the Secretary ACCEPTED FOR FILING JUN 6 - 2003 Boise. The Company shall not be liable for any act or omission of any other entity furnishing to the Customer, facilities or equipment used with the Service provided hereunder; nor shan the Company be liable for any damages or losses due in whole or in part to the failure of Customer-provided service, equipment or facilities. Under no circumstances whatever shan the Company, its affiliates or officers, directors agents, or employees of the Company or its affiliates, be liable for indirect, incidental, special or consequential damages. The Company s liability for damages arising out of any failure of Service shan not exceed an amount equivalent to the proportionate charge to the Customer for the period during which the faults in transmission occur. The Company shall not be liable for the accuracy of any information provided to it by outside sources relating to directory assistance or other service offerings. The Company makes every effort to verify that an information that it provides to be current and accurate. The Company, however, has no control over the information that it receives from its various suppliers and makes no guarantee as such. The included tariff language does not constitute a determination by the Commission that a limitation of liability imposed by the Company should be upheld in a court of law. Acceptance for filing by the Commission recognizes that it is a court's responsibility to adjudicate negligence and consequential damage claims. The Customer is also responsible for the payment Services billed to the Customer s account. The Customer is liable for replacement or repair of damage of Company s network, facilities and systems caused by negligence or willful act of the Customer, its Authorized Users, or others, or by improper use of Services provided to the Customer, Authorized Users, or others. The Customer or Authorized User is responsible for providing Company with a valid method of billing for each call. The Company may validate the method of billing through available credit card, calling card, caned number, third party telephone number, and room number verification procedures, Where a requested billing method cannot by validated, the user may be required to provide an acceptable alternate billing method or the Company may refuse to provide Service. The Customer or Authorized User is responsible for an activity on its account and an charges incurred to its account by any User regardless of whether Customer has authorized such. This includes payment for cans or Services originated at the Customer s number(s) or incurred at the specific request of the Customer. The Customer agrees to pay to the Company or its authorized agent any charges for Service incurred as a result of any delegation of authority resulting in the use of his or her communications equipment and/or network Services which result in the placement of cans via the Company. The Customer agrees to pay the Company or its authorized agent any and an charges for Service incurred as a result of the use of the Service arrangement, including calls which the Customer did not individuanyauthorize. Failure to receive a bill does not exempt a Customer ftom payment of any sum or sums due the Company. All charges due by the Customer are payable to the Company or any agent duly authorized to receive such payments. The billing agent may be the Company, a local exchange telephone company, credit card company, or other billing service. Terms of payment shan be according to the rules and regulations of the agent and subject to the rules of regulatory bodies having jurisdiction. Any objections to billed charges must be promptly reported to the Company or its billing agent. Adjustments to Customers' bills shan be made to the extent that circumstances exist which reasonably indicate that such changes are appropriate. Billing Disputes The Customer should promptly notify the Company or its authorized agent of any disputed items on an invoice. If the Customer and the Company are unable to resolve the dispute to their mutual satisfaction, the Customer may contact the Commission. Notice ftom the Customer of a dispute as to charges must be received in writing by the Company within sixty (60) days after the date of the invoice. If the Customer and the Company cannot reach agreement regarding a billing problem, the Customer may file an informal or formal complaint with the Idaho Public Utilities Commission by writing to or appearing at: Idaho Public Utilities Commission O. In the event that an unanswered can is inadvertently bi ned, Company will cancel an such charges upon request and will credit the account of the Customer, If a Customer remits payment for charges rendered by the Company or through its agent, and any charges are later found to be incorrect due to an error, the Company win refund the overcharge, Any refund will be accomplished by a credit on a subsequent bill for Service, or by check if the account is final. Bill Detail Bill detail is provided via secure access to Customer s account on the Company website. Bill Due Date and Late Payment Fees Bills received directly ftom the Company are due upon receipt. Bills will be considered delinquent if the bin is not paid within 30 days ftom the date of the statement. For charges bined directly by the Company, a late payment fee of 0.875% per month will be charged on any past due balance. For bills issued by a billing agent, any applicable late payment fees will be assessed according to the terms and conditions of the billing entity (e., Local Exchange Carrier and/or commercial credit card company). Return Check Charge Any applicable return check charges will be assessed according to the terms and conditions of the billing entity (e., Local Exchange Carrier and/or commercial credit card company). For checks submitted directly to the company in payment for Services provided under this price list, a return check charge of $10.00 will be assessed for checks returned for insufficientfunds. Advance Payments The Company does not conect advance payments. Taxes and Fees All state and local taxes (i.e., gross receipts tax, sales tax, municipal utilities tax) are applied in addition to the rates and charges as set forth in this price list. To the extent that a municipality, other political subdivision or local agency of government, or regulatory agency imposes upon and conects ftom the Company a gross receipts tax, occupation tax, license tax permit fee, ftanchise fee or regulatory fee, such taxes and fees may, insofar as practicable and anowed by law, be billed pro rata to Customers receiving Service ftom the Company within the territorial limits of such municipality, other political subdivision or local agency of government. The Company may adjust its rates and charges or impose additional rates and charges on its Customers in order to recover amounts it is required by governmental or quasi-governmental authorities to conect ftom or pay to others in support of statutory or regulatory programs. This surcharge, which is in addition to standard tariffed usage charges and any applicable Service charges and surcharges associated with the Company s Service applies for the use of the instrument used to access the Company s Service and is unrelated to the Service accessed ftom the pay telephone. Pay telephones include coin-operated and coinless phones owned by local telephone companies, independent companies and other interexchange carriers. The Public Pay Telephone Surcharge applies to the initial completed call and any re-originated call (i.e" using the "#" symbol). Whenever possible, the Public Pay Telephone Compensation Charge will appear on the same invoice containing the usage charges for the surcharged call. In cases where proper pay telephone coding digits are not transmitted to the Company prior to completion of a call, the Public Pay Telephone Surcharge may be billed on a subsequent invoice after the Company has obtained information ftom a carrier that the originating station is an eligible pay telephone. The Public Pay Telephone Surcharge does not apply to calls placed from pay telephones at which the Customer pays for service by inserting coins during the progress of the call. The Company shan not be liable for Service interruptions that are a result of failure of an interconnection. Cancellation of Service by Customer A Customer may cancel Service by not using the Company s Service. The Customer is responsible for an charges incurred while using the Service. In the event a Customer s access to Service is discontinued for non-payment or other reasons as stated above, the Customer shan be continue to remain responsible and liable for all unpaid charges due and owed to the Company, Any person or entity that uses, appropriates or secures the use of Service ftom the Company, whether directly or indirectly, in any unlawful manner or through the providing of any misleading or false information to the Company and which uses appropriation, or securing of Services is inconsistent with the stated uses, intents, and purposes of this price list or any restrictions, conditions, and limitations stated herein shan be liable for an amount equal to the accrued and unpaid charges and applicable interest and/or late payment charges that would have been applicable to the use of the Company s Service actuany made by Customer. Other Rules 11.Restoration of Service The use and restoration of Service in emergencies shall be in accordance with Part 64 Subpart D of the Federal Communications Commission s Rules and Regulations, which specifies the priority system for such activities, and in compliance with Commission rules. Timing of Calls Bining for cans placed over the network is based in part on the duration ofthe call. Timing for an calls begins when the Company Operator answers the can (i,e, when two way communications are established. Chargeable time for an cans ends when the caning party disconnects from the can. Minimum call duration and can timing increments for billing purposes are specified on a per- product basis in this price list. U sage charges are computed and rounded up to the nearest penny on a per call basis. There is no billing applied for cans not answered by a Company Operator. Rate Periods The Company s Services are not time of day or day of week sensitive. The same rates apply 24 hours per day, seven (7) days per week. The Customer accesses the Company s Service by dialing a toll-ftee number, The per call transaction charge ("Per Can Charge ) includes any regulated and/or unregulated directory assistance or enhanced directory services provided, and also includes the fIrst fifteen minutes of usage, whether regulated or unregulated, or a combination of both. The Per Can Charge applies regardless of whether the Operator is able to furnish the requested telephone number or other information. The per minute usage rate applies for all usage in excess of fifteen minutes, whether regulated or unregulated, or a combination of both. Additional usage when applicable, is billed in one (1) minute increments after the initial bining period. The Per Can Charge and any applicable usage charges are waived for the first five calls for a new Customer if made within thirty (30) days of the Customer s account set-up. The Company may also waive all or a portion of processing fees for winners of contests and other occasional promotional events sponsored or endorsed by the Company. From time to time the Company may waive all processing fees for a Customer for a limited duration in accordance with Commission regulations. Demonstration of Calls From time to time the Company may demonstrate its service by providing ftee test calls over its network.
