INTO MIDVALE TELEPHONE EXCHANGE, INC. AS OF JULY 1,2002 THE COMPANY ACQUIRED THE
BALANCE OF THE OUTSTANDING STOCK OF M&L ENTERPRISES, INC. WHICH MADE IT A
WHOLLY OWNED SUBSIDIARY OF THE COMPANY.
