SECTION 1.0 - DEFINmONS
For the purpose of th taif, the followig defitions wi apply:
Access Line - An arrangement which connects the Customer's location to a caret s switchig center or
point of presence.
Account Codes - Optional, Customer-defied digits that alow the Customer to identi the individual user,
department or client associated with a cal. Account Codes appear on the Customer bil.
Advance Payment - Part or al of a payment requied before the sta of servce.
Authorized User - A person, fi, corporation, or any other entity authoried by the Customer to
communcate utiing the Company's servce.
Business - A class of service provided to individuals engaged in business, fims, parerships, corporations,
agencies, shops, works, tenants of offce buidigs, and individual practicing a profession or operatig a
business who have no offces other than their residences and where the us of the servce is priarily or
substatialy of a business, professional or occupational natue.
Commssion - Idaho Public Utities Commsion.
Company or Carer - Mitel NetSolutions, Inc. , uness otherwe clearly indicated by the context.
Customer - The person, fi, corporation or other entity which orders, cancels, amends or uss servce and is
responsible for payment of charges and complice with the Company's ta.
Deposit - Refers to a cash or equivalent of cash security held as a guarante for payment of the charges.

DID Tru - A form of local switced access that provides the abilty for an outside par to cal an internl
extension directly without the intervention of the Company operator.
Dial Pulse (or "DP") - The pulse tye employed by rota dial station sets.
Dual Tone Multi-Frequency (or "DTMF") - The pule ty employed by tone dial station sets.
End User - Any person, fim, corporation, parership or other entity which uses the services of the
Company under the proviions and regulations of th tarif. The End User is responsible for payment
uness the charges for the services utid are accepted and paid for by another Customer.
End Ofice - With respect to each NP A-NX code prefi assigned to the Company, the location of the
Company's "end offce" for puroses of th tarif shal be the point of interconnecon associated with that
NP A-NX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore.
Hearng Impaied - Those persons with communcation impaients, includig those hearing impaied,
deaf, deaf/blid, and speeh impaired persons who have an impaient that prevents them from
communcatig over the telephone without the aid of a telecommuncations device for the deaf.
Huntig - Routes a cal to an idle station lie in a prearranged group when the caled station lie is busy.
In-Only - A servce attbute that restricts outward dia access and routes incomig cal to a designated
anwer point.
IXC or Interexchange Carer - A long ditace telecommuncations servces provider.

LATA - A Local Access and Tranport Area establihed pursuant to the Modifcation of Finl Judgement
entered by the United States District Court for the Distrct of Columbia in Civi Acton No. 82-0192; or any
other geographic area designated as a LATA in the National Exchange Carer Association, Inc. Tar F.C.C.

LEC - Local Exchange Company
Minimum Point of Presence ("MPOP") - The main telephone closet in the Customer's buidig.
Monthly Recurng Charges - The monthy charges to the Customer for services, facilties and equipment,
which contiue for the agreed upon duration of the service.
Multi-Frequency or ("MF") - An inter-machie pule tye usd for signg between telephone switches, or
between telephone switches and PBX/key systems.
Non-Recurng Charge ("NRC") - The intial charge, usualy assessed on a one-tie basis, to intite and
establih service.
Other Telephone Company - An Exchange Telephone Company, other than the Company.
PBX - Private Branch Exchange
Premises - A buidig or buidings on contiguous propert.
Recurng Charges - The monthy charges to the Customer for services, facities and equipment which
contiue for the agreed upon duration of the service.
Residence or Residential - A class of service fuhed to a Customer at a place of dwellg where the actual
or obvious use is for domestic purposes.

Servce Commencement Date - The fist day followig the date on which the Company noties the
Customer that the requested service is avaible for use, uness extended by the Customer's refual to accept
service which does not conform to stadards set forth in the Servce Order and th ta, in which case the
Servce Commencement Date is the date of the Customer's acceptace. The Company and Customer may
mutually agree on a substitute Service Commencement Date.
Servce Order - The writtn request for services executed by the Customer and the Company in the format
devied by the Company. The signg of an Order by the Customer and acceptace by the Company
intite the respecve obligations of the parties as set forth therein and pursuant to th ta, but the
duration of the servce is calculated from the Service Commencement Date.
Telecommuncations Company or Provider - Used thoughout th tarif to mean Mitel NetSlutions, Inc.
uness clearly indicated otherwe by the text.
TBD - To Be Determed.
Two Way - A service attibute that includes outward dial capabilties for outbound call and can also be
used to carry inbound cal to a central point for further processing.
Usage Based Charges - Charges for miutes or messages traversing over local exchange facities.
User or End User - A Customer, Joint User, or any other person authorized by a Customer to use servce
provider under th ta.

SECTION 2.0 - RULES AND REGULATIONS
2.1 Undertakg of the Company
2.1.1 Scope
The Company undertkes to fuh communcations service pursuant to the terms of th
ta in connection with one-way and/or two-way inormation tranmision origitig
from points with the State of Idaho, and termtig with a local callg area as defied
herein.
The Company is responsible under th ta only for the services and facilties provided
hereunder, and it assumes no responsibilty for any service provided by any other entity
that purchases access to the Company network in order to origite or termate its own
servces, or to communcate with its own Customers.
2.1.2 Shortage of Equipment or Facilties
(A) The Company reserves the right to lit or to allocate the use of exitig facilties,
or of additional facilties offered by the Company, when necessar beause of lack
of facilties, or due to some other cause beyond the Company's control.
(B) The furnhig of service under th ta is subject to the avaibilty on a
contiuing basis of all the necessar facilties and is lited to the capacity of the
Company's facilties as well as facilties the Company may obta from other
cariers to fuh servce from tie to tie as requied at the sole dicretion of the
Company.

2.1 Undertakg of the Company, (Contd.)
2.1.3 Terms and Conditions
(A) Service is provided on the basis of a mium period of at least one month, 24
hours per day. For the purose of computig charges in th taif, a month is
considered to have th (30) days.
(B) Customers may be required to enter into writtn servce orders which shall conta
or reference a specifc desption of the service ordered, the rates to be charged, the
duration of the services, and the term and conditions in th tarif. Customers wi
alo be required to execte any other docuents as may be reasonably requested
by the Company.
(C) Except as otherwe stated in the tarif, at the expiration of the intil term speifed
in each Service Order, or in any extension thereof, servce shal contiue on a month
to month basis at the then curent rates uness termiated by either party upon
proper notice. Any termation shal not relieve the Customer of its obligation to
pay any charges incurred under the service order and th ta prior to
termiation. The rights and obligations which by their natue extend beyond the
termtion of the term of the servce order shall surve such termtion.
(D) Servce may be termiated upon wrttn notice to the Customer if:
(1) the Customer is using the service in violation of th ta; or
(2) the Customer is using the service in violation of the law.
(E) Th ta shal be interpreted and governed by the laws of the State of Idaho
without regard for its choice of laws proviion.

(F) Any Oter Telephone Company may not interfere with the right of any person or
entity to obta service directly from the Company. No person or entity shal be
required to make any payment, incu any penalty, monetary or otherwe, or
purchase any servces in order to have the right to obtain service directly from the
Company.
(G) Reserved for future use.
(H) The Company hereby resrves its rights to establih servce packages speifc to a
particuar Customer. Thes contracts mayor may not be associated with volume
and/ or term discounts.

2.1.4 Limitations on Liabilty
(A) The liabilty of the Company for damages arising out of the furnihing of its
Service, including but not lited to mistakes, omisions, interruption, delay, or
errors, or other defects, representations, or use of these services or damages
arising out of the failure to furnih the service, whether caused by acts or
omision, shall be lited to the extension of allowances for interruption as set
forth in 2.7. The extension of such allowances for interruption shall be the sole
remedy of the Customer and the sole liabilty of the Company. The Company
wil not be liable for any direct, indirect, incidental, special, consequential, lost
profits, exemplary or puntive damages to Customer as a result of any Company
service, equipment or facilties, or the acts or omissions or negligence of the
Company's employees or agents.
(B) The Company's libilty for will miconduct, if establihed as a result of
judicial or admitrative proceedings, is not lited by this tarif. The
Company's liabilty, if any, with regard to delayed intallation of Company
facilties or commencement of service, shal not exceed $1,000. With respect to
any other claim or suit, by a Customer or by any others, for damage associated
with the ordering (including the reservation of any specifc number for use with a
service), intallation (including delays thereof), provision, termation,
maintenance, repai, interruption of restoration of any service or facilties offered
under th tarif, and subject to the provisions of Setion 2.7, the Company's
liabilty, if any, shall be lited as provided herein.
(C) The Company shall not be liable for any delay or failure of performance or
equipment due to causes beyond its control, including but not lited to: acts ofGod, fie, flood, explosion or other catastrophes; and law, order, regulation,
direction, action or request of the United States governent or of any other
governent, including state and local governents having or claiming
jurisdiction over the Company, or of any department, agency, commision,
bureau, corporation or other intrmentality of anyone or more of these federal,
state, or local governents, or of any mitary authority; preemption of existig
service in compliance with national emergencies; inurrections; riots; wars;
unavailabilty of rights-of-way or materials, or strikes, lockouts, work stoppages,
or other labor difculties.

(D) The Company shal not be liable for (a) any act or omission of any entity
furnihing the Company or the Company's Customers facilties or equipment
used for or with the services the Company offers; or (b) for the acts or omisions
of common carriers or warehousemen. Except in 31.41.01 Rule 501, 502, and 503
of the IDAP A.
(E) The Company shall not be liable for any damages or losses due to the fault of
negligence of the Customer or due to the faiure or malnction of Customer-
provided equipment or facilties.
(F) The Customer shall indemn and hold the Company harmless from any and all
loss, claim, demands, suits, or other action, or any liabilty whatsoever, whether
suffered, made, intituted, or asserted by any other party or person(s), and for
any loss, damage, or destruction of any property whether owned by the
Customer or others, caused or claed to have been caused directly or indirectly
by the intallation, operation; failure to operate, maintenance, removal, condition,
location, or use of intallation provided by the Company. The Company reserves
the right to require each Customer to sign an agreement acknowledgig
acceptace of the provisions of this section as a condition precedent to such
intallations.
(G) The Company shall not be liable for any defacement of or damage to Customer
premies resultig from the furnhing of services or equipment on such premises
or the intallation or removal thereof, uness such defacement or damage is
caused by gross negligence or will miconduct of the Company's agents or
employees. No agents or employees of other participatig carriers shall be
deemed to be agents or employees of the Company.
(H) Notwithtading the Customer's obligations, the Company shal be indemned,
defended, and held harmless by the Customer or by others authorized by it to
use the service againt any clai, loss of damage arising from Customer's use of
services furnhed under this tarif, including: claim for libel, slander, invasion
of privacy or iningement of copyright arising from the material, data,
inormation, or other content transmitted via the Company's service; and patent
iningement claim ariing from combing or connectig the service offered by
the Company with apparatus and systems of the Customer or others. All other
claim arising out of any act or omission of the Customer or others, in connection
with any service provided by the Company pursuant to this tarif.

(I) The entie liabilty of the Company for any claim, loss, damage or expense from
any cause whatsoever shall in no event exceed sum actualy paid to the
Company by Customer for the specifc services giving rie to the clai, and no
such action or preceding agait the Company shall be commenced more than
one year after the service is rendered.
(J The Company makes no warranties or representations, express or implied,
including warranties of merchantabilty or fitness for a particular use, except
those expressly set forth herein.
(K) The Company shall not be liable for any act or omission of any other company or
companies furnhig a portion of the service, or for damages associated with
service, chanels, or equipment which it does not furnh, or for damages which
result from the operation of Customer-provided systems, equipment, facilties or
services which are interconnected with Company services. Except in 31.41.01
Rule 501, 502, and 503 of the IDAP A.
(L) The Company does not guarantee nor make any warranty with respect to service
intallations at locations at which there is present an atmosphere that is
explosive, prone to fire, dangerous or otherwie unuitable for such intallations.
The Customer shall indemn and hold the Company harmless from any and all
loss, claim, demands, suits or other action, or any liabilty whatsoever, whether
suffered, made, intituted or asserted by the Customer or by any other party, for
any personal injury to, or death of, any person or persons, or for any loss,
damage or destrction of any property, whether owned by the Customer or
others, caused or claimed to have been caused, directly or indirectly, by the
intallation, operation, failure to operate, maintenance, removal, presence,
condition, locations or use of service furnihed by the Company at such locations.

(M) With respect to Emergency Number 911 Service:
(a) This service is offered solely as an aid in handing assistace call in
connection with fire, police and other emergencies. The Company is not
responsible for any losses, claim, demands, suits or any liabilty whatsoever,
whether sufered, made, intituted or asserted by the Customer or by any
other party or person for any personal injury to or death of any person or
persons, and for any loss, damage or destrction of any property, whether
owned by the Customer or others, caused or claied to have been caused by:
(1) mitaes, omisions, interruptions, delays, errors or other defects in the
provision of this service, or (2) intallation, operation, faiure to operate,
maintenance, removal, presence, condition, location or use of any equipment
and facilties furnihig th service.
(b) The Company is not responsible for any iningement or invasion of the right
of privacy of any person or persons, caused or claimed to have been caused,
directly or indirectly, by the intallation, operation, failure to operate,
maintenance, removal, presence, condition, occasion or use of emergency 911
service features and the equipment associated therewith, or by any services
furnhed by the Company including, but not lited to, the identiication of
the telephone number, address or name associated with the telephone used
by the part or parties accessing emergency 911 service, and which arie out
of the negligence or other wrongfl act of the Company, the Customer, its
users, agencies or muncipalities, or the employees or agents of anyone of
them.
(N) The Company's liabilty ariing from errors or omisions in Directory Listigs,
other than charged litig, shall be lited to the amount of actual impairment of
the Customer's service and in no event shall exceed one-half the amount of the
fixed monthly charges applicable to exchange service afected during the period
covered by the diectory in which the error or omision occurs. In cases of
charged Directory Listigs, the liabilty of the Company shall be lited to an
amount not exceeding the amount of charges for the charged litigs involved
during the period covered by the directory in which the error or omision occurs.

(0) When a Customer with a non-publihed telephone number, as defined herein,
places a call to the Emergency 911 Service, the Company wil release the name
and address of the callg party, where such inormation can be determined, to
the appropriate local governmental authority responsible for the Emergency 911
Service, upon request of such governental authority. By subscribing to service
under this tarif Customer acknowledges and agrees with the release of
inormation as described above.
(P) The included tarif language does not constitute a determiation by the
Commission that a litation of liabilty imposed by the Company should be
upheld in a court of law. Acceptace for fig by the Commission recognes
that it is a court s responsibilty to adjudicate negligence and consequential
damage claim. It is also the court s responsibilty to determine the valdity of
the exculpatory clause.
2.1.5 Notiication of Servce-Mfeetng Activities
The Company wi provide the Customer reasonable notication of service-afectig
activities that may occu in normal operation of its business. Such actvities may include,
but are not lited to, equipment or facilties additions, removal or rearrangements and
routie preventative maintenance. Generaly, such activities are not specifc to an
individual Customer but afec many Customers' services. No specifc advance notication
period is applicable to all service actvities. The Company wi work cooperatively with the
Customer to determe the reasonable notication requirements. With some emergency or
unplaed servce-afecg conditions, such as an outage resultig from cable damage,
notication to the Customer may not be possible.

2.1.6 Provision of Equipment and Facilities
(A) The Company shall use reasonable effort to maitain only the facilties and
equipment that it fuhes to the Customer. The Customer may not nor may the
Customer permit others to rearrange, diconnect, remove, attmpt to repair, or
otherwise interfere with any of the facilties or equipment intaed by the
Company, except upon the wrttn consent of the Company.
(B) The Company may substitute, change or rearange any equipment or facilty at any
tie and from tie to tie, but shal not thereby alter the tehncal parametrs of
the service provided by the Customer.
(C) Equipment the Company provides or inta at the Customer Premies for us in
connection with the services the Company offers shal not be used for any purpose
other than that for which the equipment is provided.
(D) Except as otherwe indicated, Customer provided station equipment at the
Customer's premies for use in connection with the service shal be so constrcted,
maintained and operated as to work satifactoriy with the facilties of the
Company.
(E) The Company shall not be responsible for the intaation, operation, or
maintenace of any Customer provided communcations equipment. Where such
equipment is connected to the facities fuhed puruant to th ta, the
responsibilty of the Company shal be lited to the fuhig of facilties offered
under th ta and to the maitenance and operation of such facities. Subject to
th responsibilty, the Company shal not be responsible for:
(1) the though tranmision of signal by Customer provided equipment or
for the qualty of, or defects in, such tranmision; or
(2) the reception of signals by Customer-provided equipment; or
(3) network control signalg where such signg is performed by Customer-
provided network control signalig equipment.

At the Customer's request, intation and/ or maitenance may be performed outside the
Company's reguar business hours or in hazardous locations. In such cass, charges based
on cost of the actual labor, material, or other costs incued by or charged to the Company
wi apply. If intation is stated durg regur business hours but, at the Customer's
request, extends beyond reguar business hours into tie periods includig, but not lited
to, weekends, holidays, and/ or night hours, additional charges may apply.
2.1.8 Special Constrcton
Subject to the agreement of the Company and to all of the reguations contaed in th
tarif, special constrction or facilties may be undertken on a reasonable efforts basis at the
request of the Customer. Speia constrction is constrction underten:
(A) where facilties are not presently avaible, and there is no other requirement for the
facilties so constrcted;
(B) of a tye other than that which the Company would normally uti in thefuhig of its servces;
(C) over a route other than that which the Company would normaly uti in thefuhig of its servces;
(D) in a quantity greater than that which the company would normally constrct;
(E) on an expedited basis;
(F) on a temporar basis unti permanent facilties are avaiable;
(G) involving abnormal costs; or
(H) in advance of its normal constrction.

2.2 Prohibited Uses
2.2.1 The servces the Company offers shal not be usd for any unwfl purpose or for any use
as to which the Customer has not obtained al requied governental approvals,
authoriations, licenses, consents and permits.
2.2.2 The Company may requie applicants for service who intend to use the Company's
offerings for resale and/or for shared use to fie a lettr with the Company confmig that
their use of the Company's offerigs complies with relevant laws and the Idaho
Commsion's regutions, policies, orders, and decisions.
2.2.3 The Company may block any signal being tranmittd over its Network by Customers
which cause interference to the Company or other users. Customer shal be relieved of all
obligations to make payments for charges relatig to any blocked Service and shall
indemn the Company for any claim, judgment or liabilty resultig from such blockage.
2.2.4 A Customer, joint user, or authorid usr may not assign, or tranfer in any maner, the
servce or any rights assocated with the service without the written const of the
Company. The Company wi permit a Customer to tranfer its exitig servce to another
entity if the existig Customer has paid al charges owed to the Company for reguated
communcations services. Such a tranfer wi be treated as a disonnection of exitig
servce and intallation of new service, and non-recrig intaation charges as stated in
th tarif wi apply.

equipment, space and power to operate Company facilties and equipment
intaed on the premies of the Customer, and the level of heatig and ai
conditionig necessary to maita the proper operatig environment on such

(D) obtag, maitag, and otherwe having full responsibilty for al rightsof-
way and conduit necessar for intaation of fiber optic cable and associated
equipment usd to provide Communcations Servces to the Customer from the
cable buildig entrance or property lie to the location of the equipment space
described in Section 2.3.1(C). Any and al costs associated with the obtaing and
maita the rights-of-way described herein, including the costs of altering the
strctue to permt intallation of the Company provided facilties, shall be borne
entiely by, or may be charged by the Company, to the Customer. The Company
may require the Customer to demonstrate its complice with th secon prior to
acceptig an order for service.

regardig the workig conditions on the premies at which Company employees

facilties and equipment with a hazardous area if, in the Company's opinon,
injur or damage to the Company employee or propert might result from
intaation or maitenance by the Company. The Customer shal be responsible
for identig, monitoring, removig and diposing of any hazdous materi
(e.g., frable asbetos) prior to any constrcton or intalltion work;
(F) complying with all laws and reguations applicable to, and obtag all consents,
approvals, licenses and permits as may be requied with respect to, the location of
Company facilties and equipment in an Customer premies or the rightsof-way
for which Customer is responsible under Setion 2.3.1(D); and grantig or obtaing
permsion for Company agents or employees to enter the premies of the
Customer at any tie for the purose of intag, inpectig, maitaing,
repaiing, or upon termtion of service as stated herein, removig the facilties or
equipment of the Company;
(G) not creatig or allowig to be placed any liens or other encumbrances on the
Company's equipment or facilties; and
(H) makg Company facilties and equipment avaiable periodicaly for maitenace
purose at a tie agreeable to both the Company and the Customer. Noalowance wi be made for the period durg which service is interrpte for such
purposes.

incidental and consequential damages caused by the negligent or intentional acts or
omisions of the Customer, its offcers, employees, agents, invites, or contractors
where such acts or omisions are not the diect result of the Company's negligence
or intentional miconduct.
(B) To the extent caused by any negligent or intentional act of the Customer as
descrbed in (A), preceding, the Customer shal indemn, defend and hold
harmess the Company from and agait al claim, actions, damages, liabilties,
costs and expenses, includig reasonable attorneys' fees, for (1) any loss,
destrction or damage to property of any thd party, and (2) any libilty incued
by the Company to any thd party pursuant to th or any other ta of the
Company, or otherwe, for any interrption of, interference to, or other defect in
any service provided by the Company to such thd par.
(C) The Customer shall not assert any clai agait any other Customer or usr of the
Company's servces for damages resultig in whole or in party from or aring in
connection with the fuhig of service under th taif including but not lited
to mitaes, omisions, interrptions, delays, errors or other defects or
mirepresentations, whether or not such other Customer or usr contrbuted in any
way to the occurrence of the damages, uness such damages were caused solely by
the negligent to intentional act or omision of the other Customer or usr and not
by any act or omision of the Company. Nothg in th ta is intended either to
lit or to expand Customer's right to assert any clai agait thd parties for
damages of any natue other than those described in the preceding sentence.

2.4 Customer Equipment and Channels
2.4.1 General
A usr may tranmit or receive inormation or signal via the facilties of the Company. The
Company's servces are designted priarily for the tranmision of voice-grade telephonic
signls, except as otherwe stated in th ta. A user may tranmit any form of signal that
is compatible with the Company's equipment, but the Company does not guarante that its
servces wi be suitable for purposes other than voice-grade telephonic communcation
except as specifcally stated in th ta.
2.4.2 Station Equipment
(A) Termial equipment of the user's premies and the electric power consumed by
such equipment shal be provided by and maitained at the expense of the user.
The user is responsible for the provision of wig or cable to connect its terml
equipment to the Company MPOP.
(B) The Customer is responsible for ensurg that Customer-provided equipment
connected to Company equipment and facilties is compatible with such equipment
and facilties. The magntude and character of the voltages and currents impressed
on Company-provided equipment and wiing by connection, operation, or
maitenance of such equipment and wig shal be such as not to cause damage to
the Company-provided equipment and wiing or injur to the Company's
employees or to other persons. Any additional protetive equipment requied to
prevent such damage or injury shal be provided by the Company at the
Customer's expense, subject to prior Customer approval of the equipment expense.

2.4.3 Interconnecton of Facilities
(A) Local Trafc Exchange provides the abilty for another local exchange provider to termitelocal trafc on the Company's network. In order to qual for Local Trafc Exchange the
cal must (a) be origiated by an end user of a company that is authorid by the
Commsion to provide local exchange servce; (b) origiate and termiate with a local
calg area of the Company.
(B) Any specia interface equipment necessar to achieve compatibilty between the facilties
and equipment of the Company usd for fuhig Communcations Servces and the
chanels, facities, or equipment of others shall be provided at the Customer's expense.
(C) Communcations. Servces may be connected to the servces or facilties of other
communcations carriers only when authorid by, and in accordance with, the terms and
conditions of the tas of the other communcations carriers which are applicable to such
connections.
(D) Facilties fuhed under th taif may be connected to Customer provided termial
equipment in accordance with the provisions of th ta. Al such termial equipment
shal be regitered by the Federal Communcations Commsion pursuant to Part 68 of Title
47, Code of Federal Reguations; and al usr-provided wig shal be intaed and
maitained in complice with those reguations.

2.4.4 Inspectons
(A) Upon suitable notication to the Customer, and at a reasonable tie, the Companymay make such tests and inpections as may be necessar to determie that the
Customer is complyig with the requiements set fort in Setion 2.4.2(B) for the
intaation, operation, and maintece of Customer-provided facities,
equipment, and wig in the connection of Customer-provided facilties and
equipment to Company-owned facilties and equipment.
(B) If the protective requiements for Customer-provided equipment are not being
complied with, the Company may tae such action as it deems necessary to protect
its facilties, equipment, and personneL. The Company wi noti the Customer
promptly if there is any need for futher corrective action. With ten days of
receiving th notice, the Customer must tae th corrective action and noti the
Company of the action taen. If the Customer fai to do th, the Company may
tae whatever additional action is deemed necessary, includig the suspension of
service, to protet its facities, equipment and personnel from harm.
(C) If har to the Company's network, personnel or services is iment, theCompany reserves the right to shut down Customer's service imediately, with no
prior notice requied.

26 Payment Arangements
2.6.1 Payment for Servces
The Customer is responsible for the payment of al charges for facilties and services
fuhed by the Company to the Customer.
The Customer is responsible for the payment of federal excis taes, state and local sales
and use taes and simar taes imposed by governenta jurisdictions, al of which shal be
separately designated on the Company's invoices. Any taes imposed by a local jurisdiction
(e.g., county and muncipal) wi only be recovered from those Customers residig in the
afected jurisdictions.
2.6.2 Biling and Collection of Charges
The Customer is responsible for payment of al charges incued by the Customer or other
users for servces and facilties fuhed to the Customer by the Company.
(A) Non-recing charges are due and payable with thty (30) days afr the date
the invoice is maied to the Customer by the Company.
(B) The Company shall present invoices for recrig charges monthy to theCustomer, in advance of the month in which servce is provided, and recg
charges shal be due and payable with thty (30) days afr the date the invoice is
maied to the Customer by the Company. When bilg is based upon Customer
usage, usage charges wi be biled monthy for the precedig bilg period.
(C) When servce does not begi on the fist day of the bilg period, or end of the last
day of the bilg period, the charge for the fraction of the month in which servce
was fuhed wi be calculated on a pro rata basis. For th purpose, every month
is considered to have th (30) days.

(D) Bilg of the Customer by the Company wi begi on the Servce Commencement
Date, which is the day on which the Company noties the Customer that the
servce or facilty is available for use, except that the Servce Commencement Date
may be postponed by mutual agreement of the parties, or if the servce or facilty
does not conform to stadards set forth in th taif or the Servce Order. Bilg
accrues though and includes the day that the servce, circut, arrangement or
component is discontiued.
(E) If any portion of the payment is not received by the Company with 30 days of
receipt of th bil, or if any porton of the payment is received by the Company in
fuds which are not imeditely available upon presentment, then a late payment
charge of 1.5% per month shal be due to the Company. A late payment charge is
not applicable to subsequent rebilg of any amount to which a late payment
charge has already been applied. Late payment charges are to be applied withoutdirition.
(F) the Customer should noti the Company of any diputed items on an invoice
with sixty (60) days of receipt of the invoice. If the Customer and the Company
are unable to resolve the dipute to their mutual satifacton, the Customer may fie
a complat with the Commsion in accordance with the Commsion's rules and

The date of the dispute shal be the date the Company receives sufcient
documentation to enable it to investigate the dispute. The date of the resolution

(G) If service is disconnected by the Company (in accordance with Setion 2.6.3followig) and later re-intaed, re-intation of service wi be subjec to al
applicable intalltion charges. If service is suspended by the Company (in
accordance with Setion 2.6.3 followig) and later restored, restoration of servce
wil be subject to the rate in Setion 4.3.

The Company may dicontiue service for the followig reasons provided in th Seon
2.6.3. Customers wi be provided ten (10) days wrtten notice prior to discontiuance
uness otherwise indicated. Notice wi be provided via First Cls U.S. Mai.
Upon the Company's dicontiuance of service to the Customer under Setion 2.6.3(A) or
2.6.3(B), the Company, in addition to all other remedies tht may be avaiable to the
Company at law or in equity or under any other proviion of th tarif, may declare al
futue monthy and other charges which would have ben payable by the Customer during
the remainder of the term for which such services would have otherwe ben provided to
the Customer to be imeditely due and payable.
(A) Upon nonpayment of any amounts owig to the Company, the Company may
discontiue or suspend servce without incurrg any libilty. Company wil
comply with the Telephone Customer Relations Rule.
(B) Upon violation of any of the other material term or conditions for fuhig
service the Company may, dicontiue or suspend servce without incurrig any
liabilty if such violation contiues durg that period.
(C) Upon condemntion of any materil porton of the facilties used by the Company
to provide service to a Customer or if a casualty renders al or any material porton
of such facilties inoperable beyond feasible repai, the Company, by notice to the
Customer, may disontiue or suspend servce without incug any liabilty.
(D) Upon the Customer's inolvency, assignent for the beneft of creditors, fig forbanruptc or reorganation, or failg to dicharge an involuntary petition with
the tie permttd by law, the Company may imediately discontiue or suspend
service without incuring any libilty. Company wil comply with Federal
Bankruptcy law and rules.
(E) Upon any governental prohibition or governental required alteration of the
services to be provided or any violation of an applicable law or regulation, the
Company may imediately discontiue service without incurrig any liabilty.

2.6.5 Cacellation of Application for Servce
(A) Where the Company permts the Customer to cancel an application for servce prior
to the start of service or prior to any special constrction, no charges wi be imposed
except for those speifed below.
(B) Where, prior to cancellation by the Customer, the Company incurs any expenses in
intallg the service or in preparg to inta the service that it otherwe would not
have incued, a charge equal to the costs the Company incued, less net salvage,
shal apply, but in no case shal th charge exceed the sum of the charge for the
mium period of servces ordered, includig intallation charges, and al charges
others levy agait the Company that would have ben chargeable to the Customer
had service begu.
(C) Where the Company incus any expense in connection with speial constrcton, orwhere special arangements of facilties or equipment have begu, before the
Company receives a cancelltion notice, a chage equal to the costs incurred, less net
salvage, may apply. In such cases, the charge wi be basd on such elements as the
cost of the equipment, facilties, and materia, the cost of intation, engieering,
labor, and supervision, general and admtrative expense, other dibursements,
depreciation, maintenance, taes, provision for retu on investment, and any other
costs associated with the specia constrction or arrangements.
(D) The specia charges described in 2.6.5(A) though 2.6.5(Q wi be calcuated and
applied on a casby-case basis.

2.6.6 Changes in Servces Requested
If the Customer makes or requests material changes in circuit engieerig, equipment
specifcations, service parameters, premies locations, or otherwe materialy modifes any
proviion of the application for servce, the Customet s intaation fee shal be adjusted
accordigly.
2.6.7 Bad Check Charge
A servce charge of $20.00 wi be assessed for al checks retued by a ban or other
ficial intitution for: Inufcient or uncollected fuds, closed account, apparent
taperig, mising signtue or endorsement, or any other inufciency or discrepancy
necessitatig retu of the intrment at the discretion of the drawee ban or other ficia
intitution.
2.7 Allowances for Interrptions in Servce
2.7.1 General
Credit for Interruptions: When the use of service or facilties furnhed by the Company is
interrupted due to any cause other than the negligence or wil act of the Customer, or
the operation or faiure of the facilties or equipment provided by the Customer, pursuant
to IDAPA 31.41.01 Rules 502 and 503 subject to interruption wil be alowed for the
service and facilties rendered useless and inoperative by reason of the interruption,
whenever said interruption contiues for a period of 24 hours or more from the tie the
interruption is reported to or known to exist by the Company, except as otherwe
specifed in the Company's taiffs. If the Customer reports a service, facilty or circuit to
be inoperative but declies to releas it for testig and repair, it is considered to be
impaied, but not interrupted.
For calculatig credit alowances, every month is considered to have 30 days. A credit
allowance is applied pursuant to IDAPA 31.41.01 Rules 502 and 503 based on the rates
specified hereunder for Local Line or Local Tru Service and is dependent upon the
lengt of the interruption. Ony those facilties on the interrupted portion of the circuit
wil receive a credit. Credit allowances for service outages that exceed 24 hours in
duration wi be rounded up at the next whole 24 hours.

2.7.2 Limitations of Allowances
No credit alowance wi be made for any interruption in servce:
(A) interruptions due to the negligence of, or noncompliance with the provisions of thtariff by, the Customer, Authorid User, Joint-User, or other common carrier
providing service connected to the service of Company;
(B) interruptions due to the negligence of any person other than the Company
including, but not lited to, the Customer connected to the Company's facilties;
(C) interruptions due to the faiure or malfnction of non-Company equipment;
(D) interruptions of service during any period in which the Company is not given full
and free access to its facilties and equipment for the purpose of investigatig and
correctig interruptions;

(E) interruptions of service during a period in which the Customer contiues to use the
service on an impaired basis;
(F) interruptions of service durig any period when the Customer has released service
to the Company for maintenance purposes or for implementation of a Customer
order for a change in service arrangements;
(G) interruption of service due to circumtaces or causes beyond the control of the
Company.
2.7.3 Use of Another Mean of Communcations
If the Customer elects to use another mean of communcations during the period of
interrption, the Customer must pay the charges for the alternative servce used.
2.8 Cancellation of Servcelermnation Liabilty
If a Customer cancels a service order or termites servces before the completion of the term for any
reason other than a service interrption (as defed in Setion 2.7.1) or where the Company breaches
the terms in the servce contract, Customer may be requested by the Company to pay to Company
termation liabilty charges, which are defied below. These charges shal beome due and owig
as of the effective date of the cancellation or termiation and be payable with the period set fort
in Seon 2.6.2.
2.8.1 Termation Liabilty
Customer's termition liabilty for cancelltion of servce shal be equal to:
(A) al unpaid non-recg charges reasonably expended by Company to establih
servce to Customer, plus;
(B) any disconnection, early cancellation or termation charges reasonably incured and
paid to thd parties by Company on be of Customer, plus;
(C) al recurrig charges speifed in the applicable Servce Order for the balance of the
then cuent term dicounted at the prime rate anounced in the Wall Street Journal on
the thd business day followig the date of cancelltion;
(D) mius a reasonable alowance for costs avoided by the Company as a diect result of
Customer's cancellation.

2.9 Tranfers and Assignents
Neither the Company nor the Customer may assign or tranfer its rights or duties in connection with
the services and facilties provided by the Company without the wrttn consnt of the other par,
except that the Company may assign its rights an duties to a) any subsidiary, parent company or
afte of the Company; b) pursuant to any sale or tranfer of substatialy al the assets of the
Company; or c) pursuant to any ficin~ merger or reorganation of the Company.
2.10 Flexible Pricing
Notice to Customers of rate changes shall be made in accordance with Idaho Code 62-606. Where
there are no regulations, notication wil be made in a maner appropriate to the circumstaces
involved. A Customer can request that the Company disconnect service that is provided under
the Flexible Pricing due to a price increase. The customer wil be credited for the diference
between the new price and the old price retroactive to the effective date of the price increase if the
customer notiies the Company of its desire to disconnect service with 20 days of receiving
notication of the price increase.

Where charges for a service are speifed based on the duration of use, such as the duration of a
telephone cal, the followig rules apply:

fractions of a measurement increment, are rounded-up to the next whole unt.
5.2.2 Timg on completed cal begi when the cal is anwered by the caled party. Anwerig
is determed by hardware anwer supervision in all cas where th signalg is provided

coordites, as referenced in Local Exchange Routig Guide issued by Bellcore, associated
with each NP A-NX combination (where NP A is the area code and NX is the fist thee
digits of a seven-digit telephone number). Where there is not telephone number associated
with an access lie on the Companýs network (such as a dedicated 800 or WATS access
lie), the Company wi apply the rate center of the Customets main bilg telephone
number.

The Stadard Business Line provides a Customer with a single, anog, voice-grade telephonic

Business Lines are provided for the connection of Customer-provided wiing and single station sets
or facsime machies. An optional per lie Huntig feature is avaible for multi-lie Customers
which routes a call to an idle station lie in a prearanged group when the caled station lie is busy.
5.7 PBX Truk Servce
Basic PBX Tru Service provides a Customer with a single, voice-grade telephonic communcations
chanel, which can be used to place or receive one cal at a tie. Basic Tru are provided for
connection of Customer-provided private branch exchanges (PBX) to the public switched
telecommuncations network. Each Basic PBX Tru is provided with touch-tone signalg and may
be confgured into a hunt group at no additional charge with other Company-provided Basic PBX

Direct Inward Dialg ("DID") permts cal incomig to a PBX system or other Customer Premi
Equipment to be routed to a specifc station without the assistace of an attendant. DID cal are
routed diectly to the station associated with the caled number. DID service as offered by the
Company provides the necessar tr, telephone numbers, and out-pulsing of digits to enables
DID service at a Customer's location. DID servce requies speial PBX softare and hardware not
provided by the Company. Such hardware and softare is the responsibilty of the Customer.

5.11.1 Featues Descrptions
(A) Flexible Call Forwarding: Provides end-user control for cal forwarding capabilties via
dial-accessed voice prompt menus. Customers may forward cal to a priary local or
long distace. The end-user may specif a seondar location for routig of go
unanwered at the forward-to location or reach a busy signL. Th secondar location
may be another telephone number, pager or voice messagig service. Oter capabilties
included with th featue include:
Speed Forwardig;
Priority Sceenig;
Rig Control; and
Timed Forwardig.
It is the responsibilty of the Customer to subscribe to the telephone number, pager or
voice messagig servce used as the secondar location.
(B) Call Forwarding Don't Answer: Permits the forwardig of incomig cal when the
end-uset s lie remai unanwered afer a pre-designated ringig interval. The
ringig interval before forwardig and the forward-to number are fied by the servce
order. However, the end-user has the abilty to tum the featue on or off at hi/her
dicretion.
(C) Cal Forwarding Busy Line: Permits the forwarding of incomig cal when the end-user's lie is busy. The forwarded number is fied by the end-user service order.

(D) Preferred Cal Forwarding: Permts the end-user to automatically forward to another
number cal received from up to six end-user pre-selected telephone numbers
programmed into the featues screeg lit. The end-user controls when the featue is
active, the forward-to-number and can add or remove calg numbers from the
featue's screenig lit.
(E) Cal Forwarding Varable: Permits the end-user to automaticaly forward (tranfer) alincomig cal to another telephone number, and to restore it to normal operation at

connection. When the thd party anwers, a two-way conversation can be held before
adding the origial par for a theeway conference. The end-user intitig the
conference controls the cal and may diconnect the thd party to reestablih the
origil connection or establih a connection to a diferent thd par. The featue may
be used on both outgoing and incomig cal.
(H) Multiple Directory Number Distinctve Ringing: Th featue alows an end user to
determe the source of an incomig cal from a ditictive ring. The end user may
have up to two additiona numbers assigned to a single lie (i.e. Distictive Rigig -
First Number and Distictive Rigig - Seond Number). The designted priary
number wil receive a normal rigig pattrn; other numbers wi receive ditictve
ringig pattrn. The pattrn is based on the telephone number that the calg part
dials.

remove telephone numbers and codes to/from the sped calg lit without assistace
from the Company.
(J Repeat Dialng: Permits the end-user to have cal automaticaly redialed when the fist
attmpt reaches a busy number. The lie is checked every 45 seconds for up to 30
miutes and alert the Customer with a ditictive rigig pattern when the busy
number and the Customer's lie are free. The Customer can contiue to make and
receive call whie the featue is activated. The followig tyes of call canot be

(K) Caler ID: Permts the end-user to view a Directory Name and Directory Number of the

CPE not provided by the Company. The featue alo provides the date and tie of
each incomig cal. It is the responsibilty of the Customer to provide the necessar
CPE. In some situations, the calg pars city and state may be diplayed rather than
a Directory Name, dependig on available cal data.
(L) Cal Selector: Alows a Customer to assign a maximum of 15 telephone numbers to a
special lit. The Customer wi hear a distictive rig when cal are received from
telephone numbers on that lit.

options offered with Cal Waitig Deluxe include:
Anwer the waitig call and placing the fist par on hold;
Anwer the waitig cal and disconnectig from the fist par;
Direct the waitig caler to hold via a recording
Forward the waitig caler to another location (e.g., voice maibox or telephone
anwerig servce)
Full utiation of Call Waitig Deluxe requies specialied CPE not provided by the
Company. It is the responsibilty of the Customer to provide the necessar CPE. The
end-user must have Caler il Basic or Deluxe for diplay of calg party identication
inormation for waitig call. The end-user must have a Cal Forwardig don't
Anwer feature active in order to forward a waitig call to another location.
(N) Call Tracing: Alows the tracing of nuiance cal to a specifed telephone number
suspected of origiatig from a given local offce. The tracig is activated upon
enterig the specifed dial code. The origitig telephone number, outgoing tr
number or termiatig number, and the tie and date are generated for every cal to
the speifed telephone number can then be identied.
(0) Cal Block: Alows the end-user to automaticaly block incomig cal from up to six
end-user pre-selected telephone numbers programmed into the featue's screenig lit.
Callers whose numbers have ben blocked wi hear a recorded message statig that
their call has ben blocked. The end-user controls when the featue is active, and can
add or remove callg numbers from the featue's screenig lit.

(P) Cal Retu: Allows the Customer to return a cal to the last incomig cal whether
anwered or not. Upon activation, it wi redi the number automatically and contiue
to check the number every 45 seconds for up to 30 miutes if the number is bus. The
Customer is alerted with a ditictive rigig pattrn when the busy number is free.
When the Customer anwers the rig, the call is then completed. The callg partys
number wi not be delivered or anounced to the cal recipient under any
circutaces.
(Q) Anonymous Call Rejecton: Permits the end-user to automaticaly reject incomig call
when the cal origiates from a telephone number which has blocked delivery of its
calg number (see Calg Number Delivery Blockig). When active, cal from
private numbers wi be routed to a specia anouncement then termiated. The featue
may be turned on or off by the end-user by dialg the appropriate feature control code.
Anonymous Cal Rejection is offered as a stad-alone featue or as an add-on to Caler
IDDeluxe.
(R) Callng Number Delivery Blockig: Prevents the delivery, diplay and anouncement
of the end-user's Directory Number and Diectory Name on al cal dialed from an
exchange service equipped with th option. When active, the end-ust s telephone
name and number wi not appear on the caled pars Caller ID CPE or be dislosed in
another way. The featue is avaible on a per call or per lie basis. With per cal
Calg Number Delivery Blockig, it is necessar for the end-usr to dial an activation
code prior to placig the cal. With the per lie version of the featue, al cal are
placed with the end-uset s number blocked. Per lie end-usrs must di an actvation
code prior to utition.
(S) Message Waiting Indication: Provides the end-user with an audible (stuttr dial tone)
or visual (lamp or other CPE diplay) indication that messages are waitig to be
retrieved. Message Waitig Indication can only be activated/deactivated by a voice
mailbox or other voice messagig servce provided by the Company or thd par. It is
the responsibilty of the Customer to subscribe to a compatible voice messagig service.
Visual Message Waitig Indication requires speciald CPE not provided by the
Company. It is the responsibilty of the Customer to provide the necessary CPE.

For each Customer of Company-provided Exchange Servce(s), the Company shall arrange for the
litig of the Customers mai bilg telephone number in the diectory(ies) publihed by the
domiant Local Exchange Carier in the area at no additional charge. At a Customet s option, the
Company wi arange for additional litigs for an additiona chage.
5.12.1 Non-Published Servce
Th optional service provides for suppression of printed and recorded direcory litigs. A
Customet s name and number do not appear in prited diectories or Direcory Assistace
Bureau records.
5.12.2 Non-Listed Servce
Th optional service provides for suppression of prited directory litigs only. Pares
may sti obta the Customer s number by calg the Directory Assistace Bureau.
5.13 Directory Assistance
Provides for identication of telephone diectory numbers, via an operator or automated platform.
Customers are provided with a maximum of 2 litigs per each call to Directory Assistace.
5.14 Miscellaneous Servces
5.14.1 Presubscrption Servces
Th servce provides for the Presubscription of local exchange lies provided by the
Company to the intraLATA and interLATA long distace carrieres) selecte by the
Customer.
5.14.2 Pay Per Call Blockitinblocking
Th servce provides the option of blockig, or subsequent unblockig, al 900 and 976 cal
on a per lie basis. The Company wi provide for per-lie blockig where the Companý s
switchig facilties permt.

7.5 Business PBX Tru Servce
PBX Tru service provides a Customer with a single, voice-grade telephonic communcations
chanel which can be used to place one cal at a tie. Tru are provided for connecon of
Customer-provided private branch exchanges (PBX) or other station equipment to the public
switched telecommuncations network.
PBX Tru are available to Business Customers as Inward, Outward or Two-Way combination
tr where servces and facilties permt.
Each PBX Tru is provided with Touchtone signlig at no additional charge. An optional per
tr Huntig featue is avaiable for Customers which routes a call to the next idle tr in a
prearanged group (see Section 7.3).
PBX Tru may alo be equipped with Direct Inward Dialg (DID) capabilty and DID number
blocks for additional charges (see Setion 7.6). Usage charges are lited in Setion 7.3.

7.6 Direct Inward Dialing (DID) Servce
Direct Inward Dialg ("DID") permts cal incomig to a PBX system or other Customer Premi
Equipment to be routed to a specifc station without the assistace of an attndant. DID call are
routed diectly to the station associated with the caled number. DID service as offered by the
Company provides the necessary tr, telephone numbers, and out-pulsing of digits to enable
DID service at a Customet s location. DID service requies special PBX softare and hardware not
provided by the Company. Such hardware and softare is the responsibilty of the Customer.
The following charges apply to Customers subscbing to DID service provided by the Company.
These charges are in addition to recg and non-recrig charges for PBX Tru as shown in
Setion 7.5 of th taif. The Customer wi be charged for the number of DID numbers utied out
of the available 20 numbers.

9.1 ISDN PRI Service with Unlimited Local Callng
ISDN PRl offers an array of value-added features, such as callg number identiication and call-
by-call selection that enhance productivity. ISDN PRl is configured with 23 64 Kbps bi-directional
B (Bearer) chanels and one 64 Kbps D (Data) channeL. Unique to ISDN PRl is its abilty to
designate the D chanel to handle all of the signalig and call control requiements and leave the
remaing 23 B chanels free for any mi of circuit-switched voice and data.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
unlted local callg for sent-paid, diectly dialed call. Rates do not include calg card call,
inormation type call to Time and Weather, 555, 700, 900, 976 Services, Directory Assistace or
any other type of Operator Handled call.
ISDN PRl includes the following non-optional Feature Package: Inbound Callg Line ID-Name &

9.2 Digital DS-l PBX Servce with Unlimited Local Callng
This servce provides a trunk side DSI electrcal interface from the customer's digital PBX system
to a digita port on a local Company switch for the origiation and termination of call. Trafc to
and from the digita PBX can be received or dialed directly from any PBX station without the
need for an attendant.
These digital tr deliver a high-speed DSI (Tl) connection between your PBX and the
Company network. There are up to 24 chanels on one facilty, each of which can be used to place
or receive call. Th multi-chanel capabilty dramatically reduces the need for additional PBX
circuit cards.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
unlited local callg for sent-paid, directly dialed call. Rates do not include callg card call,

ISDN PRI offers an array of value-added features, such as callg number identication and call-
by-call selection that enhance productivity. ISDN PRI is confgured with 23 64 Kbps bi-directional
B (Bearer) chanels and one 64 Kbps D (Data) chaneL. Unique to ISDN PRI is its abilty to
designate the D channel to handle all of the signlig and call control requirements and leave the
remaing 23 B channels free for any mi of circuit-switched voice and data.
This product is offered under a 12, 24 or 36 month term agreement. Rates include unted local
callg for sent-paid, directly dialed call. Rates do not include callg card call, inormation tye
call to Time and Weather, 555, 700, 900, 976 Services, Directory Assistance or any other tye of
Operator Handled call.
The Unlted Local Callg and Bundled Toll/LD Service Products are offered with six diferent
increments of Toll/LD Minutes of Use: 5,000, 10,000, 15,000, 30,000, 50,000 and 100,000.
Installation charges are included in the monthy recurring charges. Regional Toll and Long
Distace Services must be PIC'd to the Company.

9.4 Digital DS-l PBX Service with Unlimited Local Callng and Bundled TollfD Service
Th service provides a tr side DSl electrical interface from the customer's digital PBX system
to a digital port on a local Company switch for the origiation and termination of call. Trafc to
and from the digital PBX can be received or dialed directly from any PBX station without the
need for an attendant.
These digital tr deliver a high-speed DS1 (T1) connection between your PBX and the
Company network. There are up to 24 chanels on one facilty, each of which can be used to place
or receive call. This multi-channel capabilty dramatically reduces the need for additional PBX
circuit cards.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
united local callg for sent-paid, directly dialed call. Rates do not include callg card call,
inormation type call to Time and Weather, 555, 700, 900, 976 Services, Directory Assistance or
any other tye of Operator Handled call.
The Digital D5-1 PBX Service with Unlited Local Callg and Bundled Toll/LD Service
Products are offered with six different increments of Toll/LD Minutes of Use: 5,000, 10,000,

ISDN BRI (Basic Rate Interface) uses stadard "twisted pair" cables and is nearly three ties
faster than a 56K dial up lie. ISDN PRI (Primary Rate Interface) uses a 1.544 Mbps digital
tranport facilty (Tl). Both services provide the superior clarity of digital transmission, a high-
speed data interface and suffcient bandwidth capacity to fulf your current and future
communcation needs.
ISDN BRI consists of two 64 Kbps B (Bearer) chanels and one 16 Kbps D (Data) channeL. Each B
chanel has the abilty to integrate voice, data, image and video. The B chanels may be kept
separate or bonded together to deliver 128 Kbps.

11.1 Carrer Presubscription
11.1.1 General
SECTION 11.0 - MISCELLANEOUS SERVICES
Carrier Presubscription is a procedure whereby a Customer designates to the Company
the carrier which the Customer wihes to be the carrier of choice for intraLATA and
interLATA toll call, Such call are automaticaly directed to the designted carrier,
without the need to use carrier access codes or additional dialig to direct the call to the
designated carrier. Presubscription does not prevent a Customer who has presubscribed
to an IntraLATA or InterLATA toll carrier from using carrier access codes or additional
dialig to direct call to an alternative long distace carrier on a per call basis.
11.1.2 Presubscription Options - Customers may select the same carier or separate carriers for
intraLATA and interLATA long distace. The followig options for long distace

for intraLATA and interLATA toll call. One carrier to be the Customers'

presubscribed carrier for intraLATA toll call subject to presubscription
which wi require the Customer to dial a carrier access code to route all

11.1.3 Rules and Regulations
Customers of record wi reta their priar interexchange carrieres) unti they request that
their dilig arrangements be changed.
Customers of record or new Customers may select either Options A, B, C, D, E or F for
intraLA TA Presubscription.
Customers may change their selected Option and/or presubscribed toll carer at any tie
subject to charges specifed in 11.1.5 below:
11.1.4 Presubscrption Procedures
A new Customer wi be asked to select intraLATA and interLATA toll carriers at the tie
the Customer places an order to establih local exchange service with the Company. The
Company wi process the Customet s order for service. Al new Customers intial requests
for intraLATA toll servce presubscription shal be provided free of charge.
If a new Customer is unable to make selection at the tie the new Customer places an order
to establih local exchange servce, the Company wi read a random litig of al avaible
intraLATA and interLATA carriers to aid the Customer in selection. If selection is sti not
possible, the Company wi inorm the Customer that he/ she wi be given 90 calendar days
in which to inorm the Company of hi/her choice for primary toll carrieres) free of charge.
Unti the Customer inorms the Company of hi/her choice of priary toll carrier, the
Customer wi not have access to long ditace servces on a presubscribed basis, but rather
wi be requied to dial a carrier access code to route al toll call to the careres) of choice.
Customers who inorm the Company of a choice for toll carrier presubscription with the
90-day period wi not be assessed a servce charge for the intial Customer request.
Customers of record may intiate an intraLATA or interLATA presubscription change at
any tie, subject to the charges specifed in 11.1.5 below. If a Customer of record inquires
of the Company of the carers avaible for toll presubscription, the Company wi read a
random litig of all avaible intraLATA carriers to aid the Customer in selection.

13.1 Promotional Oferigs
The Company, upon notiication to Commsion, may make promotional offerings to its service
which may include waiving or reducing the applicable charges for the promoted service. The
promotional offerings may be lited as to the duration, the date and ties of the offerig and
the locations where the offerings are made.
13.2 Contract Rates / Individual Case Basis (ICB) Arangements
Competitive pricing arrangements at negotiated rates may be furnihed on an individual case
basis (ICB) in response to request by customers to Mitel, for proposals or for competitive bids.
Service offered under this tariff provision wi be provided to the Customer pursuant to contract.
Unless otherwe specified, the regulations for such arrangements are in addition to the
applicable regulations and prices in other sections of th tarif. Specialied rates or charges wil
be made available to similarly situated Customers on a non-discriminatory basis. Company wi
provide the Commission with copies of any ICB contractual arrangements.
