Page numbers appear in the upper-right comer of the page. Pages are numbered sequentially. However, new pages are occasionally added to the taff. When a new page is added, the page appears as a decimaL. For example, a new page added between pages 34 and 35 would be 34. 1. B. Page Revision Numbers. Revision numbers also appear in the upper-right comer of the page. These numbers are used to determine the most curent page version on file with the Idaho Public Utilties Commission. For example, the 4th revised Page 34 cancels the third revised Page 34. Because of deferrals, notice periods etc., the most curent page number on file with the Commission is not always the tariff page in effect. Subscriber should consult the check page for the page curently in effect. C. Paragraph Numbering Sequence. There are nine levels of paragraph coding. Check List of Effective Pages. When a tariff filing is made with the Commission, an updated Check List of Effective Pages ("Check List") accompanies the taff filing. The Check List lists the pages contained in the taiff, with a cross reference to the curent revision number. When new pages are added, the Check List is changed to reflect the revision. All revisions made in a given filing are designated by an asterisk (*). There will be no other symbols used on the Check List if these are the only changes made to it (i.e., the format, etc.). The subscriber should refer to the latest Check List to find out if a paricular page is the most curent page on file with the Commission. (hereinafter referred to as "Company") between varous locations in the State of Idaho. The regulations governing the provision and use of services offered under this Tarff are set forth in Section 2. Authorization Code "Authorization Code" means a numerical code, one or more of which are assigned to a Customer to enable it to access the Services provided by the Company and to identify the Customer for billng puroses. Carier "Carrier" means a communications common carrier authorized by the Commission or the FCC to provide communcations service to the public. Commission "Commission" means the Idaho Public Utilties Commission. Credit(s) "Credit(s)" has the meanng set forth in Section 2.26 hereof. Credit Allowances "Credit Allowances" has the meaning set forth in Section 2.26 hereof Credit Limit "Credit Limit" means a credit limit placed on Customer's monthly consumption of Services pursuant to Section 2.18. Customer "Customer" means the person, firm, company, corporation, or other entity who, pursuant to a Service Order, orders Service(s) under this Tarff. Governental Authority "Governental Authority" means any judicial, administrative, or other federal, state or muncipal governental authority (including without limitation the Commission and the FCC) having jurisdiction over the Company or the provision of Services hereunder. Holidays "Holidays" means all Company-specified holidays: New Year's Day (January 1), Independence Day (July 4), Labor Day, Thansgiving Day and Christmas Day (December 25). ICB Individual Case Basis" or "ICB" has the meaning set forth in Section 2.35 hereof. Interrption "Interrption" means the disruption of, or removal of a circuit from, Service such that the Service becomes unusable by Subscriber for a continuous period of thirty (30) minutes or more. InterLATA Service "lnterLAT A Service" means communcations between a point located in a local access and transport area ("LATA") and a point located outside such area. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 9 LOCAL EXCHAGE TELECOMMUICATIONS SERVICES SECTION 1 - TECHNICAL TERMS AND ABBREVIATIONS (CONT'D) Local Exchange Carier (" LEC") "LEC" means any person that is engaged in the provision of local exchange service or exchange access service. However, such term does not include any person insofar as such person is engaged in the provision of commercial mobile radio service. Local Access and Transport Area ("LATA") "Local Access and Transport Area" or "LATA" means a geographical area established by the U.S. District Cour for the District of Columbia in Civil Action No. 82-0192, within which a LEC provides communications service. Minimum Service Period "Minimum Service Period" (or "MSP") means the minimum period of time durng which Customer takes Services under this Tariff. NP Number Portabilty - a service arrangement that allows a Customer to retan its telephone number when switching to another service provider. Other Providers "Other Providers" means any cariers or other service providers, whose services or facilties are connected to the Services. Performance Failure "Performance Failure" means any disruption, degradation, or failure of Service, including without limitation any Interrption (but excluding Scheduled Interrptions), any installation failure or delay, or any mistake, delay, omission, error or other defect in the Service or in the provision thereof. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 10 LOCAL EXCHANGE TELECOMMUICATIONS SERVICES SECTION 1 - TECHNICAL TERMS AND ABBREVIATIONS (CONT'D) Regulation(s) "Regulation(s)" means any and all law(s), rule(s), regulation(s) (including without limitation those set forth in this Tariff), order(s), policy or policies, ruling(s), judgment(s), decree(s) or other determnation(s) which are made by the Commission or any other Governental Authority or which arse under any federal, state, or local statute, utility code, or ordinance, and which are applicable to the Services or to any provision of this Tariff. Resale Tarff(s) "Resale Tariff(s)" means the tariff(s) of one or more Underlying Cariers. Scheduled Interrption "Scheduled Interrption" means an Interrption which has been scheduled by the Company in advance for maintenance, testing, or other administrative puroses. Service(s) "Service(s)" means the Company's regulated, communications common carer service(s) provided under this Tariff. Service Commencement Date "Service Commencement Date" means either (i) the first day following the date on which the Company notifies the Customer that the requested Service is available for use, (ii) in the event Customer lawflly refuses to accept such Service, the date of Customer's acceptance of such Service, or (iii) another, mutually agreed upon date. Service Order "Service Order" means (i) a contract between the Company and Customer, or (ii) a Company designated form used from time to time by Customer for puroses of ordering Services hereunder. Wacker Drive, Suite 2510 Chicago, IL 60606 iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 11 LOCAL EXCHANGE TELECOMMUICATIONS SERVICES SECTION 1 - TECHNICAL TERMS AND ABBREVIATIONS (CONT'D) Subscriber "Subscriber" means a person, firm, company, corporation, or other entity that is authorized by the Customer to use Service under this Tariff. TDD TDD" means a Telecommunications Device for the Deaf. Termination (Terminate) "Termination" (or "Terminate") means discontinuance of (to discontinue) Services, either at Customer's request, or by the Company in accordance with Regulations. Thrd Pary Biling Companies "Third Pary Biling Companies" means, collectively, any clearnghouses, LECS, Other Providers, credit card companies or other third paries who bil Customers for Services on the Company's behalf. Underlying Carieres) "Underlying Carier(s)" means the LEC(s) or other Careres) whose services are resold or leased by the Company pursuant to ths Tariff. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 12 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS 2.1 Undertakg ofthe company 2.1.1 Obligation to Provide Service The Company shall exercise its best efforts to provide Services to Subscribers pursuant to the terms and conditions of this Tarff. The company shall exercise reasonable efforts to make such Services available for Subscribers' use on either the installation date set forth in a Service Order (or, if no date is specified) as soon as practicable after execution of a Service Order, subject to Customer's compliance with Regulations. In addition to the Service Order, Customer shall also execute such other documents as the Company may reasonably require. In the event of a confict or inconsistency between (I) the terms of a Service Order (or of any other document executed by the Customer) and (ii) those of this Tarff, the latter shall govern. 2.1.2 Conditions to Company's Obligations The obligations of the company to provide services are subject to the following: (i) availabilty, procurement, construction, and maintenance of facilties required to meet the Service Order; (ii) the provision of Services to the Company for Resale by the Underlying Carier; (iii) interconnection to Other Providers' services or facilities as required; and (iv) any applicable Credit Limit. Wacker Drive, Suite 2510 Chicago, IL 60606 iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 13 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.1 Undertaking of the company (Cont'd) 2.1.3 Right to Discontinue or Block Services The Company reserves the right (i) to discontinue or temporarily suspend Services to or from a location where the necessar facilties or equipment are not available under terms and reasonably acceptable to the Company; or (ii) to block Services to any Subscriber location or any authorization Code, without any liabilty whatsoever, in the event that the Company detects or reasonably suspects either (a) fraudulent or unlawfl use of the Services at or by means of said location or Authorization Code, or (b) consumption of Services in excess of the Credit Limit (if any). Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 14 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.2 Responsibilty and Use 2.2.1 Services may be used by Customer or Subscriber for any lawfl purose, twenty four (24) hours per day, seven (7) days per week, subject to the terms and conditions set forth herein and in any applicable Service Order. Customer is solely responsible for (I) prevention of unauthorized, unawfl or fraudulent, use of or access to Services, which use or access is expressly prohibited; and (ii) administration and non-disclosure of any Authorization Codes provided by Company to Customer. 2.2.2 The Company reserves all rights to any telephone number assigned to a customer for local service except as outlined below for Number Portbilty (NP); A. Under NP arrangements, service of the NP can be provided by the Company to the underlying local carrier, or by the underlying local carrier to The Company. For purposes of this section, the part porting traffc to the other Part shall be referred to as the "INP Provider" and the Part receiving NP traffc for termination shall be referred to as the "NP Requestor". B. NP shall apply to situations where an end user Customer elects to transfer to a new service provider and wishes to retain the existing telephone number. NP consists ofNP Providers provision to the NP Requestor the capabilty to route calls placed to telephone numbers assigned to the NP Provider's switches to the NP Requestor's switches. C. NP is available only for working telephone numbers assigned to the NP Provider's end users who request to transfer to the NP Requestor's service. Local Interconnect Service is required for NP to be possible. D. The Company may change such numbers, or the central offce code designation associated with such numbers, or both, assigned to the Customer, whenever the Company, in its sole discretion, deems it necessar to do so in the conduct of its business. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tarff No. 1 Original Page 15 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.3 Transmission The Services are suitable for the transmission of voice, data, or other communcations only to the limited extent set forth in the Tariff(s). 2.4 Call blocking Notwithstading any other provision of this Tarff, the Company may block calls which are (i) made to certain countries, cities, or central office ("NXX") exchanges, or (ii) use certin Authorization Codes, as the Company, in its sole discretion, deems reasonably necessary to prevent unawfl or fraudulent use of Services. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tarff No. 1 Original Page 16 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.5 Interconnection 2.5.1 Services or facilties fuished by the company wil be connected with services or facilities of Other Providers subject to any technical limitations set forth in said Other Providers' tariffs (if any); provided, however, Service fuished by the company is not par of a joint underting with any Other Provider. 2.5.2 Interconnection with the facilities or services of Other Providers is subject to (i) the availabilty of said Other Providers' facilties; and (ii) the applicable terms and conditions of the other Providers' taffs (if any). Customer shall be solely responsible for satisfying all legal requirements for interconnecting Customer provided terminal equipment or communcations systems with Other Providers' facilities, including, without limitation, application for all licenses, permits, rights of-way, and other arangements necessar for such Interconnection. Satisfaction of all legal requirements, any interface equipment or any other facilties necessar to interconnect the facilities of the Company and Other Providers must be provided at the Customer's sole expense. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 17 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.6 Equipment 2.6.1 The company's facilities or Services may be used with or terminated to Customer Premises equipment ("CPE"), such as a private branch exchange, key system or pay telephone. CPE is the sole responsibility of the Customer and the Company has no responsibility whatsoever for the installation, operation, and maintenance of such CPE. The Customer is solely responsible for all costs of installng, maintaining or repairing CPE, including without limitation personnel charges, wiring costs, and costs associated with routing of electrical power, incured in the attachment to and use of the Company's facilties or Services. 2.6.2 The Customer is responsible for ensuring that all attched CPE conforms to the Federal Communications Commission's registration requirements set forth in Par 68 of the Code of Federal Regulations (as amended), and the Company may discontinue the provision of Services to any location where CPE fails to conform to such Regulations. 2.6.3 The Customer will be responsible for payment of service charges at the Company's standard, hourly rates in effect from time to time for visits by Company personnel to the Customer's premises in response to any Service difficulty or trouble report determined to be caused, in whole or in par, by the use of any CPE, Services, facilties, or other equipment which is not provided by the Company. Wacker Drive, Suite 2510 Chicago, IL 60606 iNetworks Group, Inc.Idaho Tarff No. 1 Original Page 18 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.7 Title Title to any and all equipment or facilities provided by Company under this Tarff will remain in the Company. 2.8 Customer Premises Customer shall provide, without cost to Company, all equipment, space, conduit, and electric power required to terminate the Services at the Subscriber's premises. The Customer shall arange for the company, or other Cariers as required, to leave access to the Subscriber's premises at all reasonable times for purposes of Service installation, Termination, inspection and repair. Customer shall be solely responsible for any damage to or loss of Company equipment while on the premises of Subscriber, unless such damage is caused by the negligence or willful misconduct of the Company, its employees, subcontractors or agents. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tariff No. 1 Original Page 19 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.9 Non-routine maintenance and installation At the Customer's request, the Company will perform installation or maintenance on weekends or times other than durng normal business hours; provided, however, customer may be assessed reasonable, additional charges based on the Company's actually incurred labor, material or other costs for such non-routine installation or maintenance. Said non- routine maintenance and installation will be subject to availabilty to Company by contract providers. 2.10 Interrption The Company, without incuring any liability whatsoever, may make Scheduled Interrption at any time (i) to ensure compliance by the Customer or Subscriber with Regulations (including without limitation the provisions of ths Tariff, (ii) to ensure proper installation and operation of the Customer's and the Company's equipment and facilities, (iii) to prevent fraudulent use of or access to the Services, or (iv) to perform any other maintenance, testing or inspection reasonably required for the provision of Services hereunder. 2.11 Service commencement and acceptace Biling for Services wil commence as of the Service Commencement date. The Company shall notify the Customer when Services ordered pursuant to an accepted Service Order are ready for use. Customer may refuse to accept such Services only if such Services fail to substantially comply with the specifications (if any) therefore set forth in the Service Order or in this Tariff. 2.12 Minimum Service Period The Minimum Service Period ("MSP") wil be for the term specified in the applicable Service Order, which term must be no less than thirt (30) days. Except as otherwse provided in the Service Order, (i) this MSP will automatically renew for subsequent terms of equal duration, and (ii) either the Company or the Customer may elect not to renew any MSP by written notice to the other no later than thirty (30) days prior to the expiration date of said MSP. Wacker Drive, Suite 2510 Chicago, IL 60606 Effective: iNetworks Group, Inc.Idaho Tarff No. 1 Original Page 20 LOCAL EXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.13 Service Order Cancellation Customers who cancel a Service Order prior to Service installation (including without limitation cancellation of special constrction or Services provided on an individual case basis will incur a charge equal to the greater of (i) the non-recurng charges for the MSP, or (ii) the company's reasonably incured, actual expenses associated with such cancellation. . 2.14 Biling and Payments 2.14.1 Except as otherwse limited by Regulation, Customer shall be responsible for payment of all charges, whether authorized or not, for any and all use of or access to Services provided to Subscribers, including without limitation any unauthorized, unlawfl or fraudulent use or access. Customer's charges for Credit Card Calls are subject to any applicable limitations established by Title 12 of the Code of Federal Regulations Par 226 ("Regulation ZIt) or to any other Regulation. 2.14.2 All amounts stated in each monthly invoice are due and payable immediately upon Customer's receipt thereof. 2.14.3 Except as otherwse provided in this Tarff, charges for Services wil be biled to Customer on a monthly (30 day) basis. Local service charges, including instalation charges, are biled in advance. Certain toll charges and NRCs are biled in arears. 2.14.4 Charges for telecommunications Service will be biled to Customer on a monthy (30 days) basis, in advance, 20 days before the due date for the following month's service. Customer's Service will be discontinued if the amount stated on the monthly invoice is not paid in full by 5:00 p.m. on the 10th day of the month following the due date. Customers may pay their monthly bils with a casher's check, money order, cash, money gram, credit card or ACH payment directly to the Company or at an authorized agent of the Company. Termination of Services by the Customer or the Company for any reason whatsoever will not relieve Customer of its payment obligations hereunder for all Service charges incurred by Customer through the date of Termination. Any invoice for Services not disputed in writing by Customer within ten (10) days after receipt thereof is to be deemed conclusively correct and binding upon the Customer; provided, however, Customer will have the right to Obtain Commission investigation of any disputed invoice before Service is disconnected in accordance with Regulation. 2.15 Late Payment If the customer's invoice is not paid in full by 5:00 p.m. on the 10th day of the month following the due date the customers account will be charged a $10.00 late payment fee. 2.16 Deposits The Company does not require deposit to secure or maintan service. Such a Limit will be based on average monthly. usage for a total of two months. Charges for local access to 911 services are not included in amounts established for Credit Limit puroses. The determination of need of a Credit Limit is based on: A. A Customer who in the last twelve (12) months has had service disconnected either from The Company or from another utility; B. If a Customer exceeds an agreed upon a usage amount for a period of two (2) months. 2.19 Taxes The Customer is responsible for payment of any and all state taxes or surcharges, including without limitation franchise fees, excise taxes, sales taxes, or muncipal utilities taxes. Customer is solely responsible for connecting any and all apparatus, equipment and associated wiring on Subscribers' premises to the Services, and no other Carier or third par engaged in such activity is to be deemed to be an agent or employee of the Company. 2.22.6 Any action or claim against the Company arising from any of its alleged acts or omissions in connection with this Tariff will be deemed waived if not brought or made in writing within-sixty (60) days from the date that the alleged act or omission occured. 2.22.7 The included taff languge does not constitute a determination by the Commission that a limitation of liability imposed by the Company should be upheld in a cour of law. Credits are calculated by multiplying the monthy recurring rate (if any) for the affected Service by the ratio that the number of hours the Interrption bears to 720 hours. For the purose of this computation, each month is deemed to leave 720 hours. A. An Interrption is measured from the time the Company detects, or the Customer notifies the Company of, its occurence until such time as the Interrption is cured. Each Interrption is to be considered separately for the puroses of this calculation and is rounded to the nearest hour. B. A Service Outage is measured from the time the Company detects, or the Customer notifies the Company of its occurence until such time as the service outage is restored. A Customer is deemed to have service outage when the Customer service quality has deteriorated to the extent that the Customer canot make or receive local calls or canot use the service for voice grade communications due to cross-ta, static or other transmission problem that is within control of the Company. Credits will be applied to a Customers bil in the same maner as described in herein. C. The Company will keep and maintain accurate records of all customer trouble reports which shall include accurate identification of the customer, time, date and natue of the trouble report as well as accurate record of disposition of all customer trouble reports. D. Commitments to customers for repair service shall be in accordance with IDAPA 31.41.01.503. Every attempt will be made to fulfill repair commitments to Customers. Customers shall be notified of unavoidable delays and/or changes in appointments or commitments in a timely maner. Failure on the par of The Company shall not relieve the Company of obligations to provide credit(s) to a Customers bil. The Company will not be obligated to apply credit(s) if The Company makes a commitment or appointment to resolve trouble reports and the Customer fails to keep the original aranged commitment or appointment. E. The Company will make every attempt to resolve interrptions service outages within sixteen (16) hours after the report of the outage if the Customer notifies The Company that the outage has created an emergency situation for the Customer. 1. Resolution of interrptions and/or service outages will be resolved within twenty-four (24) hours afer the report of an outage if no Customer emergency exists. Outages reported between noon on Satudays and 6:00 p.m. on the following Sunday, will be restored within fort-eight (48) hours or by 6:00 pm on the following Monday, whichever is sooner. Interrptions or service outages caused by natual disaster or other causes not within the Company's control, and affects a large group of customers, or other conditions where the personal safety of an employee would be in jeopardy, the Company will not be required to provide a credit(s) as described in the preceding paragraphs of ths taiff. At all times the Company shall be required to use reasonable judgement and due dilgence in attempts to restore or provide service in a safe and adequate maner and shall give fair regard to the needs of various customers and the requirements of the Telecommuncations Service Priority (TSP) program ordered in FCC Docket 88-341 (47 C.F.R. Par 64 Appendix A). G. If a Customer causes the Customers own interrption or service outage or does not make reasonable effort to arange for the appropriate resolution with the Company, or if the Company determines the interrption or service outage is attibutable to the Customer's own equipment and or actions, the Company shall not be required to provide the Customer with any credit(s) described in preceding paragraphs of this taiff section and contained herein. Special construction of ICB is constrction undertaken. 2.35.1 Where facilties are not presently available, and there is no other provision hereunder for the facilties to be constructed; 2.35.2 Where facilties other than those which the Company provides are requested by the Customer; 2.35.3 Where facilities are requested by the Customer over a route other than that which the Company serves; 2.35.4 When Services are requested in a quatity greater than that which the Company would normally provide to a Customer; 2.35.5 Where Services are requested by a Customer on an expedited basis; or 2.35.6 Where Services or facilities are requested on a temporary basis until such Services or permanent facilities are available. The Company's Services consist of (i) Residential Telecommunications Service, (ii) Business Telecommunications Service, (iii) Optional Features, (iv) access to Directory Listing Services, and (v) access to 911 services. 3.1.1 Switched Local Service Switched Local Service is an intrastate, telecommuncations service which permits Customers to establish communications between two locations within one local exchange. Switched Local Service interfaces with the local central office equipment. Switched Local Service provides a Customer with a single, voice-grade communications Chanel, including a telephone number and a Directory Listing. None of the service offerings are time-of-day sensitive. For leased line telecommunications services, the Company offers rates on a "month to month" basis, and on a term agreement contract basis. Rates are based on a number of factors, including mileage and Customer commitment to a volume of service for a fixed term of months. The company will notify the Customer prior to withdrawing any listing which is found to be in violation of this subpar. 3.2.4 In order for listings to appear in a directory, a Customer must fush the listing to the Company in time to meet the directory publishing schedule. The installation charges may be paid either in full with application or half at application and the other half biled on the first invoice. This would be extended to new customers and would not apply to reapplication of customers who have previously been disconnected for non-payment of a bil(s). 4.5 Customized Service Packages and Competitive Discounts From time-to-time, based on competitive situations, the Cempany will offer special discount structures or promotional offerings to retain existing customers and/or develop new customers. Customized service packages and competitive pricing packages may also be fuished at negotiated rates on a case-by-case basis, in response to requests by Customers to the Company for proposals or for competitive bids. Authorization Code - A numerical code, one or more of which are available to a Customer to enable him/er to access the carier, and which are used by the carer both to prevent unauthorized access to its facilties and to identify the Customer for biling puroses. Commssion -Idaho Public Utilties Commssion Customer - The person, firm, corporation or other entity which orders service and is responsible for payment of charges due and compliance with the Company's Price List reguations. Day - From 8:00 AM up to but not including 5:00 PM local time Monday though Friday. Evening - From 5:00 PM up to but not including 11:00 PM local time Sunday though Friday. Night/Weekend - From 11:00 PM up to but not including 8:00 AM Sunday through Friday, and 8:00 AM Satuday up to but not including 5:00 PM Sunday. InterLATA Toll Call- Any call terminating beyond the LATA of the originating caller. IntraLATA Toll Call- Calls terminating withn the LATA of the originating caller. Telecommuncations - The transmission of voice communcations or, subject to the transmission capabilties of the services, the transmission of data, facsimile, signaling, metering, or other similar communcations. Underlying Carer - The telecommuncations carer whose network facilties provide the techncal capabilty and capacity necessar for the transmission and reception of Customer telecommuncations trafc. Resale services are fuished subject to the availabilty of facilties and subject to the terms and conditions of ths Price List in compliance with limitations set fort in the Commission's rues. The Company's services are provided on a statewide basis and are not intended to be limited geographically. The Company offers service to all those who desire to purchase service from the Company consistent with all of the provisions of this Price List. Customers interested in the company's services shall fie a service application with the Company which fully identifies the Customer, the services requested and other information requested by the Company. The Company may act as the Customer's agent for ordering access connection facilties provided by other cariers or entities when authorized by the Customer, to allow connection of a Customer's location to a service provided by the Company. The Customer shall be responsible for all charges due for such service arangement. 2.1.1 The services provided by the Company are not par of a joint underting with any other entity providing telecommuncations chanels, facilities, or servces, but may involve the resale of the Message Toll Services (MTS) and Wide Area Telecommuncations Services (WATS - Toll Free Services) of underlying common carers subject to the jursdiction of ths Commssion. 2.1.2 The rates and regulations contaned in ths Price List apply only to the resale services fushed by the Company and do not apply, uness otherwse specified, to the lines, facilties, or servces provided by a local exchange telephone company or other common carers for use in accessing the servces of the Company. Such transfer or assignent shall only apply where there is no interrption of the use or location of the service or facilities. 2.2.9 Pnor wrtten permission from the Company is required before any assignent or transfer. All reguations and conditions contaned in this Price List shall apply to all such permitted assignees or transfers. 2.3 Liabilty of the Company 2.3.1 The Company shall not be liable for any claim, loss, expense or damage for any interrption, delay, error, omission, or defect in any service, facilty or transmission provided under ths Price List, if caused by an act of God, fire, war, civil distubance, act of governent, terrorism, or due to any other causes beyond the Company's control. 2.3.2 The Company shall not be liable for, and shall be fuly indemnified and held harless by the Customer against any claim, loss, expense, or daage for defamation, libel, slander, invasion, infngement of copyrght or patent, unauthorized use of any trademark, trade name or service mark, proprieta or creative right, or any other injur to any person, property or entity arsing out of the material, data or information transmitted. 2.3.3 No agent or employee of any other carer or entity shall be deemed to be an agent or employee of the Company. No other liabilty in any event shall attch to the Company, except as ordered by the Commission. 2.3.5 The Company shall not be liable for and shall be indemnfied and saved harless by any Customer or by any other entity from any and all loss, clais, demands, suits, or other action or any liabilty whatsoever, whether suffered, made, instituted, or asserted by any Customer or any other entity for any personal injur to, or death of, any person or persons, and for any loss, damage, defacement or destrction of the premises of any Customer or any other entity of any other property whether owned or controlled by the Customer or others. 2.3.6 The Company shall not be liable for any indirect, special, incidenta, or consequential damages under this Price List including, but not limited to, loss of revenue or profits, for any reason whatsoever, including the breakdown of facilties associated with the service, or for any mistaes, omissions, delays, errors, or defects in transmission occurng during the course of fushing service. 2.3.7 The remedies set fort herein are exclusive and in lieu of all other waranties and remedies, whether express or implied, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRTIES OF MERCHANTABILITY AND FITNSS FOR A PARTICULAR PUROSE. 2.3.8 The included tarff language does not constitute a determination by the Commssion that a limitation of liabilty imposed by the Company should be upheld in a cour of law. Acceptance for filing by the Commission recognzes that it is a cour's responsibilty to adjudicate negligence and consequential damage claims. The Customer shall ensure compliance with any applicable laws, reguations, orders or other requirements (as they exist from time to time) of any governenta entity relating to services provided or made available by the Customer to authorized users. 2.4.2 The Customer is responsible for charges incurred for special constrction and/or special facilties which the Customer requests and which are ordered by the Company on the Customer's behalf. 2.4.3 If required for the provision of the Company services, the Customer must provide any equipment space, supporting strctue, conduit and electrcal power without charge to the Company. 2.4.4 The Customer is responsible for aranging access to its premises at times mutuly agreeable to the Company and the Customer when required for the Company personnel to install, repair, maintan, program, inspect or remove equipment associated with the provision of the Company's servces. If the Federal Communications Commission or some other appropriate certifying body certifies terminal equipment as being technically acceptable for direct electrcal connection with interstate communcations service, the Company will permit such equipment to be connected with its chanels without the use of protective interface devices. If the Customer fails to maintan the equipment and/or the system properly, with resulting imminent har to the Company equipment, personnel, or the quality of service to other Customers, the Company may, upon wrtten notice, require the use of protective equipment at the Customer's expense. If this fails to produce satisfactory quality and safety, the Company may, upon wrtten notice, terminate the Customer's service. 2.4.6 The Customer must pay the Company for replacement or repair of damage to the equipment or facilties of the Company caused by negligence.or willfu act of the Customer, users, or others, by improper use of the services, or by use of equipment provided by the Customer, users, or others. Wacker Drive, Suite 2510 Chicago, IL 60606 iNetworks Group, Inc.Idaho Price List No. 1 Original Page 13 INTEREXCHANGE TELECOMMUICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.4 Responsibilties of the Customer or Subscriber (Cont'd) 2.4.7 The Customer must pay for the loss through theft of any the Company equipment installed at Customer's premises. 2.4.8 The Customer is responsible for the payment of charges for all calls originated at the Customer's numbers, even when those calls are originated by fraudulent means, either from the Customer's premises or from remote locations. 2.4.9 The Customer or authorized user is responsible for compliance with the applicable regulations set fort in this Price List. 2.4.10 The Customer or authorized user is responsible for identifying the station, par, or person with whom communications is desired and/or made at the called number. 2.5 Cancellation or Discontinuance of Services 2.5.1 Without incurng liabilty, the Company may, upon verbal or wrtten notice, discontinue services to a Customer or may withhold the provision of ordered or contracted services: A. For nonpayment of any sum due the Company for more than five days afer issuance of the bil for the amount due, B. For violation of any of the provisions of this Price List, C. For violation of any law, rule, regulation or policy of any governg authonty having jursdiction over the Company's services, or D. By reason of any order or decision of a cour, public service commission or federal regulatory body or other governg authority prohibiting the Company from fuishing its services. Wacker Drive, Suite 2510 Chicago, IL 60606 iNetworks Group, Inc.Idaho Price List No. 1 Origin Page 14 INTEREXCHANGE TELECOMMUNICATIONS SERVICES SECTION 2 - RULES AND REGULATIONS (CONT'D) 2.5 Cancellation or Discontinuace of Services (Cont'd) 2.5.2 Without incurng liability, the Company may interrpt the provision of services at any time. in order to perform tests and inspections to assure compliance with Price List regulations and the proper installation and operation of Customer and Company's equipment and services and may continue such interrption until any items of non-compliance or improper equipment operation so identified are rectified. 2.5.3 Service may be discontinued by the Company, without notice to the Customer, by blocking traffic to certin countres, cities or NX exchanges, or by blocking calls using. a call screening method which generates a network message not allowing calls to complete, when the Company deems it necessar to tae such action to prevent unlawfl use of its service. The Company will restore service as soon as it can be provided without undue risk. 2.5.4 The Customer may termate service upon verbal or wrtten notice for the Company's standard month to month contract. Customer will be liable for all usage on any of the Company's service offerings until the Customer actually leaves the service. Customers will continue to have Company usage and be responsible for payment until the Customer or its agent notifies its local exchange carer and changes its long distace carer. It shall be the obligation of the Customer to notify the Company immediately of any interrption in service for which a credit allowance is desired. Before giving such notice, the Customer shall ascertain that the trouble is not being caused by any action or omission by the Customer withn his control, or is not in wiring or equipment, if any, fushed by the Customer and connected to the Company's facilties. 2.6.2 No credit is allowed in the event that service must be interrpted in order to provide routine service quality or related investigations. 2.6.3 Credit for failure of service shall be allowed only when such failure is caused by or occurs due to causes withn the control of the Company. 2.6.4 Credit for interrption shall commence after the Customer notifies the Company of the interrption or when the Company becomes aware thereof, and ceases when service has been restored. 2.6.5 For puroses of credit computation, every month shall be considered to have 720 hours. 2.6.6 No credit shall be allowed for an interrption of a continuous duration of less than two hours. CREDIT FORMULA: Credit = (A x B) / 720 "A" - outage time in hours "B" - total monthly charge for afected facilty 2.7 Restoration of Service The use and restoration of service shall be in accordance with the priority system specified in par 64, Subpar D of the Rules and Regulations of the Federal Communcations Commssion 2.8 Deposits The Company wil not require any Customer to make a deposit to secure or maintan service. Biling will be payable upon receipt and will be considered past due if not paid within 5 days. 2.11.2 The Customer is responsible for payment of all charges for services fushed to the Customer, as well as to all persons using the Customer's codes, exchange lines, facilties, or equipment, with or without the knowledge or consent of the Customer. The securty of the Customer's Authorization Codes, subscribed exchange lines, and direct connect facilties is the responsibilty of the Customer. All calls placed using direct connect facilties, subscribed exchange lines, or Authorization Codes will be biled to and must be paid by the Customer. Recurng charges and non-recurng charges may be biled in advance. Charges based on actual usage during a month and any accrued interest will be biled monthly in arears. In any such proceeding, the amount of collection costs, including attorneys' fees, due to the Company will be determined by the Cour. 2.13 Customer Complaints and/or Biling Disputes 2.13.1 Customers may contact the Company's representatives 24 hours a day, 7 days a week at 1- 866-363-6387 or by wrting to the Company, Customer Service Deparment, 125 S. Wacker Drive, Suite 2510, Chicago, IL 60606. 2.13.2 Any objection to biled charges should be reported within thrt (30) days of the date of the invoice to the Company. Adjustments to Customers' bils shall be made to the extent that records are available and/or circumstaces exist which reasonably indicate that such charges are not in accordance with approved rates or that an adjustment may otherwse be appropriate. A Customer who is unable to resolve a biling dispute with the Company may contact the Commssion to intervene in the biling dispute. Usage begins when the called pary picks up the receiver. When the called pary picks up is determined by hardware answer supervsion in which the local telephone company sends a signal to the switch or the softare utilzing audio tone detection. When softare answer supervision is employed, up to 60 seconds of ringing is allowed before it is biled as usage of the network. A call is terminated when the calling pary hangs up thereby releasing the network connection. If the called par hangs up but the calling pary does not, chargeable time ends when the network connection is released or by automatic timing equipment in the network. There will be no charges for incomplete calls. 3.1.2 Biling Increments The minimum call duration and initial biling period is 6 seconds for all intrastate direct dialed calls uness otherwse specified by this Price List. Any additional period is measured and rounded to the next higher 6 second increment unless otherwse specified by this Price List. 3.1.3 Rounding All calls wil be rounded to the fourh decimal place amount of a call charge. A. Inbound Switched Service Inbound switched service receives inbound intrastate calls on switched access lines using 800, 866, 877 or 888 number(s). B. Outbound Switched Service Outbound switched service sends outbound intrastate calls on switched access lines by dialing "1 + ten digits" for InterLATA calls. 3.4.2 Dedicated Access Services Dedicated Access Service allows a customer to access the Company's long distace network via DS 1 (1.544 Mbps) or larger dedicated circuits. Dedicated circuits will bypass the local central offce and not be considered switched. A. Inbound Dedicated Service Inbound dedicated service receives inbound intrastate calls on DS 1 (1.544 Mbps) or larger dedicated circuits using 800,866,877 or 888 number(s). B. The base configuation consists of 23 64 Kbps B chanels for end user voice and/or data traffc and one 64 D chanel for out of band signaling control of the B chanels. The Primar Rate ISDN Port provides access to the fuctions and capabilties of the local switch data fuctions. The ful complement of chanels will always be present at the physical network interface. All chanels can simultaneously support independent applications. B chanels are capable of supportng Voice and Circuit Switched Data. The D chanel controls all B chanels Voice and Circuit Switched Data. Local ISDN PRI's are a local exchange service offering provisioned by the Company in jursdictions where local exchange authority has been secured. Long distace usage generated from a Local ISDN PRI will be considered switched. The Customer's tota use of the Company's service is charged at the applicable rates set fort herein, in addition to any monthly servce charges. None of the service offerings are time-of-day sensitive. For leased line telecommunications services, the Company offers rates on a "month to month" basis, and on a term agreement contract basis. Rates are based on a number of factors, including mileage and Customer commitment to a volume of service for a fixed term of months. Leased Line Services are available from the Company, where techncally and economically feasible. A leased line is a private, dedicated point-to-point connection between a Company POP and another point on the Company's network specified by the Customer. Leased Line service is provided to Customers with transmission speeds of either DS1 (1.544 Mbps), DS3 (44.736 Mbps), OC3 (155.52 Mbps), OC12 (622.08 Mbps) and OC48 (2,488.32 Mbps). 3.5 Special Promotional Offerings The company may from time to time engage in special promotional offerings limited to certn dates, times or locations designed to attact new subscribers or increase subscriber usage. The company will not have special promotional offerings for more th 90 days in any 12 month period. Promotions will be made available to Commission Staff upon wrtten request. The Company shall apply a surcharge of thee cents ($0.03) per minute of use to the number of minutes that exceed 20% of the total Non-RBOC termination minutes and four cents ($0.04) per minute of use to the number of minutes that exceed 15% of the total Non-RBOC origination minutes. 4.1.3 Charge for Non-Bilable Toll Free Calls If a Customer's usage of a toll-free number results in the non-bilable (non- completed) calls for such toll-free number in any month to be greater than 7% of the bilable (completed) calls for such toll-free number in that month, the Company may charge Customer a non-discountable $0.02 charge for each non- bilable call. 4.1.3 Toll Free Minimum Usage Charge If a customer does not use $100.00 of switched inbound toll free usage in a biling month, a $15.00 minimum usage charge will be biled for each toll free number terminating to switched local telephone line(s) reserved by the Customer. Special Routing Featues - Special Routing featues such as Day of Week Routing, Holiday Routing, Time of Day Routing and Percentage Allocation Routing are not available. 4.4 Directory Assistace A long distace directory assistace charge applies when the caller accesses the Company's network by dialing 1 + Area Code + 555-1212 to place a request for a telephone number. A caller may request one telephone number per directory assistance call. The charge applies to each inquiry regardless of whether the directory assistace bureau is able to supply a listed number. A credit will be issued for any directory assistance charge for which the Customer experiences poor transmission quaity, is cut off, receives an incorrect telephone number, or misdials. This includes, but is not limited to, calls placed with The Company calling card, collect calls and calls placed to 8YY numbers. This charge is in addition to standard Price Listed usage charges and is for the use of the payphone instrent to access The Company's service. 4.6 Finance Charge and Late Fee A finance charge in the amount of 1.5% monthly will be charged on any past due balances. In addition, if the amount considered past due is greater than $6.00, a late fee in the amount of $10.00 will also be applied. 4.7 Retu Check Charges A fee of $20.00 will be charged for each check retued. 4.8 Reconnection Charge If the Company allows a customer to be reconnected, a reconnection fee of $200.00 per occurence is charged when service is re-established for Customers who had been disconnected for non-payment. Customized service packages and competitive pricing packages may also be fuished at negotiated rates on a case-by-case basis, in response to requests by Customers to the Company for proposals or for competitive bids. Service offered under ths Price List provision will be provided to Customers pursuant to contract. Unless otherwse specified, the reguations for such arangements are in addition to the applicable regulations and prices in other sections of this Price List. Specialized rates or charges wil be made available to similarly situated Customers on a non-discriminatory basis. Customized service contracts will be filed with the Commssion upon request of Commssion Sta or an authorized representative.
