Concerning Certain Pro Forma Intra-~orporate Transactions CONSUMMATION NOTICE AN REQUEST TO ¡CANCEL AUTHORITY Via Federal Express Delivery Dear Ms. Jewell: DIECA Communications, Inc. d//a Covad Communications Company ("DIECA"), on its own behalf and as successor in interest to DSLnet Communications, LLC ("DSLnet," and together with DIECA, the "Parties"), notify the Public Utilities Commission ("Commission") that on December 3 i, 20 i i, DSLnet and DIECA completed a pro forma transaction whereby DSLnet merged with and into DIECA with DIECA surviving the merger. i As a result of the pro forma transaction, DSLnet no longer exists as a separate entity, no longer offers services in Idaho and therefore no longer requires its authorizations. As such, the Parties hereby request that the Commission cancel DSLnets authorizations to provide intrastate telecommunications and rescind any and all tariffs on fie with the Commission. In Idaho, DSLnet is authorized to provide service as a CLEC pursuant to Certificate No. 362 issued on September 9, 1999. Because DSLnet does not serve any intrastate telecommunications customers in Idaho, the Company respectfully submits that the surrender of its authorizations is reasonable and necessar and wil not be disruptive to the present or future public interest, convenience and necessity. An original and seven (7) copies ofthis letter are enclosed for filing. For any outstanding DSLNet regulatory obligations or if you have any questions, please do not hesitate to contact the undersigned. The Commission approved the Application on December 6, 20 i i via Letter Order.
