RE:Notice of Direct Communications Rockland, Inc. acquisition and disposition of
assets
Dear Ms. Jewell:
The purpose of this letter is to inform the Idaho Public Utilities Commission ("IPUC") of a
transaction involving Direct Communications Rockland, Inc., an Idaho corporation ("Rockland"
the activities of which are regulated by the IPUC. I was informed by IPUC staff that formallPUC
approval would not be needed for the transaction , but that notice to the IPUC was required.
Please allow this letter to serve as such notice.
Rockland is a corporation whose shares are owned entirely by Leonard and MarilynMay. Rockland intends to acquire various assets from an affiliate company, Direct
Communications Star West, Inc., an Idaho corporation ("Star West"), the activities of which are
not regulated by the IPUC. Star West provides un-regulated telecommunications services
including cable services. The assets to be transferred are cable customers and the equipment
needed to provide the cable services, along with other items of personal property incident to the
conduct of the cable operations. In exchange for the assets, Rockland will issue shares of stock
to Star West equal to a twenty percent (20%) ownership interest in Rockland. Following
acquisition of the assets, Rockland will transfer the assets to a wholly-owned subsidiary, Direct
Communications Cable LLC, an Idaho limited liability company ("Cable ). Again , the activities of
Cable are not regulated by the IPUC.
We do not anticipate that this transaction will have any impact on the customers of
Rockland, in terms of services provided to or rates paid by such customers. The cable
customers of Star West will now be customers of Cable, but otherwise , we do not anticipate any

impact on those customers in terms of services provided to or rates paid by such customers.
The Notice to Customers of the change in billing is enclosed herewith for your review.

Direct Communications Star West (SW) and Direct Communications Cable, LLC (DCC),
both companies within the Direct Communications family of companies, have come to an
agreement whereby DCC is going to purchase the assets of SW, including SW's most
valued asset - its customers. We would like to take this opportunity to notify all
customers of SW that the customers will still be served by the owners and employees of
the Direct Communications family of companies. There will be no change in any
consumer rates for any services offered or provided by SW that will now be provided by
DCC. Nor will there be any changes to the friendly personnel who meet your needs in
delivering the Direct Communications family of companies' promises of providing you
the very best telecommunications services with the very best customer support. The only
visible change to you, the customer, is that your billings will now be sent under the name
of Direct Communications Cable and the billing address will remain the same.
