CONVENIENCE AND NECESSITY
1. CTC Telecom, Inc., an Idaho corporation ("CTC" or "Applicant") by and through
its attorneys, Cynthia A. Melillo PLLC, hereby applies to the Idaho Public Utilities Commission
(the "Commission") for an amendment to Applicant's Certificate of Public Convenience and
Necessity to remove certain service areas therefrom. In support of their application, CTC states
as follows:
CTC is an Idaho corporation that was granted a Certificate of Public Convenience and
Necessity (Certificate No. 348) on August 10, 1998, by Order No. 27673, as amended by Order
No. 28059 to provide local telecommunications service throughout US WEST Communications,
lnc.'s southern Idaho service territory.
Pursuant to the terms of an Asset Purchase Agreement dated effective April 19, 2023,
CTC sold to Millennium Networks, LLC dba Silver Star Communications, a Wyoming limited
liability company ("Millennium") telecommunications equipment and facilities used to provide
voice and broadband services over fiber to the home facilities located in Ada County, Idaho,
certain customer and vendor contracts, and certain other rights and agreements between CTC
and third parties (the "Transaction"). The Transaction was completed on May 19, 2023. As a

result of the sale of the assets, CTC will no longer provide voice and broadband Services over
fiber to the home facilities in Ada County, Idaho. Millennium intends to offer local exchange
telecommunications services in the Ada County area and will provide service to the former
customers of CTC. CTC now desires to amend its CPCN to remove the right to provide voice
and broadband Services over fiber to the home facilities in the Ada County, Idaho territory, as
depicted on Exhibit A, attached hereto. Notwithstanding the foregoing, CTC is still providing
fixed wireless service to customers in the Ada County, Idaho territory under the assumed
business name Wilderness Wireless and does not desire to amend the CPCN to remove the
right to provide fixed wireless services in Ada County, Idaho.
CTC will continue to comply with all requirements of its CPCN and all Commission rules.

CTC does not believe that the public interest requires a hearing on this matter and,
therefore, requests that the Commission approve the Application by Minute Order or under
Modified Procedure. In the event the Commission determines that further proceedings are
necessary, CTC stands ready for immediate hearings.
WHEREFORE, CTC requests that the Commission issue its order amending CTC's
CPCN Certificate No. 348 as set forth herein.
