AMENDMENT ONE TO THE
INTERCONNECTION AND TRAFFIC INTERCHANGE AGREEMENT FOR
CELLULAR AND OTHER TWO-WAY MOBILE RADIO SERVICES
This Amendment One to the Intercnnection and Traffc.lnteange Agreement for Cellular and
Other Two-Way Mobile Radio Services (the HAgreement") belween Citizens Telecommunications
Company of Idaho, ("Frontier") and the Verizon Wireless entites listed on the signature page of
this Amendment (collectively "Carriet' is made this 1st day of August, 2009. Frontier and Carrier
am referr to heein collectively .8 the "Parties".
Frontier and Carrier entered into the Agreement on Octber 9, 2007
Carrier has requested to include additional Verizon Wireless entities not previously listed as aPart to the Agreement. .
Frontier and Carrier desire to amend this Agreement.
In consiçleration to the mutual promises and covenants contained herein, and for other good and
valuable consideration, the Parties agree as follows:
1. Implement a new tráffc factor for all Service Attachments incorporated within the
Agreement under Section 1.5 to the followig:
Mobile-to-Land 70%
land-to-Mobile 30%
2. Implement a new traffc factor for all Service Attachments incorported within the
Agreement under Secton 2.2 to the following:
Carrier shall pay 70% of the recurrg and no-recurring two-way facility as noted
in Section 4.2.2 of the Agreement. Citizens shall pay 30% of the recurring and
non-recurring two-way facility as noed in Section 4.2.2 of the Agreement.
3. Implement a new traffc factor for all Service Attachments incorported within the
Agreement under Section 3.1 to the followig:
Carrier shall assume 70% ownersip of the assumed minutes and Frontier shall
assume 30% ownership ofthe assmed minutes (Le., the ration ofMobile-to-
Land traffc is 70130) for those Frotier End Ofce identified in writing to Carrier.

All other terms and conditions of the Agreement wi. remain in full force and effct.
