On December 13 2005 , Comtel Telcom Assets LP (Comtel) filed an Application for
a Certificate of Public Convenience and Necessity (CPCN) and a Joint Notice of Asset Transfer
of Comtel with VarTec Telecom, Inc., Excel Telecommunications, Inc., and VarTec Solutions
Inc. This Application was modified on January 5 , 2006, to request Commission approval of the
transfer of CPCN No. 399 from VarTec Telecom, Inc., issued on June 17 2002, Case No. GNR-
01-, to Comtel. The amended filing included three new price lists and four revised cover
pages to reflect the new name of Comtel T elcom Assets LP.
STAFF COMMENTS
Based on its review of the Company s Application, the name change documentation
the revised price lists, and the revised customer billing information, Staff determined that Comtel
is compliant with the Commission s Rules of Procedure and Idaho statutes regarding the
requirements for issuance of a Certificate of Public Convenience and Necessity.

COMMISSION FINDINGS
Based upon the comments and the record in this case, the Commission grants the
Company s Application. When considering an application for a Certificate, the Commission
must determine if the applicant has the necessary qualifications to provide service while still
fostering competition in the local telecommunications market. Based upon our review of the
filing and the record in this case, the Commission finds that the request to transfer VarTec
Certificate is essentially a corporate structure name change, that this change does not appear to
effect individual customer service in any way, and that the Application satisfies the requirements
of the Commission s Rules and Procedural Order No. 26665. Thus, we approve the Company
Application to transfer the Certificate of Public Convenience and Necessity. This is consistent

with our previous Orders granting authority to provide telecommunications services to carriers
meeting the established requirements.
ORDER
IT IS HEREBY ORDERED that Certificate of Public Convenience and Necessity
No. 399 issued to VarTec Telecom, Inc. to provide competitive telecommunications services
within the State of Idaho is transferred to Comtel Telcom Assets LP.
THIS IS A FINAL ORDER. Any person interested in this Order may petition for
reconsideration within twenty-one (21) days of the service date of this Order with regard to any
matter decided in this Order. Within seven (7) days after any person has petitioned for
reconsideration, any other person may cross-petition for reconsideration. See Idaho Code ~ 61-
626.
