RE: Century Telephone’s Acquisition of PTI Communications
Dear Mr. Wonnell:
In our previous telephone conversations, we discussed what information PTI should provide to the Commission concerning Century’s acquisition of PTI.  It is my understanding that this transaction is occurring at the holding company level and it is purely a stock transaction.  The transaction will not affect PTI Telephone operations within Idaho; cause an increase in customer rates; result in an increase in the value of Idaho assets; or change PTIs customer service contacts.  
The Staff’s review of a similar transaction reveals that a simple “letter” notice to the Commission appeared to be sufficient.  I have enclosed for your review a 1988 letter from TDS concerning its acquisition of all the common stock of Potlatch Telephone Company.
I suggest that you provide the Commission with notice of the transaction via a letter briefly outlining the transaction and pointing out that the transaction is transparent from the customer’s point of view.  Your letter should address:  the areas listed above; the current state of your telecommunications network in Idaho; the absence of any rate or revenue impacts; and the general level of customer satisfaction.  Your letter should offer to provide additional information if the Commission has any questions.  If you desire a letter confirming the fact that no additional Idaho pro­ceed­ings are contemplated, please include that in your letter.  Correspondence to the Commission should be directed to the Commission Secretary, Myrna J. Walters, at the address found at the top of this letter.
