SECTION 1.0 - DEFONS
For the purose of th taif, the followig deftions wi apply:
Access Line - An arangement which connects the Customer's location to a carier's switching center or
point of presence.
Account Codes - Optiona Customer-defed digits that alow the Customer to identi the individual user,
department or client assocted with a cal Account Codes appe on the Customer bil.
Advance Payment - Part or al of a payment requied beore the sta of sece.
Authorid User - A peson, fi, corporation, or any other entity authorizd by the Customer to
communcate utiing the Company's servce.
Business - A clas of service provided to individua engaged in business, fi, partnerships, corporations,
agencies, shops, works, tenants of offce buidings, and individual practicing a profession or operatig a
business who have no offces other th their residences and where the use of the serice is primarily or
substantially of a business, professiona or occupational natue. .
Commssion - Idaho Public Utities Commsion.
Company or Carer - Crexendo Business Solutions, Inc., uness other clealy indicate by the contet
Customer - The person, fi, corporation or other entity which orders, cancels, amends or uses servce and
is responsible for payment of chages and complice with the Company's ta.
Deposit - Refers to a cash or equivalent of cash secty held as a guarante for payment of the charge.

SECTION 1.0 - DEFINITIONS (CONTINUED)
DID Truk - A form of local switched access that provides the abilty for an outside party to cal an intern
extension diectly without the intervention of the Company operator.
Dial Pulse (or "DP") - The pulse tye employed by rota di station sets.
Dual Tone Multi-Frequency (or "DTM") - The pule tye employed by tone di station sets.
End User - Any person, fir, corporation, partnership or other entity which uses the services of the
Company under the provisions and reguations of th taif. The End User is responsible for payment
uness the chages for the servces uti are accepted and paid for by another Customer.
End Offce - With respet to each NPA-NX code pref assignd to the Company, the location of the
Company's "end offce" for purposes of th taif sha be the point of interconnection associated with that
NP A-NX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore.
Hearing Impaired - Those persons with communcation impaients, includig those hearing impaied,
deaf, deaf/blid, and speech impaied persons who have an impairment that prevents them from
communcatig over the telephone without the aid of a telecommuncations device for the deaf.
Huntig - Routes a cal to an idle station lie in a prearanged group when the caled station lie is busy.
In-Only - A service attibute tht restrcts outward dial access and route incomig cal to a designted
anwer point
IXC or Interexchange Carer - A long ditace telecommuncations servces provider.

LEC - Local Exchage Company
Mium Point of Presence ("MPOP") - The mai telephone closet in the Customer's buidig.
Monthly Recurg Chges - The monthy chges to the Customer for servces, facilties and equipment,
which contiue for the agree upon duration of the sece.
Multi-Frequency or ("MF") - An inter-machie pule ty used for signg between telephone switces,
or between telephone swtches and PBX/key systems.
Non-Recurg Charge ("NRC") - The inti chge, usaly assessed on a one-tie basis, to intite and
establih service.
Other Telephone Company - An Exchange Telephone Company, other than the Company.
PBX - Private Branh Exchan
Premises - A buidig or buidigs on contiguous property.
Recurg Chges - The monthy chges to the Customei for servces, facities and equipment which
contiue for the agree upon duration of the service.
Residence or Residential - A class of service fuhed to a Customer at a place of dwellg where the
actal or obvious us is for domestic purposes.

SECTION 1.0 - DEFINITIONS (CONTINUD)
Servce Commencement Date - The fist day followig the date on which the Company notiies the
Customer that the requested serce is avaiable for use, uness extended by the Customer's refual to accept
service which does not conform to stadards set fort in the Servce Order and th ta, in which case the
Servce Commencement Date is the date of the Customer's acceptace. The Company and Customer may
mutualy agree on a substitute Service Commencement Date.
Servce Order - The wrtten request for servces executed by the Customer and the Company in the format
devied by the Company. The signg of an Order by the Customer and acceptace by the Company
intiates the respective obligations of the parties as set forth therein and pursuant to th taif, but the
duration of the service is calcuted from the Service Commencement Date.
Telecommuncations Company or Provider - Used thoughout th taif to mean Crexendo Business
Solutions, Inc. uness clearly indicated otherwe by the text
TBD - To Be Determied.
Two Way - A service attibute that includes outward dial capabilties for outbound cal and can alo be
used to carry inbound cal to a central point for futher processing.
Usage Based Charges - Charges for miute or messages traversing over local exchange facilties.
User or End User - A Customer, Joint User, or any other person authorizd by a Customer to use servce
provider under th ta.

SECTON 2.0 - RULES AND REGULATIONS
2.1 Undertakg of the Company
2.1.1 Scope
The Company under to fuh communcations servce pursuat to the term of th
ta in connecton with oneway and/ or two-way inormtion tranmision origitig
from points within the State of Idaho, and tetig with a local calg area as defied
herein
The Company is responsible under th ta only for the servces and facities provided
hereunder, and it assumes no responsibilty for any servce provided by any other entity
that purchaes access to the Company network in order to origiate or termite its own
servces, or to commúncate with its own Customers.
2.1.2 Shortge of Equipment or Facities
(A) The Company rees the right to lit or to alocate the use of exitig facilties,
or of additiona faciti offere by the Company, when necessar because of lack
of facities, or due to some other cause beyond the Company's control.
(B) The fuhig of serce under th ta is subject to the avaibilty on a
contiuig basis of al the necessar facilties and is lite to the capacity of the
Company's facities as well as facities the Company may obtain from other
carers to fuh sece from tie to tie as requied at the sole diretion of theCompany. .

2.1.3 Terms and Conditions
(A) Servce is provided on the basis of a mium period of at least one month, 24
hour per day. For the purose of computig charges in th ta, a month is
considered to have thty (30) days.
(B) Customers may be requied to enter into writtn servce orders which shal conta
or reference a specc description of the service ordered, the rates to be charged,
the duration of the servces, and the terms and conditions in th ta. Customers
wi alo be requied to execte any other docents as may be reasonably
requested by the Company.
(C) Except as otherwe stated in the taif, at the expiration of the intial term speced
in each Service Order, or in any extension thereof, service shal contiue on a
month to month basis at the then cuent rates unless termted by either party
upon proper notiæ. Any termition shal not relieve the' Customer of its
obligation to pay any charges incured under the service order and th ta prior
to termition The rights and obligations which by their natue extend beyond
the termtion of the term of the servce order shall surve such termition.
(D) Service may be temiated upon writtn notice to the Customer if
(1) the Customer is using the service in violation of th taif; or
(2) the Customer is using the servce in violation of the law.
(E) Th taif shal be interpreted and governed by the laws of the State of Idaho
without regad for its choice of laws provision.

entity to obta servce diec from the Company. No person or entity sha be
reuied to mak any payment incur any penaty, moneta or otherwise, orpurch any sees in order to have the right to obt service diectly from the
Company.
(G) Reserved for futue use.
(H) The Company hereby reserves its rights to establih service packages speCifc to a
partcul Customer. These contracts mayor may not be assocated with volume
and/ or term dicounts.

2.1.4 Litations on Liabilty
(A) The libilty of the Company for damages aring out of the fuhig of its
Service, includig but not lited to mitaes, omisions, interruption, delay, or
errors, or other defects, represetations, or use of these servces or damges
arising out of the faiure to fuh the service, whether caused by acts or
omision, shall be lited to the extension of alowances for interruption as set
forth in 2.7. The extenion of such allowances for interruption shall be the sole
remedy of the Customer and the sole liabilty of the Company. The Company
wil not be liable for any diect, indirect, incidental, special, consequential, lost
profits, exemplar or puntive damages to Customer as a result of any Company
service, equipment or facilties, or the acts or omisions or negligence of the
Company's employees or agents.
(B) The Company's liabilty for wi miconduct, if establihed as a result of
judicia or admitrative proceedigs, is not liited by ths taif. The
Company's libilty, if any, with regard to delayed intallation of Company
facilties or commencement of service, shal not exceed $1,000. With respect to
any other claim or suit, by a Customer or by any others, for damage associated
with the ordering (includig the reservation of any specifc number for use with
a service), intaation (includig delays thereof), provision, termition,
maitenance, repai, interruption of restoration of any servce or facilties offered
under th taif, and subject to the provisions of Section 2.7, the Company's
liabilty, if any, shal be lited as provided herein.
(C) The Company shal not be liable for any delay or faiure of performance or
equipment due to causes beyond its control, including but not lited to: acts of
God, fire, flood, explosion or other catatrophes; and law, order, reguation,
diection, action or request of the United States governent or of any other
governent, including state and local governments havig or claig
jurisdiction over the Company, or of any department, agency, commsion,
bureau, corporation or other intrumentality of anyone or more of these federal,
state, or local governents, or of any milta authority; preemption of existig
service in compliance with nationa emergencies; inurrections; riots; wars;
unavaibilty of rights-of-way or material, or strikes, lockouts, work stoppages,
or other labor dificulties.

(D) The Company shal not be lible for (a) any act or omision of any entity
fuhig the Company or the Company's Customers facilties or equipment
used for or with the servces the Company offers; or (b) for the acts or omissions
of common carriers or warehousemen. Except in 31.41.01 Rule 501, 502, and 503
of the IDAP A.
(E The Company shal not be lible for any damages or losses due to the fault of
negligence of the Customer or due to the failure or malction of Customer-
provided equipment or facilties.
(F) The Customer shal indemn and hold the Company harless from any and all
loss, claim, demands, suits, or other action, or any libilty whatsoever, whether
sufered, made, intituted, or asserted by any other party or person(s), and for
any loss, damage, or destrction of any property whether owned by the
Customer or others, causd or claed to have been caused directly or indirectly
by the intalltion, opeation; faiure to operate, maitenace, removal,
cQndition, location, or us of intation provided by the Company. The
Company resrves the right to requie each Customer to sign an agreement
acknowledgig acceptace of the proviions of th section as a condition
precedent to such intations.
(G) The Company shal not be lible for any defacement of or damage to Customer
premies resultig from the fuhig of services or equipment on such
premis or the intallation or removal thereof, uness such defacement or
damage is caused by gross negligence or wil miconduct of the Company's
agents or employees. No agents or employees of other participatig carriers
shal be deemed to be agents or employee of the Company.
(H) Notwithtadig the Customer's obligations, the Company shal be indemnied,
defended, and held haess by the Customer or by others authorized by it to
use the servce agait any cla, loss of damage aring from Customer's use of
services funihed under th ta, includig: cla for libel, slander, invasion
of privacy or ingement of copyright arising from the materi, data,
inormation, or other content tranmittd via the Company's servce; and patent
iningement claim arising from combing or connectig the servce offered by
the Company with apparatus and systems of the Customer or others. Al other
clai arising out of any act or omision of the Customer or others, in connection
with any service provided by the Company pursuant to th taiff.

(I The entie libilty of the Company for any cla, loss, damage or expense from
any cause whatsoever shal in no event exceed sum actualy paid to the
Company by Customer for the specc services giving rise to the cl, and no
such action or precedig agait the Company shal be commenced more than
one year afer the service is rendered.
0) The Company makes no warranties or representations, express or implied,includig waranties of merchantabilty or fitness for a particular use, except
those expressly set forth herein.
(K) The Company shall not be liable for any act or omission of any other company or
companes fuhing a portion of the service, or for damages associated with
servce, chanels, or equipment which it does not fuh, or for damages which
result from the operation of Customer-provided systems, equipment, facilties or
services which are interconnected with Company servces. Except in 31.41.01
Rule 501, 502, and 503 of the IDAPA.
(L) The Company does not guarantee nor make any warranty with respect to service
intaations at locations at which there is present an atmosphere that is
explosive, prone to fie, dangerous or otherwe unuitable for such intations.
The Customer shal indemn and hold the Company harmless from any and al
loss, claims, demands, suits or other action, or any liabilty whatsoever, whether
sufered, made, intituted or asserted by the Customer or by any other party, for
any personal injur to, or death of, any person or persons, or for any loss,
damage or destrction of any property, whether owned by the Customer or
others, caused or claied to have been caused, directly or indiectly, by the
intaation, operation, faiure to operate, maitenance, removal, presence,
condition, locations or use of servce furnihed by the Company at such
locations.

(M) With respet to Emergency Numbe 911 Servce:
(a) Th servce is offered solely as an aid in handing assistace call in
connection with fie, police and other emergencies. The Company is not
responsible for any losses, cla, demads, suits or any libilty whatsoever,
whether sufered, made, intituted or asserted by the Customer or by any
other party or person for any persona inju to or death of any person or
persons, and for any loss, damage or destrction of any property, whether
owned by the Customer or others, caused or claed to have bee caused by:
(1) mitaes, omisions, interruptions, delays, errors or other defects in theproviion of th service, or (2) intaation, operation, faiure to operate,
maitenace, removal presence, condition, location or use of any equipment
and facilties fuhig th servce.
(b) The Company is not responsible for any ingement or invasion of the right
of privacy of any person or persons, caused or claed to have been ca.used,
diectly or indiecy, by the intaation, operation, faiure to operate,
maintenance, removal, presence, condition, occasion or use of emergency 911
service featues and the equipment associated therewith, or by any servces
fuhed by the Company includig, but not lited to, the identication of
the telephone number, address or nae assocted with the telephone used
by the party or parties accessing emergency 911 servce, and which arise out
of the negligence or other wrongfl act of the Company, the Customer, its
users, agencies or muncipalties, or the employees or agents of anyone of
them.
(N) The Company's liabilty aring from errors or omisions in Directory Listigs,
other than charged litig, sha be lited to the amount of actual impairent of
the Customer's service and in no event shal exceed one-hal the amount of the
fied monthy charges applicable to exchange service afected during the period
covered by the diectory in which the error or omision occus. In cases of
charged Directory Listigs, the liabilty of the Company sha be lited to an
amount not exceedig the amount of charges for the charged litigs involved
during the period covered by the diectory in which the error or omision occus.

(0) When a Customer with a non-publihed telephone number, as defied herein,
places a cal to the Emergency 911 Servce, the Company wil release the name
and address of the calg party, where such inormation can be determied, to
the appropriate local governenta authority responsible for the Emergency 911
Service, upon request of such governmenta authority. By subscribing to service
under th ta Customer acknowledges and agrees with the release of
inormation as described above.
(P) The included tariff language does not constitute a determiation by the
Commsion that a litation of libilty imposed by the Company should be
upheld in a court of law. Acceptace for fig by the Commision recognes
that it is a court s responsibilty to adjudicate negligence and consequential
damage clai. It is alo the court s responsibilty to determine the valdity of
the exculpatory clause.
2.1.5 Notication of Servce-Mfectig Actvities
The Company wi provide the Customer reasnable notication of servce-afecg
activities that may occu in norma operation of its business. Such activities may include,
but are not lited to, equipment or facities additions, removal or rearrangements and
routie preventative maitenace. Geeraly, such actvities are not speifc to an
individua Customer but afect many Customers' services. No speifc advance notication
period is applicable to al servce activities. The Company wi work cooperatively with the
Customer to determie the reasonable notication requirements. With some emergency or
unplaned servce-afectig conditions, such as an outage resultig from cable damge,
notication to the Customer may not be possible.

2.1.6 Provision of Equipment and Facities
(A) The Company sha use reanable effort to mata only the facities and
equipment tht it fuhes to the Customer. The Customer may not nor may theCustome pert other to reaange, dionnec remove, attmpt to repai, or
otherwe intenere with any of the facilties or equipment intaed by the
Company, except upon the wrtt const of the Company.
(B) The Company may substitute, change or rearange any equipment or facity at
any tie and from tie to tie, but shal not thereby alter the tehnca parameters
of the servce provided by the Customer.
(C) Equipmet the Company provides or inta at the Customer Premies for use in
connection with the seices the Company offers sha not be used for any purose
other th tht for which the equipment is provided.
(D) Except as otherw indicate, Customer provided station equipment at the
Customer's premi for use in connecon with the servce shal be so constrcted,
maitained and operated as to work satifactoriy with the facities of the
Company.
(E) The Company shal not be responsible for the intation, operation, or
matence of any Customer provided communcations equipment Where such
equipment is connected to the facilties fuhed pursuant to th taif, the
responsibilty of the Company sha be lited to the fuhig of facilties offered
under th ta and to the matece and operation of such facities. Subject to
th responsibilty, the Company shal not be responsible for:
(1) the though tranmision of sign by Customer provided equipment or
for the qualty of, or defects in, such tranmision; or
(2) the reception of sign by Customer-provided equipment; or
(3) network control signg where such signg is performed by
Customer-provided network control signg equipment.

2.1.7 Non-Routie Instalation
At the Customer's request intation and/ or matenace may be performed outside the
Company's regu business hour or in hadous locations. In such cases, chges basd
on cost of the actual labor, material, or other costs incued by or chaged to the Company
wi apply. If intaation is stated during reguar business hours but, at the Customer's
request, extends beyond regu business hours into tie periods includig, but not lited
to, weekends, holidays, and/ or night hours, additiona chges may apply.
2.1.8 Special Construction
Subject to the agreement of the Company and to al of the regutions contaed in th
tarif, special construction or facities may be undertken on a reasnable eforts basis at
the request of the Customer. Specia constrcton is constrction undertaken:
(A) where facilties are not presently avaible, and there is no other requiment for
the facities so constrcted;
(B) of a tye other than that which the Company would normlly uti in thefuhig of its servces;
(q over a route other th that which the Company would normaly uti in thefuhig of its servces;
(D) in a quantity greater than that which the company would normaly constrct;
(E) on an expedited basis;
(F) on a temporar basis unti permanent facilties are avaible;
(G) involving abnorma costs; or
(H in advance of its normal constrction.

2.2 Prohibited Uses
2.2.1 The servces the Company offer sha not be usd for any unwf purose or for any use
as to which the Customer ha not obtaed al requied governenta approvals,
authoriztions, licen, consents and permts.
2.2.2 The Company may requie applicants for servce who intend to us the Company's
offerigs for resale and/ or for shared us to fie a lettr with the Company confg that
their us of the Company's offergs complies with relevant laws and the Idao
Commsion's regutions, policies, orders, and decisions.
2.2.3 The Company may block any sign being tranmitted over its Network by Customers
which cause interference to the Company or other users. Customer shal be relieved of al
obligations to make payments for chages reltig to any blocked Service and shal
indemn the Company for any cla, judgment or libilty resultig from such blockge.
2.2.4 A Customer, joint usr, or authori us may not assign, or tranfer in any maer, the
servce or any rights asocte with the servce without the wrtten consent of the
Company. The Company wi permt a Customer to tranfer its exitig servce to another
entity if the exitig Customer has paid al charges owed to the Company for regute
communcations servces. Such a tranfer wi be treated as a diconnection of existig
servce and intallation of new servce, and non-recuing intation chages as stated in
th taif wi apply.

omisions of the Customer; or the noncompliance by the Customer, with these
regutions; or by fie or theft or other casuaty on the Customer Premi, uness
caused by the negligence or wil miconduct of the employee or agents of the
Company;
(C) providing at no chage, as speced from tie to tie by the Company, any
needed equipment, space and power to operate Company facities and equipment
intaed on the premies of the Customer, and the level of heatig and ai
conditionig necessar to maita the proper operatig envionment On such
premies;
(D) obtag, matag, and otherwe having fu responsibilty for al rightsf-
way and conduit necessar for intaation of fiber optic cable and associated
equipment used to provide Communcations Services to the Customer from the
cable buidig entrance or property lie to the location of the equipment space
described in Setion 2.3.1(Q. Any and al costs associated with the obtag and
maitag the rightsof-way described herei includig the costs of alterig the
strcture to permit intalltion of the Company provided facilties, shal be borne
entiely by, or may be charged by the Company, to the Customer. The Company
may requie the Customer to demonstrate its complice with th section prior to
acceptig an order for servce.

for identig, monitorig, removig and disposing of any hadous materi
(e.g., frble asbestos) prior to any constrction or intallation work;
(F) complyig with al laws and regutions applicable to, and obtag al consents,
approval, liæns and perts as may be requied with respect to, the location of
Company facities and equipment in an Customer premis or the rights-of-way
for which Customer is resnsible under Setion 2.3.1(D); and grantig or
obtag pemision for Company agents or employee to enter the premi of
the Customer at any tie for the purose of intag, inpectig, maintag,
repaig, or upon termtion of servce as state herein, removing the facilties or
equipment of the Company;
(G) not creatig or alowig to be placed any lien or other encumbrances on the
Company's equipment or facities; and
(li makg Company facities and equipment avaible periodicaly for maiteance
puroses at a tie agreeable to both the Company and the Customer. No
alowance wi be made for the period durg which servce is interrpted for such
puroses.

2.3.2 Liabilty of the Customer
(A) The Customer wi be lible for damages to the facities of the Company and for al
incidenta and consequential damages caused by the negligent or intentiona acts
or omisions of the Customer, its offcers, employees, agents, invite, or contractors
where such act or omisions are not the diect result of the Company's negligence
or intentiona miconduct
(B) To the extent caused by any negligent or intentiona act of the Customer as
described in (A), precedig, the Customer shall indenu, defend and hold
harmless the Company from and agait al cla, actions, damages, libilties,
costs and expenses, includig reasonable attrneys' fees, for (1) any loss,
destrction or damage to property of any thd party, and (2) any liabilty incured
by the Company to any thd party pursuant to th or any other taif of the
Company, or otherwi, for any interrption of, interference to, or other defect in
any servce provided by the Company to such thd party.
(q The Customer shal not assert any claim agat any other Customer or user of the
Company's services for damages resultig in whole or in party from or aring in
connection with the furnihig of servce under th tariff including but not lited
to mitaes, omissions, interrptions, delays, errors or other defects or
mirepresetations, whether or not such other Customer or user contributed in any
way to the occurrence of the damages, uness such damages were caused solely by
the negligent to intentiona act or omision of the other Customer or user and not
by any act or omision of the Company. Nothing in th ta is intended either to
lit or to expand Customer's right to assert any claim againt thd parties for
damages of any nature other than those described in the precedig sentence.

2.4 Customer Equipment and Chels
2.4.1 General
A user may tranmit or receie inormtion or sign via the facities of the Company.
The Company's seces are designte priy for the tranmision of voice-grade
telephonic sign, except as other state in th ta. A us may tranmit any form
of sign tht is compatible with the Company's equipment, but the Company does not
guarante tht its seces wi be suitable for purse other th voice-grade telephonic
communcation except as spey state in th ta.
2.4.2 Station Equipment
(A) Ter equipment of the us's premies and the electrc power consumed by
such equipment sha be provided by and maitaed at the expense of the user.
The usr is responsible for the proviion of wig or cable to connect its terl
equipment to the Company MPP.
(B) The Customer is responsible for ensurg tht Cusmer-provided equipment
connec to Company equipment and facities is compatible with such
equipment and facities. The magntude and chaactr of the voltages and
curnts impresse on Company-provided equipment and wig by connection,
operation, or matece of such equipment and wig sha be such as not to
caus damge to the Company-provided equipment and wiing or injur to the
Company's employee or to other persons. Any additional protetive equipment
reuied to prevent such damge or injur sha be provided by the Company at
the Customer's expen, subject to prior Customer approval of the equipmentexpe.

2.4.3 Interconnection of Facilties
(A) Local Trafc Exchage provides the abilty for another local exchange provider to
termite local trafc on the Company's network. In order to qual for Loca
Trafc Exchage the cal must (a) be origiated by an end user of a company that
is authorid by the Commsion to provide local exchage servce; (b) origite
and termite with a local cag area of the Company.
(B) Any specia interface equipment necessar to acheve compatibilty between the
facilties and equipment of the Company used for fuhig Communcations
Servces and the chanels, facities, or equipment of others shal be provided at the
Customer's expens.
(q Communcations Services may be connected to the servces or facilties of other
communcations cariers only when authorized by, and in accordance with, the
term and conditions of the ta of the other communcations carriers which are
applicablè to such connections.
(D) Facilties funihed under th taif may be connected to Customer provided
termil equipment in accordance with the provisions of this taif. Al such
term equipment shal be regitered by the Federal Communcations
Commission pursuant to Par 68 of Title 47, Code of Federal Reguations; and al
user-provided wig shal be intaed and maintaed in complice with those
regulations.

equipment, and wiing in the connecon of Customer-provided facities and
equipment to Compàny-owned facities and equipment
(B) If the proteve requiements for Customer-provided equipment are not being
complied with the Company may tae such acton as it deems necessar to protet
its facities, equipment and pennel The Company wi noti the Customer
promptly if there is any nee for futher corrective action With ten days of

2.6 Payment Arangements
2.6.1 Payment for Servces
The Customer is responsible for the payment of al charges for facilties and serves
fuhed by the Company to the Customer.
The Customer is responsible for the payment of federal excie taes, state and local sales
and use taes and sim taes imposed by governenta jurdictions, al of which shall
be separately designted on the Company's invoices. Any taes imposed by a local
jurdicton (e.g., county and muncipal) wi only be recovered from those Customers
residig in the afected jurisdictions.
2.6.2 Bilg and Collecton of Chges
The Customer is responsible for payment of al charges incurred by the Customer or other
users for services and facilties fuhed to the Customer by the Company.
(A) Non-recg charges are due and payable with thty (30) days afr the date
the invoice is maed to the Customer by the Company.
(B) The Company shal present invoices for recing chges monthy to the
Customer, in advance of the month in which service is provided, and recing
charges shal be due and payable with thty (30) days afer the date the invoice
is maied to the Customer by the Company. When bilg is basd upon Customer
usage, usage charges wi be biled monthy for the precedig bilg period.
(C) When servce does not begi on the fist day of the bilg period, or end of the lat
day of the bilg period, the charge for the fracton of the month in which service
was fuhed wi be calcuated on a pro rata basis. For th purpose, every month
is considered to have th (30) days.

(D) Bilg of the Customer by the Company wi begi on the Servce Commencement
Date, which is the day on whi the Company noties the Customer that the
sece or facity is avaible for us, except tht the Servce Commencement Date
may be postponed by mutual agrment of the parties, or if the service or facity
doe not conform to stadads set fort in th ta or the Servce Order. Bilg
accres though and includes the day that the servce, cicut, arangement or
component is diontiued.
(E) If any porton of the payment is not received by the Company with 30 days of
receipt of th bil, or if any porton of the payment is received by the Company in
fuds which are not imediately avaible upon presntment, then a late payment
chage of 1.5% per month shal be due to the Company. A late payment charge is
not applicable to subsequent rebilg of any amount to which a late payment
chge ha aleady ben applied. late payment chges are to be applied withoutdicrtion
(F the Customer should noti the Company of any diputed items on an invoice
with sixty (60) days of receipt of the invoic. If the Customer and the Company
are unble to resolve the dipute to thei mutual satifacton, the Customer may
fie a complait with the Commsion in accordance with the Commsion's rules
and procedure. The address of the Commsion is as follows:

The date of the dipute shall be the date the Company receives sufficient
documentation to enable it to investigate the dipute. The date of the resolution
is the date the Company complete its investigation and noties the Customer of

(G) If service is dionnected by the Company (in accordance with Setion 2.6.3
followig) and later re-intaed, re-intation of servce wi be subject to all
applicable intation charges. If seice is suspended by the Company (in
accordance with Seon 2.6.3 followig) and later restored, restoration of servce
wi be subject to the rates in Seon 4.3.

2.6.3 Discontinuance of Servce for Cause
The Company may dicontiue service for the followig reasons provided in th Setion
2.6.3. Customers wi be provided ten (10) days writt notice prior to diontiuance
uness otherwise indicated. Notice wi be provided vi First Clas U.S. Mai
Upon the Company's dicontiuance of servce to the Customer under Setion 2.6.3(A) or
2.6.3(B), the Company, in addition to al other remedies tht may be avaible to the
Company at law or in equity or under any other provision of th taif, may declae al
futue monthy and other charges which would have been payable by the Customer during
the remaider of the term for which such services would have otherw been provided to
the Customer to be imeditely due and payable.
(A) Upon nonpayment of any amounts owig to the Company, the Company may
discontiue or suspend service without incurrig any liabilty. Company wil
comply with the Telephone Customer Relations Rule.
(B) Upon violation of any of the other material te or conditions for fuhig
service the Company may, dicontiue or suspend sece without incurig any
libilty if such violation contiues during tht period.
(q Upon condemnation of any mate portion of the facities usd by the Company
to provide serice to a Customer or if a casuaty renders al or any mateia portion
of such facilties inoperable beyond feasible repai, the Company, by notice to the
Customer, may diontiue or suspend service without incuring any libilty.
(D) Upon the Customer's inolvency, assignent for the beneft of creditors, fig forbanruptcy or reorgantion, or faig to dihage an involunta petition
with the tie permttd by law, the Company may imediately diontiue or
suspend serce without incurring any libilty. Company wi comply with
Federal Banptcy law and rues.
(E) Upon any governmenta prohibition or governmental requied alteration of the
services to be provided or any violation of an applicable law or regution, the
Company may immeditely dicontiue service without incuing any liabilty.

2.6.4 Notice to Company for Cacellation of Servce
Customers desirg to termite servce shal provide the Company th (30) days notice
of desire to termate service. If speal constrcton is involved, the requied notice shal

2.6.5 Cacellation of Application for Servce
(A) Where the Company permts the Customer to cancel an application for servce prior
to the stat of service or prior to any speci constrction, no charges wi be imposed
except for those specified below.
(B) Where, prior to cancelltion by the Customer, the Company incurs any expenss in
intag the servce or in preparing to inta the service that it otherwe would not
have incurred, a charge equal to the costs the Company incured, less net salvage,
shal apply, but in no case shal th charge exceed the sum of the charge for the
mium period of services ordered, includig intaation charges, and al chges
others levy agait the Company that would have been chageable to the Customer
had service begu.
(q Where the Company incurs any expene in connection with specia construction, or
where special arangements of facilties or equipment have begu, beore the
Company receives a cancellation notice, a chge equal to the costs incurred, less net
salvage, may apply. In such cases, the chage wi be based on such elements as the
cost of the equipment, facilties, and material, the cost of intalltion, engieering,
labor, and supervision, general and admtrative expee, other dibursements,
depreciation, maintenance, taes, proviion for retun on investment, and any other
costs associated with the special constrction or arrangements.
(D) The special charges described in 2.6.5(A) though 2.6.5(Q wi be calculated and
applied on a case-by-case basis. .

2.6.6 Changes in Serces Requested
If the Customer maes or reuests mate chge in circut engieering, equipment
specations, serve parametes, prem loctions, or otherw materiy modies any
provision of the application for sece, the Customers intation fee shal be adjuste
accordigly.
2.6.7 Bad Check Charge
A serVce charge of $20.00. wi be assessed for al checks retuned by a ban or other
fici intitution for: Inufcient or uncollected fuds, closed account, apparent
taperig, mising signtue or endorsement, or any other inufciency or dicrepancy
necessitatig retu of the intrent at the dietion of the drawee ban or other
fici intitution.
2.7 Alowances for Interrptions in Servce
2.7.1 General
Credit for Interruptions: When the use of service or facilties funihed by the Company
is interrupted due to any cause other than the negligence or wil act of the Customer,
or the operation or faiure of the facilties or equipment provided by the Customer,
pursuant to IDAP A 31.41.01 Rules 502 and 503 subject to interruption wil be alowed for
the service and facilties rendered useless and inoperative by reason of the interruption,
whenever said interruption contiues for a period of 24 hours or more from the tie the
interrption is reported to or known to exist by the Company, except as otherwie
specifed in the Company's tas. If the Customer reports a service, facilty or circuit to
be inoperative but declies to release it for testig and repair, it is considered to be
impaied, but not interrupted.
For calcutig credit alowances, every month is considered to have 30 days. A credit
alowance is applied pursuant to IDAPA 31.41.01 Rules 502 and 503 based on the rates
specifed hereunder for Local Line or Local Tru Service and is dependent upon the
lengt of the interruption. Ony those facilties on the interrupted portion of the circuit
wil receive a credit. Credit allowances for servce outages that exceed 24 hours in
duration wi be rounded up at the next whole 24 hours.

(q If the Customer reports a servce, facilty or cicuit to be interrpted but declies to

(D) The Customer sha be responsible for the payment of serce charges as set forthherein for visits by the Companý s agents or employees to the premies of the
Customer when the service diculty or trouble report results from the use of
equipment or facities provided by any party other than the Company, includig but
not lited to the Customer.
2.7.2 Limtations of Allowances
No credit alowance wi be made for any interrption in service:
(A) interruptions due to the negligence of, or noncompliance with the provisions of
th tarif by, the Customer, Authorized User, Joint-User, or other common carrier
providig service connected to the service of Company;
(B) interruptions due to the negligence of any person other than the Company
including, but not lited to, the Customer connected to the Company's facilties;
(q interruptions due to the faiure or malfction of non-Company equipment;
(D) interruptions of service during any period in which the Company is not given full
and free access to its facilties and equipment for the purpose of investigatig and
correctig interrupti'?ns;

2.7.3 Use of Another Mean of Communcations
If the Customer elects to us another mean of communcations durg the period of
inteption, the Customer must pay the chges for the alterntive servce usd.
2.8 Cacellation of Servc£'eration Liabilty
If a Customer cancel a servce order or tete servces beore the completion of the term for
any reasn other than a servce inteption (as defed in Setion 2.7.1) or where the Company
breaches the term in the servce contract, Customer may be requested by the Company to pay to
Company termition libilty charges, which are defed beow. These charges shal beome due
and owig as of the effective date of the cancelltion or termtion and be payable with the
period set forth in Setion 2.6.2.
28.1 Termation Liabilty
Customer's termtion libilty for canceltion of service shal be equal to:
(A) al unpaid non-recg charges reanably expended by Company to establih
servce to Customer, plus;
(B) any dionnecon, early cancelltion or temition charges reasonably incurred and
paid to thd parties by Company on beal of Customer, plus;
(C) al recg chges speced in the applicable Sece Order for the balance of the
then curent te diounted at the prie rate anounced in the Wall Street Journ
on the thd business day followig the date of cancelltion;
(0) mius a reasonable alowance for costs avoided by the Company as a direct result of
Customer's cancelltion

2.9 Tranfers and Assignments
Neither the Company nor the Customer may assign or tranfer its rights or duties in connection
with the serces and facities provided by the Company without the writtn consent of the other
party, except that the Company may assign its rights an duties to a) any subsidi, parent
company or afate of the Company; b) puruant to any sale or tranfer of substatiy al the
assets of the Company; or c) puruant to any ficing, merger or reorgaation of the Company.
2.10 Flexible Pricing
Notice to Customers of rate changes shal be made in accordance with Idaho Code 62-606. Where
there are no regulations, notication wil be made in a maner appropriate to the circumtaces
involved. A Customer can request that the Company diconnect servce that is provided under
the Flexible Pricing due to a price increase. The cutomer wi be credited for the difference
between the new price and the old price retroactive to the effective date of the price increase if the
customer noties the Company of its desire to disconnect servce with 20 days of receiving
notication of the price increase.

with an access lie on the Company's network (such as a dedicated 800 or WATS access
lie), the Company wi apply the rate center of the Customers mai bilg telephone
number.
5.3.2 The ailie ditace between any two rate centers is determied as follows:
Step 1: Obtain the "v" (vercal) and "H" (horinta) coordites for each Rate Center
from the above-referenced Belcore docent.
Step 2: Computer the dierence between he "v" coordite of the two rate centers; and
the dierence between the two "H" coordites.
Step 3: Square each dierence obtaed in step (b) above.
Step 4: Add the squae of the "v" dierence and the squae of the "H" dierence
obtaed in step q above.

Business Lies are provided for the connection of Customer-provided wig and single station sets
or facsime machies. An optiona per lie Huntig featue is avaible for multi-lie Customers
which routes a cal to an idle station lie in a prearanged group when the caled station lie is
busy.
5.7 PBX Tru Servce
Basic PBX Tru Servce provides a Customer with a single, voice-grade telephonic

unanwered at the forward-to location or reach a busy sign. This secondar location
may be another telephone number, pager or voice messagig servce. Other
capabilties included with th featue include:

It is the responsibilty of the Customer to subscribe to the teephone number, pager or
voice messagig servce used as the secondar location.

7.5 Business PBX Trun Servce
PBX Tru serice provides a Customer with a single, voice-grade telephonic communcations
chanel which can be used to place one cal at a tie. Trun are provided for connection of
Customer-provided private branch exchanges (pBX) or other station equipment to the public
swtched telecommuncations network.
PBX Trun are avaible to Business Customers as Inward, Outward or Two-Way combintion
tr where servces and facilties permt
Each PBX Tru is provided with Touchtone signg at no additiona charge. An optiona per
tr Huntig featue is avaible for Customers which routes a cal to the next idle tr in a
prearranged group (see Section 7.3).
PBX Tru may alo be equipped with Direct Inward Diag (DID) capabilty and DID number
blocks for additiona charges (see Setion 7.6). Usage charges are lited in Setion 7.3.

7.6 Direct Inward Dialg (DID) Serce
Direct Inward Dialg ("DID") permts ca inomig to a PBX system or other Customer Premis
Equipment to be routed to a specifc station without the assistace of an attndant DID ca are
routed diectly to the station assocte with the caled number. DID servce as offered by the
Company provides the necessar tr, teephone numbers, and out-puling of digits to enable
DID serice at a Customet s location. DID servce requies speial PBX softare and hadware not
provided by the Company. Such hardware and softare is the responsibilty of the Customer.
The followig chge apply to Customer subsing to DID service provided by the Company.
These chges are in addition to recg and non-recg chages for PBX Trunk as shown in

Th service provides a tr side 051 electrcal interface from the cutomer's digita PBX system
to a digita port on a local Company switc for the origition and termtion of cal. Trafc to
and from the digita PBX can be received or died diecy from any PBX station without the
need for an attdant
These digital tr deliver a high-speed 051 (T) connection between your PBX and the
Company network. There are up to 24 chanels on one facilty, each of which can be used to
place or receive cal. Th multi-canel capabilty dramatically reduces the need for additional
PBX circuit cards.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
unted local callg for set-paid, diectly died cal. Rates do not include calg card cal,
inormation type cal to Time and Weather, 555, 700, 900, 976 Services, Directory Assistace or
any other type of Operator Handled cal.

Th servce provides a tr side DSI electrcal interface from the customer's digital PBX system
to a digita port on a local Company switch for the origition and termiation of call. Trafc to
and from the digità PBX can be received or died diectly from any PBX station without the
need for an attendant
These digital tr deliver a high-speed DSI (Tl) connection between your PBX and the
Company network. There are up to 24 chanels on one facity, each of which can be used to
place or receive cal. Thi multi-chael capabilty dramaticaly reduces the need for additional
PBX circuit cards.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
unted local calg for sent-paid, diectly dialed cal. Rates do not include callg card cal,
inormation type cal to Time and Weather, 555, 700, 900, 976 Services, Directory Assistace or
any other type of Operator Handled cal.

ISDN BRI (Basic Rate Interface) uses standard "twted pai" cables and is nearly thee ties
faster than a 56K dial up lie. ISDN PRI (primar Rate Interface) uses a 1.54 Mbps digita
tranport facity (Tl). Both servces provide the superior clarity of digita tranmission, a high-
speed data interface and sufcient bandwidth capacity to fu your current and future
communcation needs.
ISDN BRI consists of two 64 Kbps B (Bearer) chanels and one 16 Kbps D (Data) chaneL. Each B
chanel has the abilty to integrate voice, data, image and video. The B chanels may be kept

11.1 Carier Presubscription
11.1.1 General
SECTON iiO - MISCELAOUS SERVICES
Carier Presubscription is a procedure whereby a Customer designtes to the Company
the carrier which the Customer wihes to be the carrier of choice for intraLATA and
interLATA toll cal, Such cal are automaticaly diected to the designated carrier,
without the need to use carer access codes or additional dialg to diect the cal to the
designted carrier. Presubscription does not prevent a Customer who has presubscribed
to an IntraLATA or InterLATA toll carer from using carer access codes or additional
dig to direct cal to an alternative long ditace carer on a per cal basis.
11.1.2 Presubscrption Options - Customers may select the same carrier or separate carriers for
intraLATA and interLATA long distace. The followig options for long ditace

Customers of record wil reta their pri interexchange carrier(s) unti they request
that their dilig arrangements be chaged.
Customers of record or new Customers may select either Options A, B, C, D, E or F for
intraLATA Presubscription.
Customers may change their selected Option and/ or presubscribed toll carrier at any tie
subject to chages specifed in 11.1.5 below:
11.1.4 Presubscription Procedures
A new Customer wi be asked to select intraLATA and interLATA toll cariers at the tie
the Customer places an order to establih local exchange servce with the Company. . The
Company wi process the Customer's order for serce. Al new Customers inti requests
for intraLATA toll serice presubscription shal be provided free of chge.
If a new Customer is unable to ma selection at the tie the new Customer places an
order to establih local exchange service, the Company wi read a random litig of al
avaiable intraLATA and interLATA cariers to aid the Customer in selection If selection is
sti not possible, the Company wi inorm the Customer that he/ she wil be given 90
calendar days in which to inorm the Company of hi/her choice for primar toll careres)
free of charge. Unti the Customer inorm the Company of hi/her choice of priar toll
carrier, the Customer wil not have access to long ditace services on a presubscribed
basis, but rather wi be required to di a carer access code to route al toll call to the
carrier(s) of choice. Customers who inorm the Company of a choice for toll carrier
presubscription within the 90-day period wi not be assessed a servce chage for the intiCustomer request .
Customers of record may intiate an intraLATA or interLATA presubscription chage at
any tie, subject to the charges specifed in 11.1.5 below. If a Customer of record inquies
of the Company of the carriers avaiable for toll presubscription, the Company wil read a

The Company, upon notication to Commsion, may make promotional offerings to its service
which may include waiving or reducing the applicable charges for the promoted service. The
promotional offerings may be lited as to the duration, the date and ties of the offering and
the locations where the offergs are made.

bids. Servce offered under th tarif provision wi be provided to the Customer pursuant to
contract. Unless otherwis specified, the regutions for such arrangements are in addition to the
applicable regutions and prices in other sections of th taiff. Specialed rates or charges wil
be made avaiable to simrly situated Customers on a non-dicrimintory basis. Company wil
provide the Commision with copies of any ICB contractual arangements.
