No. 2- Telephone Orgial Page 6 SECTION 1.0 - DEFIITIONS For the purose of th ta, the followig defitions wi apply: Access Line - An arrangement which connects the Customer's location to a caret s switchig center or point of presence. Account Codes - Optiona, Customer-defied digits that alow the Customer to identi the individual usr, deparent or client associated with a cal. Account Codes appear on the Customer bil. Advance Payment - Part or al of a payment requied before the sta of servce. Authorized User - A person, fi, corporation, or any other entity authorid by the Customer to communcate utig the Company's service. Business - A clas of servce provided to individuals engaged in business, fi, parerships, corporations, agencies, shops, works, tenants of offce buidigs, and individual practicig a profession or operatig a business who have no offces other than their residences and where the use of the service is priary or substatiy of a business, professiona or occupational natue. Commssion - Idaho Public Utities Commsion. Company or Caer - Broadvox-CEC, LLC, uness otherwe clearly indicated by the context. Customer - The person, fi, corporation or other entity which orders, cancels, amends or us service and is responsible for payment of charges and complice with the Company's ta. Deposit - Refers to a cash or equivalent of cash secty held as a guarante for payment of the charges. Dial Puse (or "DP") - The pule ty employed by rota dial station sets. Dual Tone Multi-Frequency (or "DTMF") - The pule tye employed by tone dial station sets. End User - Any person, fi, corporation, partnership or other entity which us the servces of the Company under the proviions and reguations of th ta. The End User is responsible for payment uness the charges for the servces utied are accepted and paid for by another Customer. End Ofice - With respect to each NP A-NX code prefi assigned to the Company, the location of the Company's "end offce" for purposes of th ta shal be the point of interconnection associted with that NP A-NX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore. Hearng Impaied - Those persons with communcation impaients, includig those hearg impaied, deaf, deaf/blid, and spee impaied persons who have an impairent that prevents them from communcatig over the telephone without the aid of a telecommuncations device for the deaf. Huntig - Route a cal to an idle station lie in a prearanged group when the called station lie is busy. In-Only - A service attibute that restrcts outward dial access and routes incomig cal to a designted anwer point. IXC or Interexchange Carer - A long ditace telecommuncations servces provider. No. 2- Telephone Orginal Page 8 SECTION 1.0 - DEFINITIONS (CONTINUED) LATA - A Local Access and Tranport Area establihed pursuant to the Modication of Fin Judgement entered by the United States Distrct Court for the Distrct of Columbia in Civil Action No. 82-0192; or any other geographic area designated as a LATA in the Nationa Exchange Carer Association, Inc. Tar F.c.c. NO.4. LEC - Local Exchange Company Mimum Point of Presence ("MPOP") - The mai telephone closet in the Customer's buidig. Monthly Recng Charges - The monthy charges to the Customer for servces, facities and equipment, which contiue for the agreed upon duration of the servce. Multi-Frequency or ("MF") - An inter-machie pul ty used for signalg between telephone switces, or between telephone switches and PBX/key systems. Non-Recurg Charge ("NRC") - The inti charge, usualy assessed on a one-tie basis, to intite and establih servce. Other Telephone Company - An Exchange Telephone Company, other than the Company. PBX - Private Branch Exchange Premises - A buidig or buidigs on contiguous property. Recurng Charges - The monthy charges to the Customer for servces, facilties and equipment which contiue for the agreed upon duration of the servce. Residence or Residential- A class of service fuhed to a Customer at a place of dwellg where the actual or obvious use is for domestic puroses. No. 2- Telephone Orginal Page 9 SECTION 1.0 - DEFINITIONS (CONTINUED) Servce Commencement Date - The fist day followig the date on which the Company noties the Customer that the requested servce is avaiable for use, uness extended by the Customer's refual to accept servce which doe not conform to stadards set fort in the Service Order and th ta, in which case the Servce Commencement Date is the date of the Customer's acceptace. The Company and Customer may mutualy agree on a substitute Servce Commencement Date. Servce Order - The writtn request for servces exected by the Customer and the Company in the formt devisd by the Company. The signg of an Order by the Customer and acceptace by the Company intiates the respective obligations of the pares as set forth therein and pursuant to th ta, but the duration of the service is calculated from the Service Commencement Date. Telecommuncations Company or Provider - Used thoughout th ta to mean Broadvox-CLEC, LLC uness clearly indicated otherwe by the text. TBD - To Be Determed. Two Way - A service attbute that includes outward di capabilties for outbound cal and can alo be used to car inbound cal to a central point for futher processing. Usage Based Charges - Charges for miutes or messages traversing over local exchange facilties. User or End User - A Customer, Joint User, or any other person authorid by a Customer to us servce provider under th ta. No. 2- Telephone Orgial Page 10 SECTON 2.0 - RULES AND REGULATIONS 2.1 Undertakng of the Company 2.1.1 Scope The Company undertes to fuh communcations servce pursuant to the term of th tarif in connection with one-way and/or two-way inormation tranmision origitig from points with the State of Idaho, and termtig with a local calg area as defied herein. The Company is responsible under th ta only for the servces and facilties provided hereunder, and it assumes no responsibilty for any servce provided by any other entity that purchases access to the Company network in order to origite or termate its own servces, or to communcate with its own Customers. 2.1.2 Shortage of Equipment or Facilties (A) The Company resrves the right to lit or to alocate the us of existig facilties, or of additional facities offered by the Company, when necessar beause of lack of facilties, or due to some other caus beyond the Company's control. (B) The fuhig of servce under th ta is subject to the avaiabilty on a contiuing basis of all the necessar facilties and is lited to the capacity of the Company's facilties as well as facities the Company may obta from other carers to fuh servce from tie to tie as requied at the sole dicretion of the Company. No. 2- Telephone Origial Page 11 SECTION 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertakng of the Company, (Contd.) 2.1.3 Term and Conditions (A) Servce is provided on the basis of a mium period of at least one month, 24 hours per day. For the purose of computig charges in th ta, a month is considered to have th (30) days. (B) Customers may be requied to enter into wrttn service orders which shal conta or reference a specifc description of the servce ordered, the rates to be charged, the. duration of the services, and the term and conditions in th tarif. Customers wi alo be requied to execte any other docuents as may be reasonably requested by the Company. (C) Except as otherwe stated in the ta, at the expiration of the inti term specifed in each Service Order, or in any extension thereof, servce shall contiue on a month to month basis at the then cuent rate uness termted by either par upon proper notice. Any termtion shal not relieve the Customer of its obligation to pay any charges incued under the servce order and th ta prior to termation. The rights and obligations which by their natue extend beyond the termtion of the term of the servce order shal surive such termation. (D) Servce may be termated upon wrttn notice to the Customer if: (1) the Customer is using the service in violation of th ta; or (2) the Customer is using the service in violation of the law. (E) Th ta shal be interpreted and governed by the laws of the State of Idaho without regard for its choice of laws proviion. (F) Any Oter Telephone Company may not interfere with the right of any person or entity to obta servce diecy from the Company. No person or entity shal be requied to make any payment, incu any penalty, moneta or otherwe, or purchase any services in order to have the right to obta servce diectly from the Company. (G) Reserved for future use. (H) The Company hereby reserves its rights to establih service packages speifc to aparticu Customer. These contract mayor may not be associated with volume and/ or term discounts. No. 2- Telephone Orginal Page 13 SECTION 2.0 - RULES AND REGULATIONS (CONT'D) 21 Undertakg of the Company, (Contd.) 21.4 Limitations on Liabilty (A) The liabilty of the Company for damages arising out of the furnhig of its Service, including but not liited to mitakes, omisions, interruption, delay, or errors, or other defects, representations, or use of these servces or damages arising out of the faiure to furnh the service, whether caused by acts or omission, shall be lited to the extension of allowances for interruption as set forth in 2.7. The extension of such allowances for interruption shall be the sole remedy of the Customer and the sole liabilty of the Company. The Company wi not be liable for any direct, indirect, incidental, special, consequential, lost profits, exemplary or punitive damages to Customer as a result of any Company service, equipment or facilties, or the acts or omissions or negligence of the Company's employees or agents. (B) The Company's liabilty for wil miconduct, if establihed as a result of judicial or admitrative proceedings, is not lited by th taiff. The Company's liabilty, if any, with regard to delayed intallation of Company facilties or commencement of service, shal not exceed $1,000. With respect to any other claim or suit, by a Customer or by any others, for damage associated with the ordering (including the reservation of any specifc number for use with a service), intallation (including delays thereof), provision, termiation, maintenance, repai, interruption of restoration of any service or facilties offered under th tarif, and subject to the proviions of Section 2.7, the Company's liabilty, if any, shall be lited as provided herein. (C) The Company shall not be liable for any delay or failure of performance or equipment due to causes beyond its control, including but not lited to: acts of God, fie, flood, explosion or other catatrophes; and law, order, reguation, direction, action or request of the United States governent or of any other governent, including state and local governents having or claig jurisdiction over the Company, or of any department, agency, commsion, bureau, corporation or other intrmentality of anyone or more of these federal, state, or local governents, or of any mita authority; preemption of existig service in compliance with national emergencies; inurrections; riots; wars; unavaiabilty of rights-of-way or materia, or strikes, lockouts, work stoppages, or other labor difcuties. No. 2- Telephone Orginal Page 14 SECTION 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertakg of the Company, (Contd.) 2.1.4 Limtations on Liabilty (Contd.) (D) The Company shall not be lible for (a) any act or omision of any entity furnhig the Company or the Company's Customers facilties or equipment used for or with the services the Company offers; or (b) for the acts or omisions of common carriers or warehousemen. Except in 31.41.01 Rule 501, 502, and 503 oftheIDAPA. (E) The Company shal not be liable for any damages or losses due to the fault ofnegligence of the Customer or due to the failure or malfction of Customer- provided equipment or facilties. (F) The Customer shall indemn and hold the Company harmless from any and al loss, claim, demands, suits, or other action, or any liabilty whatsoever, whether sufered, made, intituted, or asserted by any other part or person(s), and for any loss, damage, or destrction of any propert whether owned by the Customer or others, caused or claimed to have been caused directly or indirectly by the intallation, operation; failure to operate, maitenance, removal, condition, location, or use of intallation provided by the Company. The Company reserves the right to require each Customer to sign an agreement acknowledgig acceptace of the provisions of th section as a condition precedent to such intaations. (G) The Company shall not be liable for any defacement of or damage to Customer premises resultig from the furnhing of services or equipment on such premies or the intallation or removal thereof, uness such defacement or damage is caused by gross negligence or wil miconduct of the Company's agents or employees. No agents or employees of other parcipatig carriers shall be deemed to be agents or employees of the Company. (H) Notwthtading the Customer's obligations, the Company shall be indemned, defended, and held harmless by the Customer or by others authorid by it to use the service againt any claim, loss of damage ariing from Customer's use of services furnihed under th tariff, including: clai for libel, slander, invasion of privacy or iningement of copyright arising from the material, data, inormation, or other content tranmitted via the Company's service; and patent iningement clai arising from combing or connectig the servce offered by the Company with apparatus and systems of the Customer or others. All other claim arising out of any act or omision of the Customer or others, in connection with any service provided by the Company pursuant to this taiff. (I) The entie liabilty of the Company for any cla, loss, damage or expense from any cause whatsoever shall in no event exceed sums actualy paid to the Company by Customer for the specifc services giving rise to the claim, and no such action or precedig againt the Company shall be commenced more than one year afer the service is rendered. m The Company makes no warranties or representations, express or implied, including warranties of merchantabilty or fitness for a particular use, except those expressly set forth herein. (K) The Company shal not be liable for any act or omission of any other company or companes furnhig a portion of the service, or for damages associated with service, channels, or equipment which it does not furnh, or for damages which result from the operation of Customer-provided systems, equipment, facilties or services which are interconnected with Company services. Except in 31.41.01 Rule 501, 502, and 503 of the IDAP A. (N) The Company's liabilty arising from errors or omisions in Directory Listigs, other than charged litig, shall be lited to the amount of actual impairment of the Customer's service and in no event shall exceed one-half the amount of the fied monthy charges applicable to exchange servce affected durig the period covered by the directory in which the error or omision occurs. In cases of charged Directory Listigs, the liabilty of the Company shall be lited to an amount not exceeding the amount of charges for the charged litigs involved during the period covered by the directory in which the error or omision occurs. (P) The included tariff language does not constitute a determiation by the Commsion that a litation of liabilty imposed by the Company should be upheld in a court of law. Acceptace for filg by the Commsion recognes that it is a court s responsibilty to adjudicate negligence and consequential damage claim. It is also the court s responsibilty to determie the validity of the exculpatory clause. 2.1.5 Notiication of Servce-Afectng Actvities The Company wi provide the Customer reasonable notication of servce-afectig activities that may occu in normal operation of its business. Such activities may include, but are not lited to, equipment or facities additions, removal or rearangements and routie preventative maitenance. Generaly, such activities are not specifc to an individual Customer but afect may Customers' servces. No specc advance notication period is applicable to al service activities. The Company wi work cooperatively with the Customer to determie the reasonable notication requiements. With some emergency or unplaed service-afecg conditions, such as an outage resultig from cable damage, notication to the Customer may not be possible. Customer shal be relieved of al obligations to make payments for charges relatig to any blocked Servce and shal indemn the Company for any clai, judgment or libilty resultig from such blockage. 2.2.4 A Customer, joint usr, or authorid user may not assign, or tranfer in any maner, the service or any rights associated with the servce without the wrtten consent of the Company. The Company wi permt a Customer to tranfer its existig service to another entity if the existig Customer has paid al charges owed to the Company for reguated communcations services. A usr may tranmit any form of signl that is compatible with the Company's equipment, but the Company does not guarante that its services wi be suitable for puroses other than voice-grade telephonic communcation except as specifcaly stated in th ta. 2.4.2 Station Equipment (A) Termial equipment of the user's premies and the electrc power consumed bysuch equipment shall be provided by and maitaed at the expense of the user. The user is responsible for the proviion of wiing or cable to connect its termi equipment to the Company MPOP. (B) The Customer is responsible for ensuring that Customer-provided equipment connected to Company equipment and facities is compatible with such equipment and facilties. The magntude and character of the voltages and cuents impressed on Company-provided equipment and wig by connecon, operation, or maitenace of such equipment and wig shal be such as not to cause damge to the Company-provided equipment and wig or injur to the Company's employee or to other persons. Any additiona protetive equipment requied to prevent such damage or injur shal be provided by the Company at the Customer's expense, subject to prior Customer approval of the equipment expense. (B) Any specia interface equipment necessary to achieve compatibilty between the facilties and equipment of the Company usd for fuhig Communcations Servces and the chanels, facilties, or equipment of others shal be provided at the Customer's expense. (q Communcations Servces may be connected to the services or facilties of other communcations carriers only when authoried by, and in accordance with, the term and conditions of the tas of the other communcations carers which are applicable to such connecons. (D) Facilties furnhed under th tarif may be connected to Customer provided term equipment in accordance with the provisions of th ta. (B) If the protetive requiements for Customer-provided equipment are not being complied with, the Company may tae such action as it deems necessar to protet its facilties, equipment, and personneL. The Company wi noti the Customer promptly if there is any need for fuer corrective acton. With te days of receiving th notice, the Customer must tae th corrective action and noti the Company of the acton taen. If the Customer fai to do th, the Company may take whatever additional action is deemed necessar, includig the suspension of service, to protet its facities, equipment and personnel from har. (C) If harm to the Company's network, personnel or services is iment, the Company reserves the right to shut down Customer's servce imeditely, with no prior notice requied. The Customer is responsible for the payment of federal excise taes, state and local sales and use taes and simr taes imposed by governenta juisdictons, al of which shal be separately designated on the Company's invoices. Any taes imposed by a local judicton (e.g., county and muncipal) wi only be recovered from those Customers residing in theafected jurisdictons. 2.6.2 Billig and Collecton of Charges The Customer is responsible for payment of al charges incued by the Customer or other users for services and facities fuhed to the Customer by the Company. (A) Non-recg chages are due and payable with thty (30) days afr the date the invoice is maied to the Customer by the Company. (B) The Company shall present invoices for recg charges monthy to the Customer, in advance of the month in which servce is provided, and recg charges shal be due and payable with th (30) days afr the date the invoice is maied to the Customer by the Company. When bilg is based upon Customer usage, usage charges wi be biled monthy for the preceding bilg period. (C) When servce doe not begi on the fist day of the bilg period, or end of the lat day of the bilg period, the charge for the fraction of the month in which servce was furnhed wi be calcuated on a pro rata basis. Bilg accrues though and includes the day that the servce, circut, arangement or component is dicontiued. (E) If any porton of the payment is not received by the Company with 30 days of receipt of th bil, or if any porton of the payment is received by the Company in fuds which are not imeditely avaible upon presetment, then a late payment charge of 1.5% per month shal be due to the Company. A late payment charge is not applicable to subsuent rebilg of any amount to which a late payment charge has aleady ben applied. Late payment charges are to be applied without dicrimtion. (F) the Customer should noti the Company of any diputed items on an invoice with sixty (60) days of receipt of the invoice. If the Customer and the Company are unable to resolve the dipute to their mutual satifaction, the Customer may fie a complaint with the Commsion in accordance with the Commsion's rues and procedure. No. 2- Telephone Origial Page 34 SECTION 2.0 - RULES AND REGULATIONS, (CONTINUED) 2.6 Payment Arangements, (Continued) 2.6.6 Changes in Servces Requested H the Customer makes or requests materi changes in circuit engieerig, equipment specifcations, service parameters, premies locations, or otherwe materially modifes any proviion of the application for servce, the Customet s intaation fee sha be adjuted accordigly. 2.6.7 Bad Check Charge A service charge of $20.00 wi be assesed for al checks retued by a ban or other ficial intitution for: Inufcient or uncollected fuds, closed account, apparent taperig, mising signtue or endorsement, or any other inufciency or dicrepancy necessitatig return of the intrent at the discretion of the drawee ban or other fiancial intitution. 2.7 Allowances for Interrptions in Servce 2.7.1 General Credit for Interruptions: When the use of service or facilties furnhed by the Company is interrupted due to any cause other than the negligence or wil act of the Customer, or the operation or faiure of the facilties or equipment provided by the Customer, pursuant to IDAPA 31.41.01 Rules 502 and 503 subject to interruption wi be alowed for the service and facilties rendered useless and inoperative by reason of the interruption, whenever said interruption contiues for a period of 24 hours or more from the tie the interrption is reported to or known to exist by the Company, except as otherwe specifed in the Company's tarifs. H the Customer report a service, facilty or circuit to be inoperative but declies to release it for testig and repair, it is considered to be impaired, but not interrupted. For calculatig credit allowances, every month is considered to have 30 days. A credit allowance is applied pursuant to IDAPA 31.41.01 Rules 502 and 503 based on the rates specifed hereunder for Local Line or Local Tru Service and is dependent upon the lengt of the interruption. Ony those facilties on the interrpted portion of the circuit wil receive a credit. Credit alowances for service outages that exceed 24 hours in duration wi be rounded up at the next whole 24 hours. These charges shal beome due and owig as of the effecve date of the cancellation or termtion and be payable with the period set forth in Setion 2.6.2. 2.8.1 Termnation Liabilty Customer's termtion liabilty for cancelltion of service shal be equal to: (A) al unpaid non-recurring charges reasonably expeded by Company to establih servce to Customer, plus; (B) any diconnection, early cancellation or termation charges reasonably incued and paid to thd parties by Company on behal of Customer, plus; (C) al recrig charges specifed in the applicable Servce Order for the balce of the then current term discounted at the prie rate anounced in the Wall Street Journal on the thd business day followig the date of cancellation; (D) mius a reasonable allowance for costs avoided by the Company as a diect result of Customer's cancelltion. Where there are no regulations,. notication wi be made in a maner appropriate to the circumstaces involved: A Customer can request that the Company disconnect service that is provided under the Flexible Pricing due to a price increase. The promotional offerings may be lited as to the duration, the date and ties of the offerig and the locations where the offerings are made. 13.2 Contract Rates / Individual Case Basis (ICB) Arangements Competitive pricing arrangements at negotiated rates may be furnhed on an individual case basis (ICB) in response to request by customers to Broadvox-CLEC, for proposals or for competitive bids. Service offered under th taiff provision wi be provided to the Customer pursuant to contract. Unless otherwise specifed, the regulations for such arrangements are in addition to the applicable regulations and prices in other sections of th taif. Specialed rates or charges wil be made availble to simarly situated Customers on a non-discrimatory basis. Company wi provide the Commission with copies of any ICB contractual arrangements.
