No. 2- Telephone Orgial Page 6 SECTON 1.0 - DEFINIIONS For the purpose of th ta, the followig defitions wi apply: Access Line - An arangement which connec the Customer's location to a carer's switcg center or point of presence. Account Codes - Optional, Customer-defied digits that allow the Customer to identi the individual user, department or client assocated with a cal. Account Codes appear on the Customer bil Advance Payment - Part or al of a payment reuied beore the sta of servce. Authorized User - A persn, fi, corporation, or any other entity authorid by the Customer to communcate utiing the Company's servce. Business - A class of servce provided to individual engaged in business, fi, parerships, corporations, agencies, shops, works, tenats of offce buidigs, and individual practicig a profession or operatig a business who have no. offces other than their residences and where the use of the servce is priarily or substatialy of a business, professional or occupationa natue. Commssion - Idaho Public Utities Commsion Company or Caer - Aiesprig, Inc., uness otherw clealy indicate by the context. Customer - The person, fi, corpration or other entity which orders, cancels, amends or uses servce and is responsible for payment of chges and complice with the Company's ta. Deposit - Refers to a cash or equivalent of cash secty held as a guarante for payment of the charges. Dial Pulse (or "DP") - The pule ty employed by rota dial station sets. Dual Tone Multi-Frequency (or "DTMF") - The pule tye employed by tone dia station sets. End User - Any person, fi, corporation, parership or other entity which uses the services of the Company under the proviions and regulations of th tarif. The End User is responsible for payment uness the charges for the services utied are accepted and paid for by another Customer. End Ofice - With respect to each NP A-NX code prefi assigned to the Company, the location of the Company's "end offce" for purposes of th ta shal be the point of interconnecon assocated with that NP A-NX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore. Hearg Impaired - Those persons with communcation impaiments, includig those hearing impaied, deaf, deaf/blid, and speech impaired persons who have an impaiment tht prevents them from communcatig over the telephone without the aid of a telecommuncations device for the deaf. Huntig - Routes a cal to an idle station lie in a prearranged group when the called station lie is busy. In-üy - A servce attbute that restrcts outward dia access and routes incomig cal to a designted anwer point IXC or Interexchange Carer - A long ditace telecommuncations servces provider. Tarif F.c.c. NO.4. LEC - Local Exchange Company Minimum Point of Presence ("MPOP") - The ma telephone closet in the Customer's buiding. Monthly Recng Charges - The monthy charges to the Customer for servces, facities and equipment, which contiue for the agreed upon duration of the service. Multi-Frequency or ("MF") - An inter-machie pule ty usd for signalg between telephone switches, or between telephone switces and PBX/key systems. Non-Recurg Charge ("NRC") - The inti charge, usualy assesed on a one-tie basis, to intite and establih service. Other Telephone Company - An Exchange Telephone Company, other than the Company. PBX - Prvate Branch Exchage Premises - A buidig or buidigs on contiguous propert. Recg Charges - The monthy chages to the Customer for servces, facities and equipment which contiue for the agreed upon duration of the servce. Residence or Residential- A class of service fuhed to a Customer at a place of dwellg where the actual or obvious use is for domestic purose. No. 2- Telephone Orginal Page 9 SECTION 1.0 - DEFINITIONS (CONTINUED) Servce Commencement Date - The fist day. followig the date on which the Company noties the Customer that the requested servce is avaiable for us, uness exteded by the Customer's refual to accept service which does not conform to stadards set fort in the Service Order and th tarif, in which cas the Servce Commencement Date is the date of the Customer's acceptace. The Company and Customer may mutualy agree on a substitute Servce Commencement Date. Servce Order - The writtn request for servces exected by the Customer and the Company in the format devised by the Company. The signg of an Order by the Customer and acceptace by the Company intites the respective obligations of the parties as set fort therein and pursuant to th tarif, but the duration of the servce is calcuated from the Servce Commencement Date. Telecommuncations Company or Provider - Used thoughout th ta to mean Aiespring, Inc. uness clearly indicated otherw by the text. TBD - To Be Determied. Two Way - A servce attbute that includes outward dial capabilties for outbound call and can alo be used to car inbound call to a central point for fuer processing. Usage Based Charges - Charges for miutes or messages traversing over local exchange facilties. User or End User - A Customer, Joint User, or any other person authorid by a Customer to use servce provider under th tarif. No. 2- Telephone Orgial Page 10 SECTON 2.0 - RULES AND REGULATIONS 2.1 Undertaking of the Company 2.1.1 Scope The Company undertes to fuh communcations servce pursuant to the term of th ta in connecon with one-way and/or two-way inormation tranmision origiatig from points with the State of Idaho, and termtig with a local calg area as defied herein. The Company is responsible under th ta only for the servces and facilties provided hereunder, and it assumes no responsibilty for any servce provided by any other entity that purchases access to the Company network in order to origite or termte its own servces, or to communcate with its own Customers. 2.1.2 Shortage of Equipment or Facilities (A) The Company reserves the right to lit or to alocate the use of existig facilties, or of additiona facities offered by the Company, when necessar beaus of lack of facities, or due to some other caus beyond the Company's control. (B) The fuhig of servce under th ta is subject to the avaibilty on a contiuig basis of al the neessa facities and is lite to the capacity of the Company's facilties as well as facities the Company may obta from other carers to fuh servce from tie to tie as requied at the sole dicretion of the Company. No. 2- Telephone Origial Page 11 SECTION 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertakng of the Company, (Contd.) 2.1.3 Terms and Conditions (A) Service is provided on the basis of a mium period of at leat one month, 24 hours per day. For the purpose of computig charges in th ta, a month is considered to have th (30) days. (B) Customers may be requied to enter into wrtten servce orders which shal conta or reference a specifc desption of the servce ordered, the rates to be charged, the duration of the servces, and the terms and conditions in th ta. Customers wi alo be requied to execte any other docuents as may be reasonably requested by the Company. (C) Except as otherwe stated in the ta, at the expiration of the inti term speced in each Service Order, or in any extension thereof, service shal contiue on a month to month basis at the then curent rates uness termited by either par upon proper notice. Any termtion shall not relieve the Customer of its obligation to pay any charges incued under the service order and th ta prior to termtion. The rights and obligations which by their natue extend beyond the termtion of the term of the servce order sha surive such termation. (D) Service may be termated upon written notice to the Customer if: . (1) the Customer is using the service in violation of th ta; or (2) the Customer is using the service in violation of the law. (E) Th tari shal be interpreted and governed by the laws of the State of Idaho without regard for its choice of laws provision. (F) Any Oter Telephone Company may not interfere with the right of any person or entity to obta servce diectly from the Company. No person or entity shal be requied to make any payment, incur any penty, moneta or otherw, or purch any servces in order to have the right to obta service diectly from the Company. (G) Resrved for futue us. (H) The Company hereby resrves its rights to establih servce packages specifc to a particu Customer. Thes contract mayor may not be associated with volume and/ or term diounts. No. 2- Telephone Orgial Page 13 SECTION 2.0 - RULES AND REGULATIONS (CONT'D) 2.1 Undertakg of the Company, (Contd.) 2.1.4 Limitations on Liabilty (A) The liabilty of the Company for damages arising out of the furnhig of its Service, including but not lited to mitakes, omissions, interruption, delay, or errors, or other defects, representations, or use of these services or damages arising out of the failure to furnh the servce, whether caused by acts or omision, shall be lited to the extension of allowances for interruption as set forth in 2.7. The extension of such allowances for interruption shall be the sole remedy of the Customer and the sole liabilty of the Company. The Company wil not be liable for any diect, indirect, incidental, special, consequential, lost profits, exemplary or puntive damages to Customer as a result of any Company service, equipment or facilties, or the acts or omissions or negligence of the Company's employees or agents. (B) The Company's liabilty for will miconduct, jf establihed as a result of judicial or admintrative proceedings, is not lited by th tarif. The Company's liabilty, if any, with regard to delayed intaation of Company facilties or commencement of service, shall not exceed $1,000. With respect to any other claim or suit, by a Customer or by any others, for damage associated with the ordering (including the reservation of any specific number for use with a service), intallation (including delays thereof), proviion, termiation, maintenance, repair, interruption of restoration of any service or facilties offered under th taiff, and subject to the provisions of Setion 2.7, the Company's liabilty, if any, shall be lited as provided herein. (C) The Company shall not be liable for any delay or failure of performance or equipment due to causes beyond its control, including but not lited to: acts of God, fire, flood, explosion or other catastrophes; and law, order, regulation, diection, action or request of the United States governent or of any other governent, including state and local governments having or claiming jurisdiction over the Company, or of any department, agency, commission, bureau, corporation or other intrentality of anyone or more of these federal, state, or local governments, or of any mitary authority; preemption of existig service in compliance with national emergencies; inurrections; riots; wars; unavailabilty of rights-of-way or materials, or strikes, lockouts, work stoppages, or other labor dificulties. (D) The Company sha not be lible for (a) any act or omision of any entity fuhig the Company or the Company's Customers facilties or equipment used for or with the servces the Company offers; or (b) for the acts or omissions of common carers or warehousmen. Except in 31.41.01 Rule 501, 502, and 503 of the IDAP A. (E) The Company shal not be lible for any damages or losses due to the fault of negligence of the Customer or due to the failure or malfnction of Customer- provided equipment or facilties. (F) The Customer shal indemn and hold the Company harmless from any and all loss, clai, demands, suits, or other action, or any libilty whatsoever, whether sufered, made, intituted, or assertd by any other party or person(s), and for any loss, damage, or destrction of any property whether owned by the Customer or others, caus or claied to have ben caused directly or indirectly by the intation, operation; faiure to operate, maitenance, removal, condition, location, or use of intaation provided by the Company. The Company reserves the right to requie each Customer to sign an agreement acknowledgig acceptace of the proviions of th section as a condition precedent to such intallations. (G) The Company shall not be liable for any defacement of or damage to Customer premies resultig from the fuhig of services or equipment on such premies or the intallation or removal thereof, uness such defacement or damage is caused by gross negligence or will miconduct of the Company's agents or employees. No agents or employee of other partcipatig carriers shal be deemed to be agents or employees of the Company. (H) Notwthtading the Customer's obligations, the Company shall be indemnied, defended, and held harmless by the Customer or by others authorized by it to use the service agait any claim, loss of damage arising from Customer's use of services fuhed under th tariff, including: claims for libel, slander, invasion of privacy or iningement of copyright ariing from the material, data, inormation, or other content transmitted via the Company's service; and patent iningement claim arising from combing or connectig the service offered by the Company with apparatus and systems of the Customer or others. All other claim arising out of any act or omission of the Customer or others, in connection with any service provided by the Company pursuant to th tarif. (I) The entie liabilty of the Company for any claim, loss, damage or expense from any cause whatsoever shall in no event exceed sums actually paid to the Company by Customer for the specific services giving rise to the claim, and no such action or preceding againt the Company shall be commenced more than one year after the service is rendered. (J The Company makes no warranties or representations, express or implied,including warranties of merchantabilty or fitness for a particular use, except those expressly set forth herein. (K) The Company shall not be liable for any act or omision of any other company orcompanes furnhig a portion of the service, or for damages associated with service, chanels, or equipment which it does not furnh, or for damages which result from the operation of Customer-provided systems, equipment, facilties or services which are interconnected with Company services. Except in 31.41.01 Rule 501, 502, and 503 of the IDAP A. (L) The Company does not guarantee nor make any warranty with respect to service intallations at locations at which there is present an atmosphere that is explosive, prone to fire, dangerous or otherwise unuitable for such intallations. The Customer shall indemn and hold the Company harmess from any and all loss, claim, demands, suits or other action, or any liabilty whatsoever, whether sufered, made, intituted or asserted by the Customer or by any other party, for any personal injur to, or death of, any person or persons, or for any loss, damage or destrction of any property, whether owned by the Customer or others, caused or claimed to have been caused, directly or indiectly, by the intallation, operation, failure to operate, maitenance, removal, presence, condition, locations or use of service furnihed by the Company at such locations. (M) With respect to Emergency Number 911 Service: (a) Th servce is offered solely as an aid in handing assistace call in connection with fie, police and other emergencies. The Company is not responsible for any losses, claim, demands, suits or any libilty whatsoever, whether sufered, made, intituted or asserted by the Customer or by any other par or person for any. personal injur to or death of any person or persons, and for any loss, damage or destrction of any propert, whether owned by the Customer or others, caused or claimed to have been caused by: (1) mitaes, omisions, interruptions, delays, errors or other defects in theproviion of th service, or (2) intallation, operation, faiure to operate, maitenance, removal, presnce, condition, location or use of any equipment and facilties fuhig th service. (b) The Company is not responsible for any iningement or invasion of the right of privacy of any person or persons, caused or claimed to have been caused, diecy or indiectly, by the intaation, operation, failure to operate, maitenace, removal, presence, condition, occasion or use of emergency 911 service featues and the equipment associated therewith, or by any services furnhed by the Company including, but not lited to, the identication of the telephone number, address or name associated with the telephone used by the par or pares accessing emergency 911 service, and which arise out of the negligence or other wrongfl act of the Company, the Customer, its users, agencies or muncipalities, or the employees or agents of anyone of them. (N) The Company's liabilty arising from errors or omisions in Directory Listigs, other than charged litig, shall be lited to the amount of actual impaiment of the Customer's service and in no event shall exceed one-hal the amount of the fied monthy charges applicable to exchange service afected during the period covered by the directory in which the error or omision occurs. In cases of charged Direcory Listigs, the liabilty of the Company shal be liited to an amount not exceeding the amount of charges for the charged litigs involved durig the period covered by the directory in which the error or omision òccurs. (0) When a Customer with a non-publihed telephone number, as defined herein, places a call to the Emergency 911 Service, the Company wi release the name and address of the calg party, where such inormation can be determed, to the appropriate local governental authority responsible for the Emergency 911 Servce, upon request of such governental authority. By subscribing to service under this tarif Customer acknowledges and agrees with the release of inormation as described above. (P) The included tarif language does not constitute a determination by the Commsion that a litation of liabilty imposed by the Company should be upheld in a court of law. Such activities may include, but are not lited to, equipment or facities additions, removal or rearangements and routie preventative maitenance. Generally, such activities are not specifc to an individual Customer but afec many Customers' servces. No specifc advance notication period is applicable to al servce actvities. The Company wi work cooperatively with the Customer to determe the reasonable notication requiements. With some emergency or unplaed servce-afectig conditions, such as an outage resultig from cable damage, notication to the Customer may not be possible. (D) Except as otherw indicate, Customer provided station equipment at the Customer's premi for use in connecon with the servce shal be so constrcted, maitaed and operate as to work satifactoriy with the facilties of the Company. (E) The Company sha not be responsible for the intation, operation, or maintece of any Customer provided communcations equipment. Where such equipment. is connecd to the facilties fuhed pursuant to th taif, theresponsibilty of the Company sha be lited to the fuhig of facilties offered under th ta and to the maitenace and operation of such facities. Speial constrction is constrction undertken: (A) where facilties are not presently avaible, and there is no other requiement for the facilties so constrctd; (B) of a ty other than that which the Company would normally utie in thefuhig of its services; (C) over a route other than that which the Company would normaly uti in the furnhig of its services; (D) in a quantity greater than that which the company would normaly constrct; (E) on an expedited basis; (F) on a temporar basis unti permanent facilties are avaiable; (G) involvig abnorm costs; or (H) in advance of its normal constrcton. Customer shal be relieved of al obligations to make payments for charges relatig to any blocked Servce and shal indemn the Company for any cla, judgment or libilty resultig from such blockage. 2.2.4 A Customer, joint usr, or authorid usr may not assign, or tranfer in any maer, the servce or any rights assoted with the servce without the wrttn consnt of the Company. The Company's services are designte priary for the tranmision of voice-grade telephonic signal, except as otherw stated in th ta. A user may tranmit any form of signal that is compatible with the Company's equipment, but the Company doe not guarante that its servces wi be suitable for purose other than voice-grade telephonic communcation except as specaly stated in th ta. 2.4.2 Station Equipment (A) Termi equipment of the user's premies and the elecic power consumed bysuch equipment shal be provided by and mataed at the expense of the user. The user is responsible for the provision of wiing or cable to connect its termal equipment to the Company MPP. (B) The Customer is. responsible for enurg that Customer-provided equipment connected to Company equipment and facilties is compatible with such equipment and facilties. The magntude and chactr of the voltages and cuents impressed on Company-provided equipment and wig by connection, operation, or maitece of such equipment and wig shal be such as not to caus damage to the Company-provided equipment and wig or injur to the Company's employee or to other persons. Any additional protetive equipment requied to prevent such damage or injur shal be provided by the Company at the Customer's expens, subject to prior Customer approval of the equipment expense. In order to quali for Local Trafc Exchange the cal must (a) be origiated by an end user of a company that is authorizd by the Commsion to provide local exchange servce; (b) origiate and termate with a local callg area of the Company. (B) Any specia interface equipment necessar to achieve compatibilty between the facilties and equipment of the Company used for furnhig Communcations Servces and the chanels, facilties, or equipment of others shal be provided at the Customer's expense. (C) Communcations Services may be connected to the servces or facilties of other communcations carriers only when authoried by, and in accordance with, the terms and conditions of the tarifs of the other communcations carriers which are applicable to such connections. (D) Facilties fuhed under th ta may be connected to Customer provided termi equipment in accordance with the proviions of th tarif. Al such termil equipment shal be regitered by the Federal Communcations Commsion pursuant to Part 68 of Title 47, Code of Federal Regulations; and al user-provided wiing shall be intalled and maitained in complice with those regulations. The Customer is responsible for the payment of federal excis taes, state and local sales and use taxes and simar taes imposed by governental jurdictions, al of which shal be separately designted on the Company's invoices. Any taes imposed by a local jurisdiction (e.g., county and muncipal) wi only be recovered from those Customers residig in the afected jurisdictons. 2.6.2 Billing and Collecton of Charges The Customer is responsible for payment of al charges incued by the Customer or other users for services and facilties fuhed to the Customer by the Company. (A) Non-recrring charges are due and payable with thty (30) days afr the date the invoice is maied to the Customer by the Company. (B) The Company shal present invoices for recrig charges monthy to the Customer, in advance of the month in which servce is provided, and recurring charges shal be due and payable with th (30) days afr the date the invoice is maied to the Customer by the Company. When bilg is basd upon Customer usage, usage charges wi be biled monthy for the precedig bilg period. (C) When service doe not begi on the fist day of the bilg period, or end of the lat day of the bilg period, the charge for the fraction of the month in which service was fuhed wi be calcuated on a pro rata basis. (D) Bilg of the Customer by the Company wi begi on the Service Commencement Date, which is the day on which the Company noties the Customer that the service or facilty is avaiable for use, except that the Servce Commencement Date may be postponed by mutual agreement of the pares, or if the service or facity doe not conform to stadards set fort in th ta or the Service Order. Bilg accrues though and includes the day that the servce, circut, arrangement or component is diontiued. (E) If any porton of the payment is not received by the Company with 30 days of receipt of th bil or if any porton of the payment is received by the Company in fuds which ar not imedtely avaible upon prestment, then a late payment charge of 1.5% per month shal be due to the Company. A late payment charge is not applicable to subsuent rebilg of any amount to which a late payment charge has aleady ben applied. Late payment charges are to be applied without dicrimtion. (F) the Customer should noti the Company of any diputed items on an invoice with sixty (60) days of receipt of the invoice. If the Customer and the Company are unble to reslve the dipute to their mutual satifacton, the Customer may fie a complat with the Commsion in accordance with the Commsion's rues and procedur. The date of the resolution is the date the Company completes its investigation and noties the Customer of the disposition of the dispute. (G) If servce is dionnected by the Company (in accordance with Setion 2.6.3 followig) and later re-intaed, re-intaation of service wi be subject to al applicable intation chages. If servce is suspended by the Company (in accordance with Setion 2.6.3 followig) and later restored, restoration of servce wi be subject to the rate in Setion 4.3. (B) Upon violation of any of the other material terms or conditions for furnhigservce the Company may, dicontiue or suspend servce without incug any libilty if such violation contiues durg that period. (C) Upon condemnation of any material porton of the facities usd by the Company to provide service to a Customer or if a casualty renders al or any materia porton of such facilties inoperable beyond feasible repai, the Company, by notice to the Customer, may dicontiue or suspend servce without incug any libilty. (0) Upon the Customer's inolvency, assignent for the benefit of creditors, fig forbanptc or reorganation, or faig to diharge an involuntary petition with the tie permitted by law, the Company may imediately discontiue or suspend service without incurring any liabilty. If special constrction is involved, the requied notice shal be writtn. 2.6.5 Cancellation of Application for Servce (A) Where the Company permts the Customer to cancel an application for service prior to the stat of service or prior to any specia constrction, no charges wi be imposed except for those speifed below. (B) Where, prior to cancellation by the Customer, the Company incurs any expenss in intallg the service or in preparg to inta the servce that it otherwe would not have incurred, a charge equal to the costs the Company incued, less net salvage, shal apply, but in no case shal th charge exceed the sum of the charge for the mium period of services ordered, including intation chges, and al charges others levy agait the Company that would have be chargeable to the Customer had service begu. (C) Where the Company incurs any expene in connection with speia constrcton, or where special arrangements of facilties or equipment have begu, before the Company receives a cancellation notice, a charge equal to the costs incured, less net salvage, may apply. In such cas, the charge wi be based on such elements as the cost of the equipment, facilties, and material, the cost of intaation, engieerig, labor, and supervion, general and admtrative expense, other dibursements, depreciation, maitenance, taes, provision for retu on investment, and any other costs associated with the special constrction or arangements. If the Customer report a service, facilty or circuit to be inoperative but declies to release it for testig and repair, it is considered to be impaired, but not interrupted. For calculatig credit allowances, every month is considered to have 30 days. A credit allowance is applied pursuant to IDAPA 31.41.01 Rules 502 and 503 basd on the rates specified hereunder for Local Line or Local Trun Service and is dependent upon the lengt of the interruption. A Customer can request that the Company disconnect service that is provided under the Flexible Pricing due to a price increase.
