SECTION 1.0 - DEFIITIONS
For the purose of th ta, the followig deftions wi apply:
Access Line - An arrangement which connec the Customer's location to a carier's switcg center or
point of presece.
Account Codes - Optiona Customer-defed digits tht alow the Customer to identi the individual user,
deparent or client associated with a cal Account Codes appe on the Customer bil.
Advance Payment - Par or al of a payment reuied beore the sta of servce.
Authorized User - A person, fi, corpration, or any other entity authoried by the Customer to
communcate utig the Company's servce.
Business - A class of servce provided to individual engaged in business, fi, partrerships, corporations,
agencies, shops, works, tenats of offce buidigs, and individual practcing a profession or operatig a
business who have no offces other than their residences and where the use of the service is priarily or
substatiy of a business, professiona or occupationa natue.
Commission - Idaho Public Utities Commsion.
Company or Carer - Aiesprig, Inc., uness otherw clealy indicate by the context
Customer - The person, fi, corporation or other entity which orders, cancels, amends or us servce and is
responsible for payment of charges and complice with the Company's ta.
Deposit - Refers to a cash or equivalent of cash secty held as a guarante for payment of the charges.

SECTION 1.0 - DEFINITIONS (CONTINUED)
DID Tru - A form of local switched access that provides the abilty for an outside party to call an internal
extension diecy without the intervention of the Company operator.
Dial Pulse (or "DP") - The pule ty employed by rota dial station sets.
Dual Tone Multi-Frequency (or "DTMF") - The pul ty employed by tone di station sets.
End User - Any person, fi, corpration, parbership or other entity which us the servces of the
Company under the proviions and reguations of th ta. The End User is responsible for payment
uness the charges for the services uti are accepted and paid for by another Customer.
End Office - With respect to each NP A-NX code prefi assigned to the Company, the location of the
Company's "end offce" for purses of th taif sha be the point of interconnection associted with that
NP A-NX code in the Local Exchange Routig Guide ("LERG"), issued by Bellcore.
Hearg Impaied - Those persons with communcation impaients, includig those hearg impaied,
deaf, deaf/blid, and speech impaired persons who have an impaient that prevents them from
communcatig over the telephone without the aid of a telecommuncations device for the deaf.
Hunting - Route a cal to an idle station lie in a prearranged group when the caled station lie is bus.
In-Qnly - A service attbute that restrct outward di access and route incomig cal to a designted
anwer point
IXC or Interexchange Caer - A long ditace telecommuncations servces provider.

other geographic area designted as a LATA in the Nationa Exchange Carier Association, Inc. Tarif F.C.C.

LEC - Local Exchange Company
Mium Point of Presence ("MPOP") - The ma teephone closet in the Customer's buidig.
Monthly Recurg Chares - The monthy chges to the Customer for servces, facilties and equipment,
which contiue for the agreed upon duration of the sece.
Multi-Frequency or (liMP') - An inter-mache pul ty used for signg between telephone switches, or
between telephone switces and PBX/key systems.
Non-Recurg Charge ("NRC") - The inti charge, usualy assesed on a one-tie basis, to intite and
establih servce.
Other Telephone Company - An Exchange Telephone Company, other th the Company.
PBX - Private Branch Exchange
Premises - A buidig or buidigs on contiguous prope.
Recurng Chges - The monthy chges to the Customer for servces, facilties and equipment which
contiue for the agreed upon duration of the servce.
Residence or Residential - A class of servce fuhed to a Customer at a place of dwellg where the actual
or obvious use is for domestic purposes.

Servce Commencement Date - The fist day followig the date on which the Company noties the
Customer that the requested servce is avaiable for use, uns extended by the Customer's refual to accept
servce which does not conform to stadards set forth in the Servce Order and th taif, in which case the
Service Commencement Date is the date of the Customer's acceptace. The Company and Customer may
mutually agree on a substitute Service Commencement Date.
Servce Order - The wrtt request for servces exected by the Customer and the Company in the format
devised by the Company. The signg of an Order by the Customer and acceptace by the Company
intites the respective obligations of the parties as set forth therein and pursuant to th taif, but the
duration of the service is calcuated from the Sece Commencement Date.
Telecommuncations Company or Provider - Used thoughout th ta to mean Aiesprig, Inc. uness
clearly indicated otherwe by the text
TBD - To Be Determed.
Two Way - A servce attibute that includes outward di capabilties for outbound cal and can alo be
used to carry inbound cal to a central point for futher processing.
Usage Based Charges - Chges for miutes or messages traversing over local exchange facities.
User or End User - A Customer, Joint User, or any other person authorized by a Customer to use sece
provider under th taif.

SECTON 2.0 - RULES AND REGULATIONS
2.1 Undertakg of the Company
2.1.1 Scope
The Company undertes to fuh communcations servce purant to the term of th
taif in connecon with one-way and/or two-way inormtion tranmision origitig
from points with the State of Idaho, and termtig with a local calg area as defed
herein
The Company is responsible under th ta only for the seces and facities provided
hereunder, and it assumes no responsibilty for any sece provided by any other entity
that purchases access to the Company network in order to origiate or termte its own
servces, or to communcate with its own Customers.
2.1.2 Shortage of Equipment or Facities
(A) The Company resrves the right to lit or to alocate the us of extig facilties,
or of additional facities offered by the Company, when necessar beaus of lack
of facities, or due to some other cause beyond the Company's control
(B) The fuhig of service under th ta is subject to the avaiabilty on a
contiuig basis of al the necessar facilties and is lite to the capacity of the
Company's facilties as wel as facities the Company may obta from other
carers to fuh servce from tie to tie as requied at the sole dicretion of the
Company.

2.1 Undertakg of the Company, (Cont'd.)
2.1.3 Terms and Conditions
(A) Service is provided on the basis of a mium period of at least one month, 24
hours per day. For the purpose of computig chages in th ta, a month is
considered to have thty (30) days.
(B) Customers may be requied to enter into wrtt service orders which sha conta
or reference a speifc description of the servce ordered, the rates to be chaged, the
duration of the serces, and the term and conditions in th taif. Customers wi
al be requied to execute any other docents as may be reaonably requested
by the Company.
(C) Except as otherw stated in the ta, at the expiration of the inti term specifed
in each Servce Order, or in any extension thereof, service shal contiue on a month
to month basis at the then curent rates uness termiate by either party upon
proper notice. Any termtion shal not relieve the Customer of its obligation to
pay any charges incured under the servce order and th ta prior to
termtion. The rights and obligations which by their natue exted beyond the
termtion of the term of the servce order sha surve such termtion.
(D) Servce may be termted upon wrtt notice to the Customer if:
(1) the Customer is using the servce in violation of th taif; or
(2) the Customer is using the servce in violation of the law.
(E) Th taif shal be interpreted and governed by the laws of the State of Idaho
without regard for its choice of laws proviion.

(F) Any Oter Telephone Company may not intenere with the right of any person orentity to obta servce diecy frm the Company. No person or entity shal be
requied to mae any payment, incu any penaty, moneta or otherw, or
purcha any seces in order to have the right to obta serce diectly from the
Company.
(G) Reserved for futue use.
(H) The Company hereby reserve~ its rights to establih service packages specifc to a
particular Customer. These contracts mayor may not be associated with volume
and/ or term diounts.

2.1 Undertakng of the Company, (Contd.)
2.1.4 Limitations on Liabilty
(A) The liabilty of the Company for damages arising out of the funihig of its
Service, includig but not lited to mitakes, omisions, interruption, delay, or
errors, or other defects, representations, or use of these servces or damages
arising out of the faiure to furnh the service, whether caused by act or
omision, shal be lited to the extension of alowances for interruption as set
forth in 2.7. The extension of such allowances for interruption shal be the sole
remedy of the Customer and the sole liabilty of the Company. The Company
wi not be liable for any direct, indirect, incidental, special, consequential, lost
profits, exemplar or puntive damages to Customer as a result of any Company
service, equipment or facilties, or the acts or omissions or negligence of the
Company's employee or agents.
(B) The Company's liabilty for wil miconduct, if establihed as a result of
judicial or admtrative proceedigs, is not lited by th tarif. The
Company's liabilty, if any, with regard to delayed intallation of Company
facilties or commencement of service, shal not exceed $1,000. With respect to
any other clai or suit, by a Customer or by any others, for damage associated
with the orderig (including the reservation of any specifc number for use with a
servce), intaation (includig delays thereof), provision, termiation,
maintenace, repair, interrption of restoration of any service or facilties offered
under th taif, and subject to the provisions of Setion 2.7, the Company's
liabilty, if any, shal be lited as provided herein.
(C) The Company shall not be liable for any delay or failure of performance or
equipment due to causes beyond its control, includig but not lited to: acts of
God, fie, flood, explosion or other catastrophes; and law, order, reguation,
diection, action or request of the United States governent or of any other
governent, including state and local governents having or claig
jurisdiction over the Company, or of any departent, agency, commsion,
bureau, corporation or other intrentality of anyone or more of these federal,
state, or local governents, or of any mita authority; preemption of existig
service in compliance with national emergencies; inurrections; riots; wars;
unvaiabilty of rights-of-way or material, or stres, lockouts, work stoppages,
or other labor diculties.

(D) The Company shal not be liable for (a) any act or omision of any entity
fuhig the Company or the Company's Customers facilties or equipment
used for or with the servces the Company offers; or (b) for the acts or omisions
of common carers or warehousmen. Except in 31.41.01 Rule 501, 502, and 503
of the IDAP A.
(E) The Company shal not be lible for any damages or losses due to the fault ofnegligence of the Customer or due to the faiure or malction of Customer-
provided equipment or facilties.
(F) The Customer shall indemn and hold the Company harmless from any and al
loss, claim, demands, suits, or other action, or any liabilty whatsoever, whether
suffered, made, intituted, or asserted by any other party or person(s), and for
any loss, damge, or destrction of any property whether owned by the
Customer or others, caused or claed to have ben causd diectly or indiectly
by the intaation, operation; faiure to operate, maitece, removal, condition,
location, or use of intation provided by the Company. The Company reserves
the right to require each Customer to sign an agreement acknowledgig
acceptace of the provisions of th secon as a condition precedent to such
intaations.
(G) The Company shal not be liable for any defacement of or damage to Customer
premises resultig from the furnihig of services or equipment on such premies
or the intallation or removal thereof, unless such defacement or damage is
caused by gross negligence or will miconduct of the Company's agents or
employees. No agents or employees of other partcipatig carriers shall be
deemed to be agents or employees of the Company.
(H) Notwithtading the Customer's obligations, the Company shall be indemnied,
defended, and held harmless by the Customer or by others authoried by it to
use the service againt any claim, loss of damage ariing from Customer's use of
services furnihed under this tariff, including: clai for libel, slander, invasion
of privacy or inringement of copyright arising from the material, data,
inormation, or other content transmittd via the .Company's servce; and patent
inringement clai arising from combing or connectig the service offered by
the Company with apparatus and systems of the Customer or others. All other
claim arising out of any act or omision of the Customer or others, in connection
with any service provided by the Company pursuant to th taiff.

2.1.4 Litations on Liabilty (Cont'd.)
(I) The entie liabilty of the Company for any clai, loss, damge or expene from
any cause whatsoever shal in no event exceed sums actualy paid to the
Company by Customer for the specifc services giving rise to the claim, and no
such action or preceding againt the Company shal be commenced more than
one year afr the service is rendered.
(J The Company makes no warranties or representations, express or implied,
including warranties of merchantabilty or fitress for a particular use, except
those expressly set forth herein.
(K) The Company shall not be liable for any act or omision of any other company or
companes furnihing a portion of the service, or for damages assoc;iated with
servce, chanels, or equipment which it does not furnih, or for damages which
result from the operation of Customer-provided systems, equipment, facilties or
services which are interconnected with Company servces. Except in 31.41.01
Rule 501, 502, and 503 of the IDAP A.
(L) The Company does not guarantee nor make any warranty with respect to service
intallations at locations at which there is present an atmosphere that is
explosive, prone to fie, dangerous or otherwe unuitable for such intallations.
The Customer shal indemn and hold the Company harmless from any and all
loss, claim, demands, suits or other action, or any liabilty whatsoever, whether
sufered, made, intituted or asserted by the Customer or by any other party, for
any personal injury to, or death of, any person or persons, or for any loss,
damage or destruction of any property, whether owned by the Customer or
others, caused or claimed to have been caused, directly or indiectly, by the
intaation, operation, faiure to operate, maitenace, removal, presence,
condition, locations or use of service funihed by the Company at such locations.

(M With respect to Emergency Number 911 Service:
(a) Th service is offered solely as an aid in handing assistance call inconnection with fie, police and other emergencies. The Company is not
responsible for any losses, claim, demands, suits or any libilty whatsoever,
whether sufered, made, intituted or asserted by the Customer or by any
other party or person for any persona injur to or death of any person or
persons, and for any loss, damage or destrction of any property, whether
owned by the Customer or others, caused or claimed to have been caused by:
(1) mitakes, omisions, interruptions, delays, errors or other defects in theproviion of th service, or (2) intaation, operation, faiure to operate,
maintenance, removal, presence, condition, location or use of any equipment
and facilties fuhig th service.
(b) The Company is not responsible for any iningement or invasion of the right
of privacy of any person or persons, caused or claimed to have been caused,
directly or indiectly, by the intation, operation, failure to operate,
mainteance, removal, presnce, condition, occasion or use of emergency 911
servce featues and the equipment associated therewith, or by any services
furnhed by the Company includig, but not lited to, the identiication of
thè telephone number, addrs or nae associated with the telephone used
by the party or parties accessing emergency 911 service, and which arie out
of the negligence or other wrongf act of the Company, the Customer, its
users, agencies or muncipalties, or the employees or agents of anyone of
them.
(N) The Company's liabilty arising from errors or omisions in Directory Listigs,
other than charged litig, shall be liited to the amount of actual impairment of
the Customer's service and in no event shal exceed one-hal the amount of the
fixed monthy charges applicable to exchange service affected during the period
covered by the diectory in which the error or omision occurs. In cases of
charged Directory. Listigs, the liabilty of the Company shall be lited to an
amount not exceeding the amount of charges for the charged listigs involved
durg the period covered by the directory in which the error or omision occurs.

(0) When a Customer with a non-publihed telephone number, as defied herein,
places a cal to the Emergency 911 Service, the Company wi release the name
and address of the calg party, where such inormation can be determined, to
the appropriate local governental authority responsible for the Emergency 911
Service, upon request of such governenta authority. By subscribing to servce
under th taf Customer acknowledges and agrees with the release of

2.1.5 Notiication of Servce-Afecting Activities
The Company wi provide the Customer reasonable notication of service-afectig
activities that may occu in normal operation of its business. Such activities may include,
but are not lited to, equipment or facilties additions, removal or rearangements and
routie preventative maitenace. Generaly, such actvities are not speifc to an
individual Customer but afect many Customers' services. No specifc advance notication
period is applicable to al servce activities. The Company wi work cooperatively with the
Customer to determe the reasonable notication requirments. With some emergency or
unplaed servce-afectig conditions, such as an outage resultig from cable damge,
notication to the Customer may not be possible.

otherw interfere with any of the facities or equipment intaed by the
Company, except upon the wrttn consnt of the Company.
(B) The Company may substitute, change or rearrange any equipment or facity at any
tie and from tie to tie, but shal not thereby àlter the tehncal parameters of
the seice provided by the Customer.
(C) Equipment the Company provides or inta at the Customer Premies for use in
connecon with the servce the Company offers sha not be used for any purpose
other th tht for which the equipment is provided.
(D) Except as otherw indicate, Customer provided station equipment at the
Customer's premies for use in connection with the servce sha be so constrcted,
maitaed and operated as to work satifactorily with the facilties of the
Company.
(E) The Company sha not be responsible for the intaation, operation, or
matenace of any Customer provided communcations equipment Where such
equipment is connd to the facities fuhed pursuant to th tari, the
responsibilty of the Company sha be lite to the fuhig of facilties offered
under th ta and to the maitece and operation of such facilties. Subject to
th responsibilty, the Company shal not be responsible for:
(1) the though tranmision of signal by Customer provided equipment or
for the qualty of, or defects in, such tranmision; or
(2) the reception of signal by Customer-provided equipment; or
(3) network control signg where such signalg is performed by Customer-

At the Customer's request, intaation and/ or maiteance may be performed outside the
Company's regu business hour or in hazardous locations. In such cases, charges based
on cost of the actal labor, materia, or other costs incued by or charged to the Company
wi apply. If intation is stated during regu business hours but, at the Customer's
request, extends beyond regu business hours into tie periods includig, but not lited
to, weekends, holidays, and/ or night hours, additiona charges may apply.
2.1.8 Special Constrcton
Subject to the agreement of the Company and to al of the regutions contaed in th
ta, special constrction or facilties may be undertaken on a reasonable efforts basis at the
request of the Customer. Speia constrction is constrction underten:
(A) where facilties are not presently avaible, and there is no other requiement for the
facities so constrcted;
(B) of a ty other than that which the Company would normaly uti in thefuhig of its servces;
(C) over a route other than that which the Company would normaly uti in thefuhig of its services;
(D) in a quantity greater than that which the company would normaly constrct;
(E) on an expedited basis;
(F) on a temporar basis unti permanent facilties are available;.
(G) involvig abnormal costs; or
(H) in advance of its normal constrction.

as to which the Customer has not obtaed all requied governenta approval,

2.2.2 The Company may requie applicants for servce who intend to us the Company's
offerings for resale and/or for shared us to fie a lettr with the Company confg that
their use of the Cömpany's offergs complies with relevant laws and the Idaho
Commsion's regutions, policies, orders, and decions.
2.2.3 The Company may block any signal being tranmitt over its Network by Customers
which cause inteference to the Company or other usrs. Customer shal be relieved of al
obligations to make payments for charges reltig to any blocked Sece and shal
indemn the Company for any cla, judgment or libilty resultig from such blockage.
2.2.4 A Customer, joint user, or authorid usr may not assign or tranfer in any maner, the
service or any rights associted with the service without the wrttn consent of the
Company. The Company wi permt a Customer to tranfer its exitig servce to another
entity if the exitig Customer has paid al charges owed to the Company for reguted
communcations servces. Such a tranfer wi be treated as a diconnection of existig
servce and intation of new servce, and non-recg intation charges as stated in
th ta wi apply.

way and conduit necessar for intaation of fiber optic cable and associated
equipment used to provide Communcations Servces to the Customer from the
cable hiIidig entrance or propert lie to the location of the equipment space
descrbed in Seon 2.3.1(Q. Any and al costs associated with the obtag and
maintag the rightsof-way described herein, includig the costs of alteg the
strctue to permit intation of the Company provided facities, shal be borne
entiely by, or may be chged by the Company, to the Customer. The Company

Customer at any tie for the purose of intag, inpetig, matag,
repaiing, or upon tetion of sece as state herei removig the facilties or
equipment of the Company;
(G) not creatig or alowig to be placed any lien or other encubrances on the
Company's equipment or facities; and
(H) making Company facilties and equipment avaiable periodicaly for maitenance
purposes at a tie agreeable to both the Company and the Customer. No
allowance wi be made for the period durg which service is interrpted for such
purose.

or intentional miconduct.
(B) To the extet caused by any negligent or intentional act of the Customer asdescribed in (A), precedg, the Customer sha indem, defend and hold
haess the Company from and agait al cla, actons, damges, liabilties,
costs and expenses, includig reasonable attrneys' fees, for (1) any loss,
destrction or damge to property of any thd party, and (2) any libilty incued
by the Company to any thd par pursuant to th or any other taif of the
Company, or otherw, for any interrption of, interference to, or other defect in
any service provided by the Company to such thd par.
(C) The Customer shal not assert any clai agait any other Customer or user of the
Company's servces for damages resultig in whole or in party from or ariing in
connection with the fuhig of service under th ta includig but not lited
to mitaes, omisions, interruptions, delays, errors or other defects or
mirepresentations, whether or not such other Customer or usr contrbuted in any
way to the occuence of the damages, uness such damage were caus solely by
the negligent to inte:rtional act or omision of the other Customer or usr and not
by any act or omision of the Company. Nothg in th ta is intended either to
lit or to expand Customer's right to assert any cla againt thd pares for
damages of any natue other than those described in the precedig sentece.

2.4 Customer Equipment and Chels
2.4.1 General
A user may tranmit or receive inormtion or sign vi the facilties of the Company. The
Company's services are designted primarily for the tranmision of voice-grade telephonic
sign, except as otherw stated in th ta. A user may tranmit any form of signal tht
is compatible with the Company's equipment, but the Company does not guarante tht its
servces wi be suitable for purposes other than voice-grade telephonic communcation
except as specifcaly stated in th ta.
2.4.2 Station Equipment
(A) Termial equipment of the user's premi and the elecic power consiued by
such equipment sha be provided by and mataed at the expene of the user.
The user is responsible for the proviion of wig or cable to connec its term
equipment to the Company MPOP.
(B) The Customer is responsible for enurg that Customer-provided equipment
connectd to Company equipment and facilties is compatible with such equipment
and facilties. The magntude and chacter of the voltages and curents impressed
on Company-provided equipment and wig by connecon, operation, or
maitece of such equipment and wig sha be such as not to caus damage to
the Company-provided equipment and wig or inur to the Company's
employee or to other persons. Any additional protetive equipment requied to
prevent such damage or inju shal be provided by the Company at the
Customer's exp, subject to prior Customer approval of the equipment expense.

2.4.3 Interconnection of Facilities
(A) Local Trafc Exchange provides the abilty for another local exchage provider to
termate local trafc on the Company's network. In order to qual for Local
Trafc Exchange the call must (a) be origiated by an end user of a company that is
authorizd by the Commsion to provide local exchange service; (b) origite and
termte with a local calg area of the Company.
(B) Any spe interface equipment necessar to achieve compatibilty between thefacilties and equipment of the Company used for fuhig Communcations
Services and the chanels, facilties, or equipment of others shal be provided at the
Customer's expen.
(C) Communcations Services may be connected to the services or facilties of other
communcations carers only when authorid by, and in accordance with, the
terms and conditions of the tas of the other communcations carriers which are
applicable to such connections.
(D) Facities funihed under th ta may be connected to Customer provided
term equipment in accordance with the provisions of th ta. Al such
termal equipment shal be regitered by the Federal Communcations
Commsion pursuat to Part 68 of Title 47, Code of Federal Regutions; and al
user-provided wig shal be intaed and maitaed in compliance with those
reguations.

(A) Upon suitable notication to the Customer, and at a reasonable tie, the Company
may make such tets and inpeons as may be necessar to determe that the
Customer is complyig with the requiements set fort in Setion 2.4.2(B) for the
intation, operation, and matenace of Customer-provided facilties,
equipment, and wig in the connecon of Customer-provided facilties and
equipment to Company-owned facilties and equipment
(B) If the protective requiements for Customer-provided. equipment are not being
complied with, the Company may tae such action as it deeID necessar to protet
its facilties, equipment, and personneL. The Company wi noti the. Customer
promptly if there is any need for futher corrective action. With ten days of
receivig th notice, the Customer must tae th corrective action and noti the
Company of the action taen. If the Customer fai to do th, the Company may
tae whatever additiona action is deemed necessar, includig the suspension of
servce, to prote its facities, equipment and personnel from ha.
(C) If har to the Company's network, personnel or servces is iment, the
Company reserves the right to shut down Customer's service imediately, with no
prior notice requied.

2.6 Payment Arangements
2.6.1 Payment for Serces
The Customer is responsible for the payment of al chges for facilties and servces
fuhed by the Company to the Customer.
The Customer is responsible for the payment of federal excis taes, state and local sales
and us taes and sim taes imposed by governenta juisdictions, al of which shal be
separately designated on the Company's invoices. Any taes imposed by a local jurisdiction
(e.g., county and muncipal) wi only be recovered from those Customers residing in the
afected jurisdictions.
2.6.2 Biling and Collection of Charges
The Customer is responsible for payment of all charges incurred by the Customer or other
users for services and facilties furnhed to the Customer by the Company.
(A) Non-recrring charges are due and payable with th (30) days afr the date
the invoice is maied to the Customer by the Company.
(B) The Company shal present invoices for recg charges monthy to the
Customer, in advance of the month in which servce is provided, and recing
charges sha be due and payable with th (30) days afr the date the invoice is
maied to the Customer by the Company. When bilg is based upon Customer
usage, usage charges wi be biled monthy for the precedig bilg period.
(C) When serce does not begi on the fist day of the bilg period, or end of the lat
day of the bilg period, the charge for the fraction of the month in which servce
was fuhed wi be calcuted on a pro rata basis. For th purose, every month
is considered to have thty (30) days.

(D) Bilg of the Customer by the Company wi begi on the Service CommencementDate, which is the day on which the Company noties the Customer that the
service or facilty is avaible for use, except that the Service Commencement Date
may be postponed by mutu agreement of the parties, or if the service or facilty
doe not conform to stadards set forth in th taif or the Service Order. Bilg
accres though and includes the day that the servce, cicuit, arangement or
component is diontiued.
(E) If any portion of the payment is not received by the Company with 30 days of
receipt of th bil or if any portion of the payment is received by the Company in
fuds which are not imeditely avaible upon presentment, then a late payment
chge of 1.5% per month shal be due to the Company. A late payment charge is
not applicable to subsequent rebilg of any amount to which a late payment
charge has aleady ben applied. Late payment charges are to be applied without
dicrimation.
(F) the Customer should noti the Company of any diputed items on an invoice
with sixty (60) days of receipt of the invoice. If the Customer and the Company
ar unble to resolve the dipute to their mutual satifaction, the Customer may fie
a complat with the Commsion in accordance with the Commsion's rues and

The date of the dispute shal be the date the Company receives sufficient
documentation to enable it to investigate the dispute. The date of the resolution

applicable intation chages. If servce is suspended by the Company (in
accordance with Setion 2.6.3 followig) and later restored, restoration of servce
wi be subjec to the rate in Seon 4.3.

The Company may disontiue servce for the followig reasons provided in th Seon
2.6.3. Customers wi be provided te (10) days written notice prior to dicontiuance

Upon the Company's dicontiuance of servce to the Customer under Setion 2.6.3(A) or
2.6.3(B), the Company, in addition to al other remedies that may be avaible to the
Company at law or in equity or under any other proviion of th taif, may declare al
futue monthy and other charges which would have ben payable by the Customer durg
the remaider of the term for which such servces would have otherw been provided to
the Customer to be imediately due and payable.
(A) Upon nonpayment of any amounts owig to the Company, the Company may
diontiue or suspend servce without incuring any libilty. Company wi
comply with the Telephone Customer Relations Rule.
(B) Upon violation of any of the other materil term or conditions for furnhigservce the Company may, disontiue or susped service without incuring any
liabilty if such violation contiues durg tht period.
(C) Upon condemntion of any materi porton of the facilties used by the Company
to provide servce to a Customer or if a casualty renders al or any mate portion
of such facilties inoperable beyond feasible repai, the Company, by notice to the
Customer, may diontiue or suspend servce without incurrig any liabilty.
(D) Upon the Customer's inolvency, assignent for the beneft of creditors, fig forbanptc or reorganation, or faig to dicharge an involunta petition with
the tie permitt by law, the Company may imediately discontiue or suspend
servce without incurring any libilty. Company wi comply with Federal
Banruptcy law and rules.
(E) Upon any governental prohibition or governenta required alteration of the
services to be provided or any violation of an applicable law or reguation, the
Company may imeditely dicontiue servce without incuring any liabilty.

2.6.5 Cancellation of Application for Servce
(A) Where the Company pemits the Customer to cancel an application for servce prior
to the sta of service or prior to any speial constrction, no charges wi be imposed
except for those speced below.
(B) Where, prior to cancellation by the Customer, the Company incus any expenses in
intag the servce or in preparg to inta the serce that it otherwie would not
have incued, a charge equal to the costs the Company incued, less net salvage,
shal apply, but in no case shal th charge exceed the sum of the charge for the
mium period of servces ordered, includig intaation chges, and al charges
others levy agait the Company that would have be chgeable to the Customer
had service begu
(q Where the Company incus any expense in connection with special constrcton, or
where speial arangements of facilties or equipment have begu, before the
Company receives a cancellation notice, a chage equal to the costs incued, less net

2.6.6 Changes in Servces Requested
If the Customer maes or requests materi changes in circut engieerig, equipment
specifcations, servce parameters, prems locations, or otherwe materiay modies any
proviion of the application for servce, the Customer s intation fee shal be adjusted
accordigly.
2.6.7 Bad Check Charge
A service charge of $20.00 wi be assesed for al checks retied by a ban or other
fianci intitution for: Inufcient or uncollecd fuds, closed account, apparent
tapering, mising signtue or endorsement, or any other inufciency or disepancy
necessitatig retu of the intrent at the dicretion of the drawee ban or other fici
intitution.
2.7 Allowances for Interrptions in Servce
2.7.1 General
Credit for Interruptions: When the use of service or facilties fuhed by the Company is
interrupted due to any caus other than the negligence or wi act of the Customer, or
the operation or faiure of the facilties or equipment provided by the Customer, pursuant
to IDAPA 31.41.01 Rules 502 and 503 subject to interruption wi be allowed for the
service and facilties rendered useless and inoperative by reason of the interruption,
whenever said interruption contiues for a period of 24 hours or more from the tie the
interruption is reported to or known to exist by the Company, except as otherwe
specifed in the Company's taifs. If the Customer reports a service, facilty or circuit to
be inoperative but declies to release it for testig and repair, it is considered to be
impaired, but not interrupted.
For calculatig credit allowances, every month is considered to have 30 days. A credit
alowance is applied pursuant to IDAP A 31.41.01 Rules 502 and 503 based on the rates
specifed hereunder for Local Line or Local Tru Service and is dependent upon the
lengt of the interruption. Only those facilties on the interrupted portion of the cicuit
wi receive a credit. Credit allowances for service outages that exceed 24 hours in
duration wil be rounded up at the next whole 24 hours.

(C) If the Customer reports a servce, facity or circut to be interrpted but declies to

the Company, the servce, facilty or circut is considered to be impaied but not
interrupted. No credit alowances wi be made for a serve, facity or circut
considered by the Company to be impaired.
(D) The Customer shal be responsible for the payment of servce charges as set fort
herein for visits by the Companýs agents or employee to the premies of the
Customer when the servce diculty or trouble report results from the use of
equipment or facities provided by any party other th the Company, including but
not lited to the Customer.
2.7.2 Limtations of Alowances
No credit alowance wi be made for any interruption in servce:
(A) interruptions due to the negligence of, or noncompliance with the provisions of thtariff by, the Customer, Authorizd User, Joint-User, or other common carrier
providing service connected to the service of Company;
(B) interruptions due to the negligence of any person other than the Company
including, but not liited to, the Customer connected to the Company's facilties;
(q interruptions due to the faiure or malfction of non-Company equipment;
(D) interruptions of service durig any period in which the Company is not given full
and free access to its facilties and equipment for the purpose of investigatig and
correctig interruptions;

2.7.3 Use of Another Mean of Communcations
If the Customer elects to use another mean of communcations during the period of
interruption, the Customer must pay the charges for the alterntive service used.
2.8 Cancellation of ServcEfermination Liabilty
.
If a Customer cancels a servce order or termte servces beore the completion of the term for any
reason other than a service interrption (as defed in Setion 2.7.1) or where the Company breaches
the term in the servce contract, Customer may be requested by the Company to pay to Company
termtion liabilty charges, which are defied below. These charges shal beome due and owig
as of the effective date of the cancelltion or termtion and be payable with the period set forth
in Setion 2.6.2.
2.8.1 Termation Liabilty
Customer's termition liabilty for cancellation of servce shal be equal to:
(A) al unpaid non-recurig charges reasonably expended by Company to establih
service to Customer, plus;
(B) any diconnection, early cancellation or termation charges reasonably incured and
paid to thd pares by Company on behalf of Customer, plus;
(C) all recug charges speed in the applicable Service Order for the balce of the
then cuent term diounte at the prie rate anounced in the Wall Street Journal on
the thd business day followig the date of cancelltion;
(D) mius a reasonable alowance for costs avoided by the Company as a diect result of
Customer's cancelltion.

Neither the Company nor the Customer may assign or tranfer its rights or duties in connection with
the servces and facities provided by the Company without the wrttn consent of the other par,
except tht the Company may assign its rights an duties to a) any subsidi, parent company or
afte of the Company; b) pursuant to any sale or tranfer of substatiy al the asets of the
Company; or c) puruant to any ficing, merger or reorgantion of the Company.
2.10 Flexible Pricing
Notice to Customers of rate changes shall be made in accordance with Idaho Code 62-606. Where
there are no regulations, notiication wi be made in a maner appropriate to the circumtaces
involved. A Customer can request that the Company disconnect servce that is provided under
the Flexible Pricing due to a price increase. The customer wil be credited for the diference
between the new price and the old price retroactive to the effective date of the price increase if the
customer notiies the Company of its desire to diconnect servce with 20 days of receivig
notiication of the price increase.

The Stadard Business Line provides a Customer with a single, analog, voice-grade telephonic

or facsime machies. An optional per lie Huntig featue is avaible for multi-lie Customers
which routes a call to an idle station lie in a prearranged group when the caled station lie is bus.
5.7 PBX Tru Servce
Basic PBX Tru Service provides a Customer with a single, voice-grade telephonic communcations
chanel, which ca be usd to place or receive one cal at a tie. Basic Tru are provided for
connecon of Customer-provided private branch exchges (pBX) to the public switced
telecommuncations network. Each Basic PBX Tru is provided with touch-tone signalg and may
be confgued into a hunt group at no additiona chge with other Company-provided Basic PBX
Tru. The sign is an analog sign at the DS leveL.
5.8 Reserved for Futue Use
5.9 Direct Inward Dialg (DID) Servce
Direct Inward Diag ("DID") permits cal incomig to a PBX system or other Customer Premies
Equipment to be routed to a specifc station without the assistace of an attndat. DID cal are
routed diectly to the station associated with the caled number. DID servce as offered by the
Company provides the necessar tr, telephone numbers, and out-puling of digits to enables
DID servce at a Customer s location. DID servce requires spe PBX softare and hardware not
provided by the Company. Such hadware and softare is the responsibilty of the Customer.

(A) Flexible Call Forwarding: Provides end-user control for cal forwardig capabilties via
dial-accessed voice prompt menus. Customers may forward cal to a priar local orlong ditace. The end-user may specif a seondar location for routig of go
unwered at the forward-to location or reach a bus signal. Th secondary location
may be another telephone number, pager or voice messagig servce. Other capabilties
included with th featue include:

Rig Control; and
Timed Forwardig.
It is the responsibilty of the Customer to subscribe to the telephone number, pager or
voice messagig service used as the secondar location.

7.5 Business PBX Tru Servce
PBX Tru servce provides a Customer with a single, voice-grade telephonic communcations
chael which can be used to place one cal at a tie. Tru are provided for connecon of
Customer-provided private branch exchanges (PBX) or other station equipment to the public
switced telecommuncations network.
PBX Tru are avaible to Business Customers as Inward, Outward or Two-Way combintion
tr where servces and facities permit
Each PBX Tru is provided with Touchtone signg at no additional charge. An optiona per
tr Huntig featue is availble for Customers which routes a call to the next idle tr in a
prearanged group (se Setion 7.3).
PBX Tru may alo be equipped with Direct Inward Diag (DID) capabilty and DID number
blocks for additional charges (see Setion 7.6). Usage charges are lited in Section 7.3.

7.6 Direct Inward Dialg (DID) Serce
Direct Inward Dialg ("DID") permts cal incomig to a PBX system or other Customer Premi
Equipment to be routed to a specc station without the assistace of an attdant DID cal are
routed diecy to the station assocted with the caled number. DID service as offered by the
Company provides the necessar tr, telephone numbers, and out-puling of digits to enable
DID servce at a Customet s location. DID servce requies spe PBX softare and hadware not
provided by the Company. Such hardware and softar is the responsibilty of the Customer.
The followig charges apply to Customers subscribing to DID servce provided by the Company.
These charges are in addition to recring and non-recg charges for PBX Trun as shown in
Setion 7.5 of th ta. The Customer wil be charged for the number of DID numbers utid out

Th service provides a tr side DSl electrcal interface from the customer's digita PBX system
to a digital port on a local Company switc for the origiation and termiation of call. Traffic to
and from the digital PBX can be received or died diectly from any PBX station without the
need for an attendant.
These digita tr deliver a high-speed DSl (Tl) connection between your PBX and the
Company network. There are up to 24 chanels on one facilty, each of which can be used to place
or receive call. Th multi-chanel capabilty dramaticaly reduces the need for additional PBX
circuit cards.

.9.4 Digital DS-l PBX Service with Unlimited Local Callng and Bundled TolJD Servce
Th service provides a trun side DSl electrical interface from the customet s digital PBX system
to a digital port on a local Company switch for the origiation and termiation of cal. Trafic to
and from the digital PBX can be received or dialed diectly from any PBX station without the
need for an attendant.
These digital tr deliver a high-speed DSl (Tl) connection between your PBX and the
Company network. There are up to 24 chanels on one facilty, each of which can be used to place
or receive cal. Th multi-chanel capabilty dramatically reduces the need for additional PBX
circuit cards.
Each of these products is offered under a 12, 24 or 36 month term agreement. Rates include
unlted local calg for sent-paid, diectly dialed call. Rates do not include callg card call,
inormation tye call to Time and Weather, 555, 700, 900, 976 Services, Directory Assistace or
any other type of Operator Handled call.
The Digital DS-l PBX Service with Unlted Local Callg and Bundled Toll/LD Service
Products are offered with six different increments of Toll/LD Minutes of Use: 5,000, 10,000,
15,000, 30,000, 50,000 and 100,000. Intaation charges are included in the monthy recrring
charges. Regional Toll and Long Distace Services must be PIC'd to the Company.

ISDN BRI (Basic Rate Interface) uses stadard "twted pai" cables and is nearly thee ties
faster than a 56K dial up lie. ISDN PRI (Primar Rate Interface) uses a 1.54 Mbps digital
tranport facilty (Tl). Both servces provide the superior clarity of digita tranmision, a high-
speed data interface and sufficient bandwidth capacity to fu your current and future
communcation needs.
ISDN BRI consists of two 64 Kbps B (Bearer) chanels and one 16 Kbps D (Data) channeL. Each B
chanel has the abilty to integrate voice, data, image and video. The B chanels may be kept
separate or bonded together to deliver 128 Kbps.

11.1 Carer Presubscrption
11.1.1 General
SECTION 11.0 - MISCELLANOUS SERVICES
Carrier Presubscrption is a procedure whereby a Customer designates to the Company
the carrier which the Customer wihes to be the carier of choice for intraLAT A and
interLATA toll cal, Such cal are automaticaly diected to the designated carrier,
without the need to use carrier access codes or additional dialg to direct the cal to the
designated carrier. Presubscription does not prevent a Customer who has presubscribed
to an IntraLATA or InterLATA toll carrier from using carrier access codes or additional
dialg to direct call to an alternative long ditace carrier on a per cal basis.
11.1.2 Presubscription Options - Customers may select the same carrier or separate carriers for
intraLATA and interLATA long ditace. The followig options for long ditace
Presubscription are avaible:

Customer may select two diferent cariers, neither being the Company

Customer may select a carrier other than the Company for no
presubscribed carrier for intraLAT A toll cal subject to presubscription
which wil require the Customer to dial a carrier access code to route all

11.1.3 Rules and Reguations
Customers of record wi reta their priar interexchage carrier(s) unti they request that
their dialg arrangements be changed.
Customers of record or new Customers may select either Options A, B, C, D, E or F for
intraLATA Presubscription.
Customers may change their selected Option and/or presubscribed toll carer at any tie
subject to charges specied in 11.1.5 below:
11.1.4 Presubscrption Procedures
A new Customer wi be asked to select intraLATA and interLATA toll carriers at the tie
the Customer places an order to establih local exchange servce with the Company. The
Company wi process the Customer's order for servce. Al new Customers inti requests
for intraLAT A toll service presubscription shal be provided free of chage.
If a new Customer is unable to make selection at the tie the new Customer places an order
to establih local exchange service, the Company wi read a random litig of al avaiable
intraLATA and interLATA carriers to aid the Customer in selection. If selection is sti not
possible, the Company wi inorm the Customer that he/ she wi be given 90 calendar days
in which to inorm the Company of hi/her choice for priar toll carer(s) free of charge.
Unti the Customer inorms the Company of hi/her choice of priar toll carrier, the
Customer wi not have access to long ditace servces on a presubscribed basis, but rather
wi be requied to dil a carrier access code to route al toll cal to the carrieres) of choice.
Customers who inorm the Company of a choice for toll carrier presubscription with the
9O-day period wi not be assesse a servce charge for the intial Customer request.
Customers of record may intiate an intraLATA or interLATA presubscription change at
any tie, subject to the charges specifed in 11.1.5 below. If a Customer of record inquies
of the Company of the carriers avaiable for toll presubscription, the Company wi read a
random litig of al avaible intraLATA carers to aid the Customer in selection.

13.1 Promotional Offerings
The Company, upon notication to Commsion, may mae promotiona offerings to its service
which may include waiving or reducig the applicable charges for the promoted service. The
promotional offerings may be lited as to the duration, the date and ties of the offering and
the locations where the offerings are made.
13.2 Contract Rates / Individual Case Basis (lCB) Arangements
Competitive pricing arrangements at negotiated rates may be furnhed on an individual case
basis (ICB) in response to request by cutomers to Aiespring, for proposals or for competitive
bids. Service offered under th taif provision wi be provided to the Customer pursuant to
contract Unless otherwe specifed, the regutions for such arrangements are in addition to the
applicable regutions and prices in other sections of th tarif. Specialied rates or charges wil
be made avaiable to simarly situated Customers on a non-ditory basis. Company wil
provide the Commission with copies of any ICB contractual arrangements.
