ln response to the Commission's request, JD Resort wishes to clarify that the IDEQ loan has been
transferred to JD Resort (appendix A) and operations passed with the completion of the sale agreement
included in the original application (Application). Both JD Resort and Esprit Enterprises LLC are under the
sole proprietorship of Chan Karupiah, who wishes CPCN No. 395 to be held by JD Resort until such time
that a new LLC is formed and the matter brought before the Commission. We believe that this, in
addition to the sales documents provided with the Application are sufficient to show that responsibility
has passed to JD Resort and that it is the Owners desire that the CPCN be transferred with that
responsibility.
Should this be acceptable to the Commission, it is our desire that the attached letter of personal
guarantee (appendix B) and the financials of Mr. Karupiah included in the Application stand as
representative of JD Resort and the remainder of the Application stand as submitted.
The company also wishes to assure the Commission that steps have been taken to verify future
dec ns follow IPUC guidelines and the UCRRs.

This letter is to confirm the reassignment of the debt to J.D. Resort, Inc. to facilitate the nepayment of
the CDS Stoneridge Utilities, LLC loan. Enclosed you will find the amended loan agreement and
amended promissory note, which includes a repayment schedule. Also included is the current ledger
showing past payments and a cument balance of $242,540.26. Please note the balance on l/l/2018
should be $240,909.02, so they are behind on the repayment schedule by $1,631.24. The signed
promissory note and loan agreement should be retumed through certified mail on or before 30 days from
the date of this letter and sent to:
