An Internal Corporate Reorganization and Passive Investment Involving SUEZ
Water Idaho Inc.'s Parent Companies
Dear Ms. Carlock:
Over the past several months, the parent companies of SUEZ Water Idaho Inc. ("SWID") have
undertaken an internal reorgarization resulting in, among other things, SUEZ Water Resources Inc.
("SWR"), the direct parent company of SWID, being converted from a Delaware corporation to a
Delaware limited liability company. A new holding company, SUEZ Utility Holdings Inc. ("SUHI"),
was then established between SWR and SUEZ Water Inc., the prevoius immediate parent of SWR. On
March I,2019, Stichting Depositary PGGM Infrastructure Funds, based in The Netherlands, acquired a
20% passive minority interest in SUHI (the "Passive Investment").
The transactions described above do not impact SWID operations. SUEZ management teams continue
to run the business day-to-day with committed focus on customer care, safety, and prudent capital
investments to maintain quality service and improve our environment. Furthermore, the transactions do
not constrain or limit the ability of the Idaho Public Service Commission ("Commission") to regulate the
operations of SWID and there will be no impact on any Commission orders, rulings, or regulations in
effect and applicable to SWID.
Finally, rest assured that no costs associated with the internal reorganization or the Passive Investment
will be passed through to SWID, and SWID will not seek to recover any of these costs from its customers.
